Robert G. Ashe has been an MSCI director since 2013 and serves as the Board's independent Lead Director. He previously served as General Manager of Business Analytics at IBM (2010-2012) following IBM's acquisition of Cognos Inc., where he worked from 1984 to 2008 and served as President and CEO from 2004 to 2008. He holds an Honours Bachelor of Commerce with a major in Accounting from the University of Ottawa and is a Certified Public Accountant in Canada.

Robin L. Matlock has been an MSCI director since 2022 and serves on the Compensation and Governance Committees. She previously served as Senior Vice President and Chief Marketing Officer of VMware, Inc. (2013-2020) and earlier held executive positions at Imperva, McAfee, Entercept Security Technologies and Symantec Corporation. She earned a B.A. in Economics and Music from Rice University.

Jacques P. Perold has been an MSCI director since 2017 and chairs the Compensation Committee. He was President of Fidelity Management & Research Company until his retirement in 2014, and earlier was President of Geode Capital Management from 2001 to 2009. He holds a B.A. in economic history and a post-graduate B.A. Honours in sociology from the University of Cape Town.

Sandy C. Rattray has been an MSCI director since 2020 and chairs the Strategy Committee. He previously served as Chief Investment Officer of Man Group plc (2017-2021), CEO of Man AHL (2013-2017) and CIO of Man Systematic Strategies (2010-2013), and earlier spent 15 years at Goldman Sachs; he is a co-inventor of the VIX index. He holds a Master's degree in Natural Sciences and Economics from the University of Cambridge and a Licence Speciale from the Universite Libre de Bruxelles.

Linda H. Riefler has been an MSCI director since 2007 and chairs the Governance Committee. She spent her career at Morgan Stanley, serving as Chair of Global Research (2011-2013), Global Head of Research (2008-2011) and Chief Talent Officer (2006-2008), having joined in 1987 and been appointed a Managing Director in 1998. She holds a B.A. in economics from Princeton University and an M.B.A. from Stanford's Graduate School of Business.

Michelle Seitz has been an MSCI director since 2024 and serves on the Strategy Committee. She is the Founder and CEO of MeydenVest Partners (since 2022) and previously served as CEO of Russell Investments (2017-2022) and Chairman (2018-2022), and earlier held senior roles at William Blair from 1996 to 2017, including CEO of William Blair Investment Management. She holds a B.S. in Accounting from Indiana University's Kelley School of Business and is a Chartered Financial Analyst.

Marcus L. Smith has been an MSCI director since 2017 and chairs the Audit Committee. He served as Chief Investment Officer, Canada Equity and a portfolio manager at MFS Investment Management until 2017, having joined in 1994 and held roles including CIO (Asia) from 2010 to 2012 and Director of Asian Research from 2005 to 2009. He holds a B.S. from the University of Mount Union and an M.B.A. from the Wharton School at the University of Pennsylvania.

Rajat Taneja has been an MSCI director since 2021 and serves on the Audit Committee. He is President of Technology for Visa Inc. (since 2019), having joined Visa in 2013, and previously served as EVP and CTO of Electronic Arts (2011-2013) and in various roles at Microsoft from 1996 to 2011. He holds a Bachelor of Electrical Engineering from Jadavpur University and an M.B.A. from Washington State University.

Paula Volent has been an MSCI director since 2020 and serves on the Compensation and Strategy Committees. She is Vice President and Chief Investment Officer at The Rockefeller University (since 2021) and previously served as SVP for Investments and CIO at Bowdoin College (2006-2021), and began her investment career at the Yale Investments Office. She holds a B.A. from the University of New Hampshire, an M.B.A. from Yale School of Management and an M.A. from the Institute of Fine Arts, New York University.

June Yang has been an MSCI director since December 2024 and serves on the Audit Committee. She was Vice President, Cloud AI and Industry Solutions at Google Cloud (2021-2023) and earlier VP and GM of Google Compute, AI Infrastructure and Block Storage (2019-2021), and previously held engineering and product roles at VMware. She holds a B.S. in Chemical Engineering from Caltech, an M.S. in Chemical Engineering from UC Berkeley and an M.S. in Management from Stanford's Graduate School of Business.

Henry A. Fernandez has served as MSCI's Chief Executive Officer and a director since 1998 and as Chairman of the Board since 2007; he reassumed the role of President in March 2026 following C.D. Baer Pettit's retirement, a role he previously held from 1998 to October 2017. He assumed leadership of the MSCI business unit within Morgan Stanley in 1996 before its 2007 IPO, and earlier worked at Morgan Stanley from 1983 in emerging markets strategy, equity derivatives, M&A and corporate finance. He holds a B.A. in economics from Georgetown University and an M.B.A. from Stanford's Graduate School of Business.

C.D. Baer Pettit served as MSCI's President from October 2017 and as Chief Operating Officer from January 2020 to November 2025 (and previously 2015-2017); he also served as a director from January 2023. He notified the Company of his decision to retire on November 12, 2025, ceased as COO effective that date, and stepped down as President and from the Board effective March 1, 2026. Earlier MSCI roles included Head of Index Products (2011-2015), Head of Marketing (2005-2012) and Head of Client Coverage (2001-2012), and he worked at Bloomberg L.P. from 1992 to 1999. He holds an M.A. in history from Cambridge University and an M.S. from Georgetown's School of Foreign Service.

Andrew C. Wiechmann has served as MSCI's Chief Financial Officer since September 2020, and was appointed interim principal accounting officer effective August 10, 2026 pending a successor. He joined MSCI in 2012 and previously served as Chief Strategy Officer (2019-2020), Head of Strategy and Corporate Development (2012-2019), Head of Investor Relations (2017-2019) and Head of Financial Planning & Analysis (2015-2017). Before MSCI he was an investment banker at Morgan Stanley, where he advised MSCI on its IPO and various acquisitions. He holds B.A. degrees in Physics and Economics from Hamilton College.

Robert J. Gutowski has served as MSCI's General Counsel since January 2020 and Head of Corporate Affairs since July 2024, overseeing the firm's legal, compliance, corporate affairs, government and regulatory affairs, corporate responsibility and internal audit functions. He joined MSCI in 2002 and previously served as Deputy General Counsel and Head of Compliance (2010-2019) and Head of Internal Audit (2012-2019). Before MSCI he was an attorney in private practice at Rogers & Wells LLP and Clifford Chance LLP. He holds a B.A. from Georgetown University and a J.D. from the State University of New York at Buffalo Law School.

Scott A. Crum has served as MSCI's Chief Human Resources Officer since April 2014, responsible for the firm's talent strategy and human resources capabilities. Before joining MSCI he was global head of human resources for four publicly traded companies, including Senior Vice President of HR and Chief People Officer at Avon Products (2012-2013), SVP and Chief People Officer at Motorola Mobility Holdings (2010-2012) and SVP and Director of HR at ITT Corporation (2002-2010). He holds a Bachelor of Business Administration with a concentration in industrial relations from Southern Methodist University.

Alvise J. Munari has served as MSCI's Chief Product Officer since October 2025 and Head of Client Segments since November 2025, responsible for driving the business across all products and client segments. He previously served as Chief Business Officer (February-October 2025), Chief Product Officer (July 2024-February 2025), Chief Client Officer (2022-2024) and Global Head of Client Coverage (2020-2022). Before MSCI he was Global Head of Equity Derivatives Distribution at Morgan Stanley and held senior positions at Merrill Lynch and Goldman Sachs. He holds a D.Phil. in Mathematics from Oxford University and an undergraduate degree in Economics and Mathematics from the London School of Economics.

Kristine Johnson was appointed MSCI's interim Global Controller effective August 10, 2026, reporting to Chief Financial Officer Andrew C. Wiechmann, following the resignation of C. Jack Read as Global Controller and Chief Accounting Officer. She has served as the Company's Commercial Controller and Head of Revenue Operations since April 2025 and previously served as Head of External Reporting from August 2022 to April 2025.
