Ken Xie co-founded Fortinet in October 2000 and has served as its Chief Executive Officer and a member of the Board of Directors ever since, also serving as President until November 2013. He is the founder-leader of the company alongside his brother Michael Xie, and before Fortinet he founded and led NetScreen Technologies (acquired by Juniper Networks in 2004) and Systems Integration Solutions. A member of the National Academy of Engineering, he holds a B.S. and M.S. in electrical engineering from Tsinghua University and an M.S. in electrical engineering from Stanford University.

Michael Xie co-founded Fortinet in October 2000 and has served as President and Chief Technology Officer since November 2013 and as a member of the Board of Directors since February 2001, having previously been Vice President of Engineering and CTO. He is the brother of co-founder and CEO Ken Xie, making Fortinet a founder-led company. Prior to Fortinet he was Vice President of Engineering at ServGate Technologies and Software Director and Architect at NetScreen; he holds an M.S. in electrical engineering from the University of Manitoba and a B.S. and M.S. from Tsinghua University.

Kenneth A. Goldman has served on Fortinet's Board of Directors since October 2020 and chairs its Audit Committee. He was President of Hillspire LLC from 2017 to 2022, Chief Financial Officer of Yahoo! Inc. from 2012 to 2017, and earlier served as Fortinet's own Senior Vice President and CFO from 2007 to 2012. He currently sits on the boards and audit committees of RingCentral, Wealthfront, C3.ai and Kodiak AI, holds a B.S. in electrical engineering from Cornell University, and an M.B.A. from Harvard Business School.

Ming Hsieh has served on Fortinet's Board of Directors since April 2013 and chairs its Governance and Social Responsibility Committee. Since 2012 he has been Chairman and CEO of Fulgent Therapeutics, and he previously founded Cogent, Inc. in 1990, serving as its CEO, President and Chairman until its 2010 acquisition by 3M, after which he was President of 3M Cogent. He holds B.S.E.E. and M.S.E.E. degrees from the University of Southern California.

Jean Hu has served on Fortinet's Board of Directors since October 2019. Since January 2023 she has been Executive Vice President and Chief Financial Officer of Advanced Micro Devices (AMD), and previously served as CFO of Marvell Technology Group from 2016 to 2023 and as SVP and CFO of QLogic (including stints as acting CEO). She holds a B.S. in chemical engineering from Beijing University of Chemical Engineering and a Ph.D. in economics from Claremont Graduate University.

Janet Napolitano has served on Fortinet's Board of Directors since November 2024. She is founder and faculty director of the Center for Security in Politics at UC Berkeley and previously served as President of the University of California (2013-2020), U.S. Secretary of Homeland Security (2009-2013), Governor of Arizona (2003-2009) and Attorney General of Arizona. She also serves on the boards of Vir Biotechnology and Zoom Communications, and holds a B.S. from Santa Clara University and a J.D. from the University of Virginia School of Law.

Judith Sim has served on Fortinet's Board of Directors since June 2015 and as Lead Independent Director since April 2024, and chairs the Human Resources Committee. She spent nearly three decades at Oracle Corporation from 1991 to April 2020, including as Chief of Staff to the Office of the CEO and as Chief Marketing Officer from 2005 to 2020. She currently serves on the boards of First Advantage Corporation and DataStax, and holds a B.S. in dietetics from the University of California at Davis.

Admiral James Stavridis (Ret.), USN, PhD has served on Fortinet's Board of Directors since October 2021 and chairs its Cybersecurity Committee. He spent 37 years in the U.S. Navy, rising to four-star Admiral and serving as the 16th Supreme Allied Commander of NATO, and later was Dean of The Fletcher School of Law and Diplomacy at Tufts University. He is currently a Partner and Vice Chairman, Global Affairs of The Carlyle Group, and holds a PhD in international relations from The Fletcher School at Tufts University.

Derek Kan was nominated to Fortinet's Board of Directors in April 2026 and elected at the 2026 Annual Meeting. He was Chief Business Officer at Deliverr (acquired by Shopify in 2022) and then VP of Business Operations at Shopify, and previously held senior U.S. federal roles including Deputy Director of the White House Office of Management and Budget and Under Secretary for Policy at the U.S. Department of Transportation. He serves on the boards of Toll Brothers, Globe Life and Oklo, and holds a B.S. from USC, an M.S. from the London School of Economics, and an M.B.A. from Stanford.

Christiane Ohlgart has served as Fortinet's Chief Financial Officer since May 2025, having previously been the company's Chief Accounting Officer from March 2024 to May 2025 and, earlier, VP Finance at Fortinet. She brings more than three decades of finance and accounting experience, including as CFO of IGEL Technology, SVP Finance and Treasurer at Syapse, and 18 years at SAP where she was CFO of SAP SuccessFactors. She holds a master's degree in computer science and business administration from the Technical University of Karlsruhe.

John Whittle has served as Fortinet's Chief Operating Officer since January 2024, overseeing functions including mergers and acquisitions, strategic alliances and marketing. He joined Fortinet in October 2006 and previously served as Chief Legal Officer (2022-2024), General Counsel (2006-2022) and EVP of Corporate Development. Before Fortinet he was Vice President and General Counsel of Corio (acquired by IBM) and an attorney at Wilson Sonsini Goodrich & Rosati; he holds a B.A. from the University of Virginia and a J.D. from Cornell University Law School.

Keith Jensen served as Fortinet's Chief Financial Officer until his retirement on May 15, 2025, at which point Christiane Ohlgart was appointed CFO. Following his retirement he joined Fortinet's Strategic Advisory Council on August 5, 2025, where he remains a member. He was a named executive officer in Fortinet's most recent proxy statement covering fiscal 2025 compensation.
