The all-in value of roughly $5.4 billion was set against AMD's October 24, 2006 closing share price of $20.32. AMD funded the cash portion with existing balances plus a $2.5 billion term loan from Morgan Stanley Senior Funding. Approximately $5.4 billion.

AMD acquired SeaMicro, a privately held maker of energy-efficient, high-bandwidth microservers, to move up the value chain from chips into dense server systems. AMD paid $293 million in cash to SeaMicro shareholders (total purchase consideration of $312 million including assumed equity, and $19 million of cash acquired), with $29 million placed in escrow. The acquisition added SeaMicro's SM10000 server line and its 'Freedom' supercompute fabric, and produced $230 million of goodwill. $312 million total consideration ($293 million cash; $281 million net of cash acquired).
AMD's largest acquisition by far: an all-stock merger with Xilinx, the leading provider of FPGAs and adaptive SoCs. Announced in October 2020 at a $35 billion valuation with a combined enterprise value of roughly $135 billion, the deal closed February 14, 2022 via merger sub 'Thrones Merger Sub.' Xilinx holders received 1.7234 AMD shares per Xilinx share; AMD holders ended up owning about 74% of the combined company. It brought FPGAs, Adaptive SoCs, accelerators and SmartNICs into AMD's portfolio. $35 billion all-stock at announcement (October 2020); ~$49 billion equity value at February 2022 close.

AMD acquired Pensando, a startup founded in 2017 building a distributed services platform around a high-performance, fully programmable packet processor (DPU) and software stack for networking, security and storage. Announced April 4, 2022 for about $1.9 billion and closed May 26, 2022, the deal added technology already deployed at scale by customers including Goldman Sachs, IBM Cloud, Microsoft Azure and Oracle Cloud. Approximately $1.9 billion (before working capital and other adjustments).

AMD agreed to acquire Nod.ai, a team specializing in open-source AI software and compiler-based automation, to strengthen its open AI software strategy. Nod.ai is a primary maintainer of and contributor to AI repositories including SHARK, Torch-MLIR and OpenXLA/IREE, and its technology accelerates deployment of AI models across AMD Instinct accelerators, Ryzen AI, EPYC, Versal SoCs and Radeon GPUs. Terms were not disclosed.

The team joined the AMD AI Group to help build the full AMD AI software stack and the Unified AI (UAI) Software Stack. Terms were not disclosed.

Announced July 10, 2024 and completed August 12, 2024, Silo AI brought AI scientists and engineers who build tailored AI models and solutions — including open-source multilingual LLMs Poro and Viking trained on AMD Instinct accelerators — for enterprises such as Allianz, Philips, Rolls-Royce and Unilever. AMD acquired ZT Systems, a Secaucus, New Jersey provider of AI and general-purpose compute infrastructure for the world's largest hyperscalers, to add rack-scale systems and design expertise to its silicon and software. Announced August 19, 2024 at about $4.9 billion (cash and stock, including up to $400 million contingent) and closed March 31, 2025, AMD paid $3.375 billion cash plus roughly 8.3 million shares at close.
