Buy the platform, not the pipeline.
AbCellera's acquisitions target enabling discovery technologies rather than clinical assets. Trianni added a humanized-mouse source of fully human antibodies and TetraGenetics added a way to manufacture difficult transmembrane-protein targets, each feeding directly into AbCellera's core single-cell screening engine.

Capital deployment
Vertically integrate the antibody-discovery stack.
Each deal absorbed a distinct upstream capability — antigen generation (TetraGenetics) and immunization source (Trianni) — so more of the discovery workflow is owned in-house rather than licensed, and both companies now operate as AbCellera companies.

Structure around milestones to share risk.
Both transactions pair a defined upfront payment with contingent, milestone-based consideration — a $22.6 million earn-out on Trianni tied to a specific customer license and up to $37.5 million in technical, development and commercial milestones on TetraGenetics — aligning payouts to realized platform value.

These difficult-to-produce membrane proteins are validated but historically intractable drug targets. $12.5 million upfront cash (plus $12.5 million held in escrow) and up to $37.5 million in milestone payments; ~$48.0 million total acquisition-date consideration.
