SeaMicro, Inc. operates in Computing Solutions (energy-efficient microservers). AMD acquired SeaMicro, a privately held maker of energy-efficient, high-bandwidth microservers, to move up the value chain from chips into dense server systems. AMD paid $293 million in cash to SeaMicro shareholders (total purchase consideration of $312 million including assumed equity, and $19 million of cash acquired), with $29 million placed in escrow. The acquisition added SeaMicro's SM10000 server line and its 'Freedom' supercompute fabric, and produced $230 million of goodwill.
