Acquisition criteria
Platform expansion through complementary technology.
RedWave was 908 Devices' first disclosed acquisition as a public company, and it added a second sensing modality - FTIR optical spectroscopy - alongside 908 Devices' core mass spectrometry. Management framed the platforms as complementary rather than overlapping, letting the same forensics and first-responder customers detect both trace chemicals and bulk chemical hazards from one vendor.

Capital deployment
Cash-and-stock with a revenue-based earnout.
908 Devices paid $45.0 million in cash plus roughly 1.5 million shares, and structured up to 4,000,000 additional shares as contingent earnout consideration tied to RedWave-product revenue through April 2026 (at least 1,000,000 shares at $37 million of Earnout Revenue, scaling to the maximum at $45 million). The structure conserved cash and aligned the sellers - RedWave's CEO joined as VP, Strategy - to future performance, with about $4.5 million held in a 12-month indemnification escrow.

Integration approach
Buying an adjacency, not consolidating a rival.
RedWave was a high-growth, profitable business (about $13.7 million FY2023 revenue at 52% gross margin) whose portable analyzers could immediately leverage 908 Devices' sales channel. The deal deepened the handheld forensics portfolio - and in 2025 908 Devices sharpened that focus further by divesting its desktop bioprocessing line to Repligen, leaving handheld point-of-need detection as its center of gravity.

RedWave Technology (legally CAM2 Technologies, LLC, a Connecticut LLC doing business as RedWave Technology) is a provider of portable FTIR (Fourier Transform Infrared) spectroscopic analyzers for rapid chemical identification of bulk materials. Founded in 2016 and based in Danbury, Connecticut with 39 employees, RedWave had placed more than 700 portable analyzers with customers in more than 20 countries. The acquisition added optical spectroscopy to 908 Devices' handheld platform for forensic workflows that detect and identify unknown solids, liquids, vapors and aerosols at the point of need, and brought a line of accessories to 908 Devices' desktop portfolio for pharma Process Analytical Technology (PAT) and industrial QC. $53.5 million initial consideration ($45.0 million cash plus 1,497,171 shares of common stock valued at approximately $8.5 million on the day before closing), with up to 4,000,000 additional contingent 'earnout' shares (valued at up to approximately $22.7 million at signing) tied to RedWave-product revenue over the two years to April 30, 2026.

Up to 4,000,000 unregistered earnout shares may be issued based on RedWave-product 'Earnout Revenue': at least 1,000,000 shares if Earnout Revenue reaches $37 million, scaling to the 4,000,000-share maximum at $45 million or more; no earnout shares below the threshold. Approximately $4.5 million of the cash consideration was placed in a 12-month indemnification escrow.
