Matthew P. Flake has served as Chief Executive Officer of Q2's sole operating subsidiary, Q2 Software, Inc., since December 2011, as Q2 Holdings' Chief Executive Officer and a director since October 2013, as Chairman of the board since June 2024, and as President since November 2025 (a role he also held from 2008 to 2016 and 2019 to 2023). He joined the company in 2005 as Vice President of Sales and previously worked in sales leadership at S1 Corporation and Q-Up Systems. He holds a B.A. in Business from Baylor University.

R. Lynn Atchison has been a member of Q2's board of directors since March 2017 and chairs its risk and compliance committee while also serving on the audit committee. She has served as Chief Financial Officer of Spredfast and of HomeAway (through its acquisition by Expedia), held CFO roles at Infoglide Software and Hoover's, and currently serves as a director of Bumble, Inc. She holds a B.B.A. in Accounting from Stephen F. Austin State University and is NACD Directorship Certified.

Stephen C. Hooley has been a member of Q2's board of directors since August 2020, chairs its compensation committee and serves on the nominating and corporate governance committee. He previously served as Board Chairman, Chief Executive Officer and President of DST Systems until 2018 and held several executive leadership roles at State Street Corporation, and currently serves as a director of Brighthouse Financial. He holds a mechanical engineering degree from Worcester Polytechnic Institute.

Andre L. Mintz has been a member of Q2's board of directors since March 2025 and serves on the audit and risk and compliance committees. He has served as Vice President, Global Security & Privacy Programs and DMA Head of Compliance at Meta Platforms since January 2022, and previously was Chief Information Security Officer of Newport Group and of Red Ventures, as well as Chief Security Officer at Reuters. He is a U.S. Air Force veteran, a Certified Information Systems Security Professional, and holds a Graduate Certificate in Cybersecurity from Harvard University.

James R. Offerdahl has been a member of Q2's board of directors since December 2010, chairs its audit committee and serves on the risk and compliance committee. He served as Chief Financial Officer of Bazaarvoice until its 2018 acquisition by Marlin Equity Partners and of Convio until its 2012 acquisition by Blackbaud, and held CFO and executive roles at Pervasive Software and Tivoli Systems; he currently serves on the boards of CS Disco and Rev.com. He holds an M.B.A. from the University of Texas at Austin and a B.S. in Accounting from Illinois State University.

Margaret L. Taylor has been a member of Q2's board of directors since June 2020, chairs its nominating and corporate governance committee and serves on the compensation committee. She previously served as President of PeopleSoft Investments and as Senior Vice President of Corporate Operations of PeopleSoft, and has served on numerous public-company boards, including Fair Isaac Corporation. She holds a B.A. in Communications and Psychology from Lone Mountain College of California.

Lynn Antipas Tyson has been a member of Q2's board of directors since April 2021 and serves on the audit and nominating and corporate governance committees. She has served as Chief Investor Relations Officer for Ford Motor Company since April 2025 (Executive Director of Investor Relations from 2017 to 2025) and previously led investor relations at Atento, CHC Helicopter, AECOM, PepsiCo, Yum! Brands and Dell. She holds a B.S. in Psychology from City College of New York and an M.B.A. from New York University.

Kirk L. Coleman has served as Q2's Chief Business Officer since November 2025, leading the company's sales, customer success, marketing and product organizations. He joined Q2 as Chief Banking Officer in December 2021 and served as President from May 2023 until November 2025; before Q2 he founded advisory firm Centerline Advisors, was an Executive Vice President at Texas Capital Bank, and spent more than two decades at Accenture, most recently as Partner and Managing Director. He holds a B.A. in economics from Baylor University.

Jonathan A. Price has served as Q2's Chief Financial Officer since November 2024, having joined the company in February 2018 and held a series of senior corporate-development and strategy roles, including Executive Vice President, Strategy & Emerging Businesses. Before Q2 he spent several years in technology investment banking at BMO Capital Markets, and earlier at Citi and Goldman Sachs. He holds an H.B.A. from the Richard Ivey School of Business at the University of Western Ontario.

John E. Breeden has served as Q2's Chief Delivery Officer since November 2024 and previously served as Chief Operating Officer from December 2020 until November 2024, having joined the company in November 2011 and held a series of operations leadership roles, including Executive Vice President, Operations. Before Q2 he was Vice President of Corporate Services and of Information Technology at Activant Solutions, and earlier held consulting and product roles at The North Highland Company and Claria Corporation. He holds a B.B.A. in Finance from The University of Texas at Austin.

Himagiri Mukkamala has served as Q2's Chief Operating Officer since November 2025, leading the company's engineering, service delivery and customer experience organizations, and joined Q2 as Chief Development Officer in November 2023. Before Q2 he held senior technology roles including General Manager at Penguin Solutions, Chief Executive Officer of SoftBank-backed Pelion IoT, and Senior Vice President roles at Arm Holdings, and earlier at GE Digital, Raaga Corp and Sybase. He holds a bachelor's degree from Jawaharlal Nehru Technological University and a master's in computer science from Iowa State University.
