Share Repurchase Program

Total authorized
Euronet runs successive Board-authorized open-market/privately-negotiated repurchase programs. Active as of December 31, 2025: a program adopted June 3, 2025 authorizing up to $400 million in value (but not more than 8.0 million shares) through June 3, 2027. Two prior programs of up to $350 million each (adopted September 13, 2023 and September 11, 2024, each capped at 7.0 million shares) were fully exhausted during 2025. On February 24, 2026 (after fiscal year-end) the Board authorized a new program of up to $425 million (but not more than 10 million shares).

Approximately $268.4 million remained available under the June 3, 2025 program at December 31, 2025 ($131.6 million of the $400 million had been used). The Company had made no repurchases under the September 13, 2023 or September 11, 2024 programs remaining balances (both fully utilized), and no repurchases had been made under the February 24, 2026 program ($425 million) as of the filing.
