William T. Luedke IV Class I Director of the Company

William T. Luedke IV has been a director of Prosperity Bancshares since April 2014. He retired from Bracewell LLP on December 31, 2019 after practicing for over 35 years, representing numerous financial institutions in corporate finance, mergers and acquisitions and regulatory matters. He received a B.A. from Williams College and a J.D. from Vanderbilt University School of Law and serves on the board of trustees of Wayland Academy.

Perry Mueller, Jr., D.D.S. Class I Director of the Company

Dr. Perry Mueller, Jr. was appointed a director of Prosperity Bancshares in November 2001. A retired dentist who practiced in Lake Jackson, Texas for over fifty years, he was one of the original founders of First National Bank in Lake Jackson and served as Vice Chairman of that bank's board from 1963 until 2002. He completed his pre-dental education at the University of Texas and graduated with honors from the University of Texas Dental Branch, and is the father-in-law of CEO David Zalman.

Harrison Stafford II Class I Director of the Company

Judge Harrison Stafford II became a director of Prosperity Bancshares in April 2000. Now retired, he served as County Judge for Jackson County, Texas from January 1991 through December 2010 and as Jackson County Auditor from 1972 to 1990. He holds a B.B.A. and a J.D. from the University of Texas and a Master's in Finance from the Wharton School of the University of Pennsylvania.

James A. Bouligny Class II Director of the Company; Presiding Director

James A. Bouligny has been a director of Prosperity Bancshares since 1991 and has served as the board's Presiding (lead independent) Director since January 2013. He was a named partner in the El Campo law firm Duckett, Bouligny & Collins, LLP prior to 2007 and is currently Of Counsel to the firm. He received a B.B.A. and a J.D. from the University of Texas and served 25 years as a trustee of Wharton County Junior College and 18 years as City Attorney for El Campo, Texas.

W. R. Collier Class II Director of the Company; Senior Chairman of West Texas Area of the Bank

W. R. Collier joined Prosperity as a Class II Director and Senior Chairman for the West Texas Area of the Bank upon the merger of American State Financial Corporation into the Company on July 1, 2012. He began his career at American State Bank in 1959 as a teller, rose to President and CEO in 1974, and became CEO and Chairman of American State Financial Corporation in 1988. He graduated from Texas Technological College (now Texas Tech University) and the Southwestern Graduate School of Banking at Southern Methodist University.

Dr. Laura Murillo was appointed a director of Prosperity Bancshares in October 2022. She has served as President and CEO of the Houston Hispanic Chamber of Commerce since 2007 and previously held executive roles at Memorial Hermann Healthcare System and the University of Houston. She serves on the Federal Reserve System's Community Advisory Council and the Federal Reserve Bank of Dallas Business and Community Advisory Council, among other organizations.

For over 35 years she represented banks in complex commercial litigation and counseled their officers and directors, and she currently serves as Disputes Training National Leader at the global law firm DLA Piper. She was a founder and eight-year managing partner of DLA Piper's Houston office and previously a partner at Bracewell LLP, and is a past two-term president of the Houston Association of Women Attorneys.

In 2015 she retired as Executive Vice President of Sales for PULSE, a Discover Financial Services company and operator of the PULSE electronic funds network, where she had worked for twenty-five years. Ned S. Holmes Class III Director of the Company

Ned S. Holmes became Chairman of the Board of Prosperity Bancshares in February 2001 and served in that capacity until April 2006, joining the board following the merger of Commercial Bancshares, Inc. into the Company in 2001. He had served as Chairman of Commercial Bancshares since 1991 and a director since 1979, and has been Chairman and CEO of Ned S. Holmes Investments, Inc. since 1976. He was appointed to the Texas Transportation Commission in January 2007, serving until June 2012, and is Chairman Emeritus of the Greater Houston Partnership.

Jack Lord has been a director of Prosperity Bancshares since April 2016 and previously served as a director of Prosperity Bank since 1995. A retired shareholder of the Houston accounting firm Harper & Pearson Co., PC, he has more than forty-five years of experience as a CPA across oil and gas, manufacturing, banking, retail and service industries. He earned a B.A. with High Honors from the University of Texas at Austin and an M.B.A. from Oklahoma City University.

Robert R. Franklin, Jr. was appointed a Class I director of Prosperity Bancshares and Vice Chairman of the Company and Prosperity Bank effective July 1, 2026, in connection with Prosperity's acquisition of Stellar Bancorp, Inc. He served as Executive Chairman and director of Stellar Bank and Chief Executive Officer and director of Stellar Bancorp from 2022 until the acquisition, and earlier as Chairman, President and CEO of CBTX, Inc. from 2013 to 2022. He graduated from the University of Texas at Austin in 1977 with a B.B.A. in finance.

Joseph B. Swinbank Class III Director of the Company

Joseph B. Swinbank was appointed a Class III director of Prosperity Bancshares effective July 1, 2026, in connection with Prosperity's acquisition of Stellar Bancorp, Inc., where he had served as a director. He was one of two former Stellar directors added to the Prosperity board upon the closing of the merger, with a term expiring at the Company's next annual meeting of shareholders.

David Zalman Senior Chairman of the Board and Chief Executive Officer

David Zalman is a director and the Senior Chairman of the Board and Chief Executive Officer of Prosperity Bancshares and Prosperity Bank. He joined the Bank as President in 1986, became Chairman and CEO in 2001 and Senior Chairman and CEO in 2005, and became a director of the Company in 1987. From 1978 to 1986 he was employed by Commercial State Bank in El Campo, rising from cashier to Chief Executive Officer, and he holds a B.B.A. from the University of Texas at Austin. He served on the Federal Advisory Council to the Federal Reserve Board from 2021 to 2024 and on the board of the Dallas Federal Reserve Bank, Houston Branch, from 2016 to 2021.

H. E. Timanus, Jr. has been a director of Prosperity Bancshares and Prosperity Bank since 2001 and currently serves as Chairman of the Company and Chairman and Chief Operating Officer of the Bank. He became an Executive Vice President and COO of the Company in 2001, was named Vice Chairman in 2006 and Chairman of the Company in 2019, and has served as COO of the Bank since 2001. From 1986 to 2001 he was President and CEO of Commercial Bancshares, Inc. and from 1988 to 2001 CEO and Chairman of Heritage Bank.

Kevin J. Hanigan joined the Prosperity board on November 1, 2019 in connection with the LegacyTexas merger and serves as President and Chief Operating Officer of the Company and President of the Bank. He previously was a director and Chief Executive Officer of LegacyTexas and LegacyTexas Bank from 2012, and earlier Chairman and CEO of Highlands Bank and of Guaranty Bank and its parent Guaranty Financial Group. He began his banking career at Bank of the Southwest in Houston in 1980 and earned undergraduate and M.B.A. degrees from Arizona State University.

Edward Z. Safady joined Prosperity Bank in 2004 upon the Bank's acquisition of Liberty Bank, SSB, where he had served as Chairman and CEO, and has since served as Chairman of the Central Texas Area and a member of the Bank's board. He was named President of the Company and Vice Chairman of the Bank in May 2015, appointed an advisory director of the Company in June 2019, and named Vice Chairman of the Company in November 2019. He earned a B.B.A. in finance from Texas Tech University and was a national bank examiner with the Office of the Comptroller of the Currency from 1978 to 1984.

Asylbek Osmonov Chief Financial Officer of the Company and the Bank

Asylbek Osmonov has served as Prosperity's Chief Financial Officer since June 14, 2019, after acting as Interim CFO earlier that year and serving as the Bank's Chief Accounting Officer from September 2013. Before joining the Company he was an audit senior manager at Deloitte LLP from 2004 to 2013, focusing on the financial services and oil and gas industries. He is a Certified Public Accountant and holds a Bachelor of Accountancy from the University of Mississippi and a Master of Professional Accounting from the University of Texas at Austin.

J. Mays Davenport joined Prosperity on November 1, 2019 in connection with the LegacyTexas merger and serves as Executive Vice President and Director of Corporate Strategy of the Company and the Bank and a member of the Bank's board. He previously served as Executive Vice President and Chief Financial Officer of LegacyTexas from 2015 and as EVP, Corporate Development, of LegacyTexas Bank from December 2004. He spent the first fourteen years of his career in public accounting and is a licensed CPA in Texas and a Magna Cum Laude graduate of Texas A&M University.

Robert J. Dowdell joined Prosperity Bank in 2008 as President of the River Oaks Banking Center, became Regional President of the Houston Area in 2009, and was promoted to Executive Vice President of the Company and the Bank in 2015. He assumed additional operational duties and joined the Executive Committee in 2018. Prior to the Bank he worked for the predecessor of First Republic Bank of Texas from 1978 to 1988 and as Senior Vice President of large commercial lending at Compass Bank, Houston, from 1988 to 2008.

Randy Hester joined Prosperity Bank in 1991 as a Banking Center President and has served as Chief Lending Officer since August 2001. Before joining the Bank he worked as a consumer lender at Windsor Park Bank in San Antonio (1978-1984), a commercial lender at First National Bank in Kerrville and the Bank of Kerrville, and as President and a director of Texas Premier Bank (1990-1991). He attended the University of Texas at San Antonio.
