Sir Martin E. Franklin is the founder of Element Solutions and has served as Executive Chairman of the Board since 2019, providing long-term strategic direction to the Board and management team and holding an approximately 5.2% beneficial ownership stake in the Company. In anticipation of the 2026 Annual Meeting he decided not to stand for reelection and will retire from the Board at the expiration of his current term, but has agreed to continue advising the Company for a minimum of three years under the Advisory Services Agreement with his affiliate Mariposa Capital, LLC and to attend future Board meetings as an observer.

Benjamin H. Gliklich was named Chief Executive Officer of Element Solutions and joined the Board in January 2019, and also served as President from July 2020 to October 2025; he previously held roles including Executive Vice President - Operations and Strategy and Chief Operating Officer, having joined the Company as Director of Corporate Development in May 2014. Prior to Element Solutions he worked at the private equity firm General Atlantic and at Goldman Sachs & Co., and he holds an A.B. cum laude from Princeton University and an MBA with distinction from Columbia Business School.

Ian G.H. Ashken has served as a director of Element Solutions since 2013 and is the Company's proposed Chairman if elected at the 2026 Annual Meeting, chairing the Nominating and Policies Committee. He was co-founder of Jarden Corporation, serving at various times as its Vice Chairman, President, Chief Financial Officer, Secretary and director from 2001 until Jarden's combination with Newell in 2016, and currently serves as a director of Nomad Foods Limited and APi Group Corporation.

Elyse Filon has served as a director of Element Solutions since 2021 and chairs the Audit Committee. She spent 20 years at W.R. Grace & Co. in various international leadership roles, ultimately as Vice President - Finance, co-led the spin-off of GCP Applied Technologies and later advised GCP as a Strategic Advisor, and earlier practiced law and served as International Tax Counsel at Sterling Winthrop Pharmaceuticals; she holds a J.D. from Harvard Law School and a B.A. from Rutgers University.

Christopher T. Fraser has served as a director of Element Solutions since 2019 and sits on the Audit and Nominating and Policies Committees. He served as Chairman, CEO and President of KMG Chemicals Inc. and previously led Chemical Lime Company and OCI Chemical Corporation as President and CEO, and has worked as a Senior Operating Director for SK Capital Partners and an Operating Partner of Advent International; he holds degrees in Chemistry and Business Administration from the University of Connecticut and an MBA from Pepperdine University.

Michael F. Goss has served as a director of Element Solutions since 2013, serves as the independent Lead Director, and chairs the Compensation Committee while also serving on the Audit Committee. He is a partner at the art advisory firm Art Intelligence Global, previously served as CFO of Conde Nast and as EVP and CFO of Sotheby's, and spent 13 years at Bain Capital, LLC as Managing Director, CFO and later Chief Operating Officer; he holds a B.S. in economics from Kansas State University and an MBA with distinction from Harvard Business School.

E. Stanley O'Neal has served as a director of Element Solutions since 2013 and serves on the Nominating and Policies Committee. He was Chairman and Chief Executive Officer of Merrill Lynch & Co., Inc., where he spent 21 years in roles including President and Chief Operating Officer and Chief Financial Officer, and he currently serves on the boards of Clearway Energy, Inc. and Hut 8 Corp.; he holds a degree in industrial administration from Kettering University and an MBA from Harvard Business School.

Susan W. Sofronas has served as a director of Element Solutions since 2024 and serves on the Compensation Committee. She is a partner at the private family wealth office Manchester Capital Management LLC and was previously a senior relationship executive and Managing Director at Geller Advisors, with earlier senior roles at BBR Partners, Citigroup Private Bank and Morgan Stanley; she holds a B.S. in finance and investments from Babson College.

Carey J. Dorman is President, Enterprise Operations and Chief Financial Officer of Element Solutions, having been promoted to that role in October 2025 after serving as Executive Vice President, Chief Financial Officer from March 2019. He joined the Company in April 2015 and previously held roles including Corporate Treasurer and VP, Investor Relations and Senior Director, Corporate Development; before Element Solutions he worked at Taconic Capital Advisors and Goldman Sachs & Co., and he holds Bachelor's degrees in Engineering and Economics from Brown University.

Richard L. Fricke is President, Electronics of Element Solutions, appointed to the role in October 2025 after serving in escalating leadership roles including Executive Vice President and Head of Electronics since July 2024. He joined Element Solutions in April 2020 with over 15 years of semiconductor industry experience, most recently as Vice President & General Manager of the Electronic Materials business of Honeywell International Inc., and he holds a B.A. in Biology from the University of Connecticut and an MBA from New York University's Stern School of Business.

Matthew Liebowitz is President, Specialties of Element Solutions, promoted to the role in October 2025 after serving as Executive Vice President, Strategy and Head of Industrial & Specialty and previously as Senior Vice President of Strategy & Integration. He joined the Company in April 2015 and earlier held investing and research analyst positions at Nomura and UBS Investment Bank, and he holds a B.S. in Finance from the University of Maryland.

Caroline S. Lind is General Counsel and Secretary of Element Solutions, promoted to the role in November 2025 after serving as Vice President, Legal - Corporate & Securities from June 2022 and as a Corporate Associate Attorney since joining the Company in February 2014. Before joining Element Solutions she was in private practice at global law firms in New York and Paris, including Simpson Thacher & Bartlett LLP and A&O Shearman (formerly Shearman & Sterling LLP), and she holds an LL.M. degree from Tulane University Law School.

John E. Capps served as Executive Vice President, General Counsel and Secretary of Element Solutions and announced in October 2024 his intention to retire from that position during 2025. He has since agreed to remain with the Company in an advisory Of Counsel role for an indefinite period, and remained a named executive officer for fiscal 2025 compensation disclosure purposes.
