William E. Conway, Jr. is a Co-Founder of Carlyle and serves as Co-Chairman of the Board of Directors, appointed to the Board effective July 18, 2011. He previously served as the firm's Interim Chief Executive Officer, Co-Chief Executive Officer, and Chief Investment Officer, and before forming Carlyle in 1987 he was Senior Vice President and Chief Financial Officer of MCI Communications Corporation, having been its Vice President and Treasurer from 1981 to 1984.

David M. Rubenstein is a Co-Founder of Carlyle and serves as Co-Chairman of the Board of Directors, appointed effective July 18, 2011, having previously served as Co-Chief Executive Officer. Prior to forming Carlyle in 1987 he practiced law in Washington, D.C. with Shaw, Pittman, Potts & Trowbridge and served as Deputy Assistant to the President for Domestic Policy from 1977 to 1981; he is Chairman, CEO, and principal owner of Major League Baseball's Baltimore Orioles and has served on the board of Moderna, Inc. since August 2024.

Daniel A. D'Aniello is a Co-Founder of Carlyle and Chairman Emeritus of the Board of Directors, having served on the Board since its inception on July 18, 2011 and as Chairman from 2012 until January 1, 2018. Before forming Carlyle in 1987 he was Vice President for Finance and Development at Marriott Corporation for eight years and previously a financial officer at PepsiCo, Inc. and Trans World Airlines; he served in the U.S. Navy from 1968 to 1971.

Harvey M. Schwartz is the Chief Executive Officer of Carlyle and a member of the Board of Directors, serving in both roles since February 15, 2023 and based in New York. He worked at Goldman Sachs from 1997 to 2018, where his last position was President and Co-Chief Operating Officer and he also served as Chief Financial Officer and Global Co-Head of the Securities Division; he previously served on the board of SoFi Technologies, Inc. from May 2021 through November 2024.

Afsaneh Beschloss is an independent director of Carlyle, appointed to the Board effective May 1, 2024. She is an economist and the founder and CEO of RockCreek, one of the world's largest women-owned investment firms, and was previously a Managing Director and partner at The Carlyle Group from 2001 to 2003 as well as Treasurer and Chief Investment Officer of the World Bank.

Sharda Cherwoo is an independent director of Carlyle and a member of the Audit Committee, appointed effective June 1, 2023. She spent her nearly 40-year career at Ernst & Young, most recently as EY's Americas Intelligent Automation Leader and Partner, and currently serves on the board of World Kinect Corporation.

Linda H. Filler is an independent director of Carlyle, appointed to the Board effective April 1, 2022, and is a member of the Nominating and Corporate Governance Committee and the Board's Sustainability Lead. She retired as President of Retail Products, Chief Marketing Officer, and Chief Merchandising Officer at Walgreen Co. in 2017, previously held Executive Vice President roles at Walmart and Kraft Foods, and serves as Lead Independent Director at Danaher Corporation and Chair of Veralto Corporation.

Lawton W. Fitt is an independent director of Carlyle, appointed effective May 2, 2012, and chairs the Nominating and Corporate Governance Committee while serving on the Audit and Compensation Committees. She served as Secretary (CEO) of the Royal Academy of Arts in London from October 2002 to March 2005 and was previously a partner with Goldman Sachs & Co.; she is currently a director of Ciena Corporation (Chair of the Board) and The Progressive Corporation (Chairperson).

James H. Hance, Jr. is an Operating Executive of Carlyle and a member of the Board, appointed effective May 2, 2012 and having joined Carlyle in November 2005, working primarily in the Global Credit segment and financial services sector. He served as Vice Chairman of Bank of America from 1993 until his retirement on January 31, 2005 and as its Chief Financial Officer from 1988 to 2004, and is currently the Lead Independent Director of Acuity Brands Inc.

Mark S. Ordan is the Lead Independent Director of Carlyle's Board, appointed effective April 1, 2022, and serves on the Compensation and Nominating and Corporate Governance Committees. He is Chairman and Chief Executive Officer of Pediatrix Medical Group and has held numerous CEO roles, including founding and leading Quality Care Properties and Washington Prime Group, and serving as CEO of Sunrise Senior Living, The Mills Corporation, Balducci's, and Fresh Fields Markets.

Derica W. Rice is an independent director of Carlyle, appointed effective March 8, 2021, and is a member of the Audit and Compensation Committees. He served as Executive Vice President of CVS Health and President of CVS Caremark from March 2018 to February 2020 and earlier as Executive Vice President of Global Services and Chief Financial Officer of Eli Lilly and Company from 2006 to 2017; he serves on the boards of Bristol-Myers Squibb, Target Corporation, and The Walt Disney Company.

William J. Shaw is an independent director of Carlyle, appointed effective May 2, 2012, and chairs the Audit Committee. He was Vice Chairman of Marriott International until his retirement in March 2011, having served as President and Chief Operating Officer from 1997 to 2009, and is Chairman of the Board of Marriott Vacations Worldwide Corporation and a director of DiamondRock Hospitality.

Anthony Welters is an independent director of Carlyle, appointed effective October 27, 2015, chairs the Compensation Committee, and serves on the Nominating and Corporate Governance Committee. He is Founder, Chairman and CEO of CINQCARE Inc., Executive Chairman of the BlackIvy Group, and Chairman of Somatus, Inc.; he founded AmeriChoice in 1989 and joined UnitedHealth Group upon its 2002 acquisition, serving as Executive Vice President until retiring in 2016, and sits on the public boards of Loews Corporation and Gilead Sciences, Inc.

Harvey M. Schwartz has served as Chief Executive Officer of Carlyle since February 15, 2023 and is a member of the Board of Directors. He previously spent more than 20 years at Goldman Sachs, where his roles included President and Co-Chief Operating Officer, Chief Financial Officer, and Global Co-Head of the Securities Division.

John C. Redett became a Co-President of Carlyle effective January 1, 2026, leading Global Private Equity and overseeing Corporate Private Equity and Real Assets, and previously served as Chief Financial Officer and Head of Corporate Strategy from October 2023. He joined Carlyle in 2007 as an investor on the Global Financial Services team and has been a key contributor to many of the firm's financial-services investments.

Mark Jenkins became a Co-President of Carlyle effective January 1, 2026, leading the Global Credit and Insurance business, having served as Head of Global Credit since joining Carlyle in 2016. Prior to Carlyle he was a Senior Managing Director at CPPIB, where he founded CPPIB Credit Investments, and earlier spent 11 years at Goldman Sachs.

Jeff Nedelman became a Co-President of Carlyle effective January 1, 2026 and continues to lead the Global Client Business, overseeing the firm's global investor relations and distribution across its business segments. He joined Carlyle in 2023 from Certares and previously spent over 25 years at Goldman Sachs, most recently as Co-Chief Operating Officer of Global Equities.

Justin V. Plouffe became Chief Financial Officer of Carlyle effective January 1, 2026, having previously served as Deputy Chief Investment Officer for Global Credit. He joined Carlyle in 2007 and has also served as President and CEO of the firm's affiliated Business Development Companies and as CEO of Carlyle's SEC-registered broker/dealer affiliate.

Lindsay LoBue has served as Chief Operating Officer of Carlyle since July 1, 2024, after joining the firm in October 2023 and serving as Deputy Chief Operating Officer. She previously spent over 20 years at Goldman Sachs, most recently as an Advisory Director and earlier as a Partner in the Global Markets division.

Jeffrey W. Ferguson served as General Counsel of Carlyle and was one of the firm's named executive officers for fiscal year 2025. In 2025 he received a base salary of $500,000, an annual performance bonus of $805,000 in cash (with 19.5% deferred into RSUs), and time-vesting and bonus-deferral RSU grants, for total reported compensation of $5,270,079.

Kate Heinzelman became General Counsel of Carlyle effective June 29, 2026, overseeing the firm's global legal and compliance organization and reporting to CEO Harvey Schwartz. She previously served as General Counsel of the Central Intelligence Agency from 2022 to 2025 and as Chief Counselor to the U.S. Attorney General, and was a partner at Sidley Austin LLP.
