Nora M. Denzel Director; Lead Independent Director

Nora M. Denzel has been a director of AMD since March 2014 and Lead Independent Director since November 2022, and chairs the Nominating and Corporate Governance Committee. She served as interim Chief Executive Officer of Outerwall Inc. in 2015 and held executive management positions at Intuit from 2008 to 2012 and at Hewlett-Packard from 2000 to 2006, as well as roles at Legato Systems and IBM. She has served on the board of Gen Digital Inc. (formerly NortonLifelock) since December 2019 and the board of Sony Group Corporation since June 2025, and holds an MBA from Santa Clara University and a Bachelor of Science in computer science from the State University of New York.

Michael P. Gregoire has been a director of AMD since November 2019 and chairs the Compensation and Leadership Resources Committee. He is a founding partner at Brighton Park Capital and previously served as Chairman and CEO of CA Technologies from January 2013 to November 2018 and as President and CEO of Taleo Corporation from March 2005 to April 2012, in addition to executive roles at PeopleSoft and Electronic Data Systems. He was Chairman of Smartsheet Inc. from December 2019 until its sale in January 2025 and a director of Automatic Data Processing from 2014 to 2019, and holds a Bachelor of Science in physics and computing from Wilfrid Laurier University and an MBA from California Coast University.

Joseph A. Householder has been a director of AMD since September 2014 and chairs the Audit and Finance Committee. He served as President and Chief Operating Officer of Sempra Energy from May 2018 until his retirement in January 2020, and earlier as Sempra's Executive Vice President and Chief Financial Officer from 2011 to 2016 and Chief Accounting Officer from 2007 to 2012, after being a partner at PricewaterhouseCoopers and holding legal and financial roles at Unocal Corporation. He holds a Bachelor of Science in business administration from the University of Southern California and a Juris Doctor from Loyola Law School.

John W. Marren Director

John W. Marren has been a director of AMD since February 2017 and serves on the Audit and Finance Committee. He has served as Vice Chairman, North America of Temasek since November 2017, and was previously a Senior Partner and Head of Technology Investments at TPG Capital from 2000 until December 2015 and a Managing Director at Morgan Stanley (Co-Head of the Technology Investment Banking Group). Earlier he was a Managing Director and Senior Semiconductor Research Analyst at Alex. Brown & Sons and spent seven years in the semiconductor industry at VLSI Technology and Vitesse Semiconductor, and he holds a Bachelor of Science in electrical engineering from the University of California, Santa Barbara.

KC McClure Director

KC McClure was appointed a director of AMD in January 2026 and serves on the Audit and Finance Committee. She was Chief Financial Officer of Accenture from January 2019 until November 2024 and served as Senior Finance Advisor until her retirement in March 2025, following a more than 37-year tenure at Accenture in multiple finance and accounting leadership roles including Head of Investor Relations. She serves on the board of The Goldman Sachs Group and holds a Bachelor of Science in accounting and business administration from Pennsylvania State University's Smeal College of Business.

Abhi Y. Talwalkar has been a director of AMD since June 2017 and chairs the Innovation and Technology Committee. He was President and Chief Executive Officer of LSI Corporation from May 2005 until its merger with Avago Technologies in May 2014, and previously held senior management positions at Intel Corporation from 1993 to 2005, including Corporate Vice President and Co-General Manager of the Digital Enterprise Group. He has been Chair of the board of Lam Research Corporation since 2019 (a board member since 2011) and serves on the boards of Rhythm Technologies and TE Connectivity, and holds a Bachelor of Science in electrical engineering from Oregon State University.

Elizabeth W. Vanderslice has been a director of AMD since February 2022 and serves on the Compensation and Leadership Resources Committee and the Nominating and Corporate Governance Committee. She has been a partner at Trewstar Corporate Board Services since February 2019, served on the board of Xilinx, Inc. from December 2000 through its acquisition by AMD in February 2022, and was previously CEO of Wired Digital, Inc. from 1996 to 1999 and a general manager of Lycos, Inc. from 1999 to 2001. Lisa T. Su Chair, President and Chief Executive Officer

Dr. Lisa T. Su has served as AMD's President and Chief Executive Officer and a member of the Board since October 2014, and as Chair of the Board since February 2022. She joined AMD in January 2012 as Senior Vice President and General Manager of Global Business Units and served as Chief Operating Officer before being named President and CEO, having previously held senior roles at Freescale Semiconductor, IBM (including Vice President of Semiconductor Research and Development) and Texas Instruments. Dr. Su holds Bachelor of Science, Master of Science and Ph.D. degrees in Electrical Engineering from the Massachusetts Institute of Technology, is a Fellow of the IEEE and a member of the National Academy of Engineering, and formerly served on the boards of Analog Devices (2012-2020) and Cisco Systems (2020-2023).

Jean Hu Executive Vice President, Chief Financial Officer and Treasurer

Jean Hu has been AMD's Executive Vice President, Chief Financial Officer and Treasurer since January 2023, responsible for the company's financial planning and strategy and leading the global finance organization, investor relations, global corporate services and facilities. Prior to AMD she served as Chief Financial Officer of Marvell Technology from August 2016 to January 2023, and earlier as Senior Vice President and CFO of QLogic Corporation from April 2011 to August 2016 (including periods as acting CEO of QLogic). She has served on the board of Fortinet since October 2019 and holds a Bachelor of Science in chemical engineering from Beijing University of Chemical Technology and a Ph.D. in Economics from Claremont Graduate University.

Mark D. Papermaster Executive Vice President and Chief Technology Officer, Technology and Engineering

Mark D. Papermaster joined AMD in October 2011 as Chief Technology Officer and Senior Vice President, and has held the title of Executive Vice President and Chief Technology Officer, Technology and Engineering, responsible for technical direction and product development, since January 2019. He led the development of the 'Zen' high-performance x86 CPU family, AMD's high-performance GPUs and the modular Infinity Architecture, drawing on more than 40 years of engineering experience that previously included leading Cisco Systems' Silicon Engineering Group, serving as Apple's Senior Vice President of Devices Hardware Engineering, and senior leadership roles at IBM. He holds a Bachelor of Science from the University of Texas at Austin and a Master of Science from the University of Vermont, both in electrical engineering, and in February 2025 was elected to the National Academy of Engineering.

Darren Grasby Executive Vice President, Chief Sales Officer and President EMEA

Darren Grasby has been AMD's Executive Vice President, Chief Sales Officer and President EMEA since January 2025, responsible for leading the company's worldwide sales organization across data center, commercial, consumer and embedded markets. Since joining AMD in 2007 he has held several sales and marketing leadership roles, including Executive Vice President, Strategic Partnerships and President EMEA, Senior Vice President of Global Computing and Graphics Sales, President EMEA and Global Channel Sales, and Corporate Vice President and General Manager EMEA. Before joining AMD he created and ran several companies focused on computer manufacturing, supply chain management, global distribution, and the creation of graphics brands such as ATI.

Philip Guido Executive Vice President, Chief Commercial Officer

Philip Guido has been AMD's Executive Vice President and Chief Commercial Officer, leading the company's Worldwide Sales Organization, since June 2023. He was previously general manager and global managing partner of Strategic Sales at IBM Consulting and held multiple leadership roles during a more than 30-year tenure at IBM, including general manager of IBM North America (driving over $40 billion in revenue) and general manager of the Infrastructure Services Business. He graduated Magna Cum Laude from Montclair State University with a degree in economics and holds a certificate in International Business from the University of Copenhagen.

Ava M. Hahn Senior Vice President, General Counsel and Corporate Secretary

Ava M. Hahn has been AMD's Senior Vice President, General Counsel and Corporate Secretary since January 2024, overseeing legal and corporate governance, ethics and compliance, corporate responsibility, and government relations. Prior to AMD she was Senior Vice President and Chief Legal Officer at Lam Research and previously served as General Counsel at CA Technologies, Aruba Networks, ShoreTel and Genesis Microchip, as well as at the venture capital firms Kleiner Perkins and Felicis Ventures. She is a member of the State Bar of California and holds a Bachelor of Arts in history from the University of California, Berkeley and a Juris Doctor from Columbia Law School.

Jack Huynh Senior Vice President and General Manager of the Computing and Graphics Business Group

Jack Huynh has been AMD's Senior Vice President and General Manager of the Computing and Graphics Group since April 2023, responsible for strategy, business and engineering to advance AMD's leadership in AI and high-performance computing across end-user devices. Since joining AMD in 1998 he has led multiple businesses and technologies, previously serving as Senior Vice President and General Manager of the semi-custom group and as Corporate Vice President and General Manager of the mobile business unit, having begun his AMD career as a microprocessor design engineer. He holds a Bachelor of Science in electrical engineering from the University of Illinois Urbana-Champaign.

Forrest E. Norrod Executive Vice President and General Manager, Data Center Solutions Business Unit

Forrest E. Norrod has been AMD's Executive Vice President and General Manager of the Data Center Solutions Business Group since January 2023, having joined AMD in November 2014. Before AMD he was Vice President and General Manager of Dell's server business from December 2009 to October 2014 and led Dell's Data Center Solutions and global engineering teams, and earlier worked at Cyrix Corp and National Semiconductor leading integrated x86 CPU businesses after starting his career as a VLSI design engineer at Hewlett Packard. He has served on the board of Intuit since July 2024 and holds Bachelor of Science and Master of Science degrees in electrical engineering from Virginia Tech.

Emily Ellis Corporate Vice President, Chief Accounting Officer and Principal Accounting Officer

Emily Ellis was appointed AMD's Corporate Vice President, Chief Accounting Officer and principal accounting officer effective December 15, 2025, at which point Jean Hu ceased serving as interim Chief Accounting Officer. She previously served as Vice President Controller at Palo Alto Networks from March 2024 and was a Partner at PricewaterhouseCoopers LLP from July 2019 to March 2024. Ellis is a certified public accountant and holds a B.A. in Accounting from San Jose State University.
