Acquisition criteria
Build-out of the aftermarket core.
AAR's acquisitions consistently deepen its position across the aviation aftermarket value chain — airframe MRO capacity (Reebaire, Avborne), component repair at scale (Triumph Product Support), and the cargo-systems franchise (Telair and Nordisk). Management framed the 2024 Triumph deal as one that 'scales AAR's repair capabilities' and 'expands our footprint,' the same logic that drove the earlier MRO tuck-ins.

Capital deployment
A barbell of government services and commercial manufacturing.
Alongside commercial MRO, AAR repeatedly bought capabilities serving government and defense customers — the 2010 Aviation Worldwide Services deal (expeditionary airlift via Presidential Airways) and the defense-oriented Brown International and Summa Technology manufacturing businesses. These positioned AAR as, in its words, a 'trusted provider of mission-critical products and services' to government customers.

Integration approach
Portfolio pruning funds the next platform.
AAR actively rotates its portfolio: it acquired Telair and Nordisk in 2011, then divested the combined Telair Cargo Group to TransDigm for $725 million in 2015 to become a 'pure-play' aviation-services company — and later divested the Landing Gear Overhaul business. The proceeds and focus enabled the pivot toward higher-margin, recurring-revenue software (Trax, 2023) and the largest deal in its history, Triumph Product Support (2024).

On January 12, 2007, we acquired substantially all of the assets of Reebaire Aircraft, Inc. ('Reebaire'), a regional airframe maintenance, repair and overhaul facility located in Hot Springs, Arkansas. On April 2, 2007, we acquired Brown International Corporation ('Brown'), a privately held defense contractor that provides engineering, design, manufacturing and systems integration services. Founded in 1985, Avborne is an independent provider of aircraft heavy maintenance checks, modifications, installations and painting services to commercial airlines, international cargo carriers and major aircraft leasing companies, operating from a 226,000-square-foot hangar at Miami International Airport capable of accommodating up to three wide-body or nine narrow-body aircraft simultaneously. Approximately $40 million ($15 million cash plus assumption of a $25 million industrial revenue bond).

AAR acquired Aviation Worldwide Services, a leading provider of expeditionary airlift services and aircraft modifications to the U.S. and other government customers, from Xe Services LLC. AWS operates through subsidiaries Presidential Airways and STI Aviation, providing fixed- and rotary-wing flight operations transporting personnel and cargo for U.S. Department of Defense and Department of State deployments, plus engineering and design modifications on rotary-wing aircraft. AWS operated a fleet of 58 customized aircraft at the time of the deal. Approximately $200 million.

AAR acquired Telair International GmbH and Nordisk Aviation Products AS from Teleflex Incorporated. Telair is a leader in the design, manufacture and support of cargo loading systems for wide- and narrow-body aircraft, with positions on Airbus A330/A340 (and the future A350) and Boeing 747-8; roughly 40% of its revenue came from aftermarket spares and support, operating from facilities in Germany, Sweden and Singapore. Nordisk designs and manufactures heavy-duty pallets and lightweight cargo containers from facilities in Norway and China. The combination with AAR's existing Cargo Systems business created a leading commercial and military cargo-systems provider. (Note: AAR later divested the combined Telair Cargo Group to TransDigm in 2015.). Approximately $280 million.

AAR acquired Trax USA Corp., a leading independent provider of aircraft MRO and fleet-management software. Founded in 1999 and headquartered in Miami with about 110 employees, Trax serves airlines, MROs and government aircraft operators supporting roughly 5,000 aircraft. Its eMRO product is a web-based enterprise MRO software solution and its eMobility suite provides mobile applications including electronic task cards, digital manuals and log books. $120 million cash plus contingent consideration of up to $20 million (earn-out).

AAR acquired Triumph Group's (NYSE: TGI) Product Support business, a leading global provider of specialized maintenance, repair and overhaul capabilities for critical aircraft components in the commercial and defense markets — covering structural components, engine and airframe accessories, interior refurbishment and wheels and brakes, plus proprietary DER repairs and PMA parts. The business operated across five primary locations with over 700 employees and was projected to generate about $280 million of revenue and $55 million of EBITDA (20% margin) in its fiscal year ending March 31, 2024. $725 million in cash.
