AAR CORP acquired Telair International & Nordisk Aviation Products for Approximately $280 million, a transaction completed in December 2011, structured as cash (funded through existing revolving credit facility).
Telair International & Nordisk Aviation Products operates in Structures and Systems, is based in Germany, Sweden, Singapore (Telair); Norway, China (Nordisk). AAR acquired Telair International GmbH and Nordisk Aviation Products AS from Teleflex Incorporated. Telair is a leader in the design, manufacture and support of cargo loading systems for wide- and narrow-body aircraft, with positions on Airbus A330/A340 (and the future A350) and Boeing 747-8; roughly 40% of its revenue came from aftermarket spares and support, operating from facilities in Germany, Sweden and Singapore. Nordisk designs and manufactures heavy-duty pallets and lightweight cargo containers from facilities in Norway and China. The combination with AAR's existing Cargo Systems business created a leading commercial and military cargo-systems provider. (Note: AAR later divested the combined Telair Cargo Group to TransDigm in 2015.)
Elevated AAR's position as a Tier-1 supplier to Airbus and Boeing and positioned the company to capitalize on new commercial aircraft build cycles; described as immediately accretive to earnings and margins.
