A. O. Smith Corporation Leadership

Mr. Shafer became president and chief executive officer of A. O. Smith on July 1, 2025, having served as the company's president and chief operating officer from 2024 to 2025. Before joining A. O. Smith he was president of the Automotive and Aerospace Solutions Division of 3M Company from 2020 to 2024 and served as 3M's senior vice president and chief strategy officer in 2019. From 2016 to 2018 he was president of 3M's Greater China Area and managing director of 3M China.

Mr. Wheeler became executive chairman of A. O. Smith in 2025, having served as chairman from 2020 and as president and chief executive officer from 2018 to 2025. He joined the company in 1994 as a regional sales manager and held positions of increasing responsibility, including managing director of its European operations and senior vice president leading the North America, India and Europe water heating business, then the company's largest operating unit. He also serves on the board of Graco Inc.

Mr. Fister became chief financial officer of Owens Corning, a global manufacturer of building and composite material systems, in September 2023. Since joining Owens Corning in 2014 he has held several executive-level positions, including president of its insulation segment from 2019 to 2023, and previously spent seven years at MeadWestvaco. A. O. Smith's Board has determined that he qualifies as an audit committee financial expert under SEC regulations.

Ms. Holt served as president and chief executive officer of Proto Labs, Inc., a manufacturer of custom prototypes and on-demand product parts, from 2014 until her retirement in 2021, and previously led Spartech Corporation from 2010 until its 2013 sale to PolyOne. Earlier she was senior vice president, Glass & Fiberglass at PPG Industries, Inc. from 2003 to 2010. She currently serves on the boards of Waste Management, Inc. and Piper Sandler Companies, and chairs A. O. Smith's Nominating and Governance Committee.

Mr. Larsen has served as senior vice president and chief financial officer of Illinois Tool Works, Inc. since 2013. He previously served as president and chief executive officer of Gardner Denver, Inc. from 2012 to 2013 and as its vice president and chief financial officer, and earlier held a number of global finance leadership roles at General Electric from 1995 to 2009. He chairs A. O. Smith's Audit Committee and has been determined to qualify as an audit committee financial expert.

Dr. Kadri served as chief executive officer of Syensqo S.A. from December 2023 to January 2026 and as chief executive officer of Solvay from 2019 to 2023, where she led a significant transformation of the company. Earlier she was president and chief executive officer of Diversey, Inc. from 2017 to 2018 and led its spin-off from Sealed Air Corporation, and held positions of increasing responsibility at Dow Chemical Company from 2007 to 2012. She also serves on the board of directors of L'Oreal S.A.

Mr. Mapes served as executive chairman of Lincoln Electric Holdings, Inc. from January 2024 until his retirement on December 31, 2024, after serving as chairman, president and chief executive officer from 2013 to 2023. From 2004 to 2011 he was executive vice president of A. O. Smith Corporation and president of A. O. Smith Electrical Products Company until that division's divestiture in 2011. He also serves as a director of The Timken Company, Nordson Corporation and RPM International Inc.

Ms. Martin has been chief financial officer of Mortenson Companies, Inc., an $11 billion privately held conglomerate, since 2017 and has more than 30 years of financial experience. She was previously executive vice president and chief financial officer of Ceridian Corporation from 2012 to 2017 and held senior financial roles at Capella University, World Data Products and Deluxe Corporation. She has served as a director of Donnelley Financial Solutions, Inc. since 2016, where she chairs the Audit Committee.

Mr. Saak was appointed president and chief executive officer of Crane NXT, Co., which provides advanced technology solutions for authentication and traceability of products in critical industries, in 2022. He previously served as president and CEO, mobility solutions at Vontier Corporation and as president of Gilbarco Veeder-Root from 2018 to 2022, and earlier held senior leadership roles at Tyco International following a ten-year tenure at General Electric. He also serves as a director on Crane NXT's board of directors.

Mr. Smith served as a product business manager for Strattec Security Corporation from 1997 until his retirement in 2019. In 2019 he was appointed one of three trustees of the Smith Family Voting Trust, which holds a controlling position in the stock of A. O. Smith, and he is a first cousin of fellow trustees Robert L. Smith and Bruce M. Smith. He is a member of the Smith family, which holds a controlling interest in the company.

Mr. Lauber has served as executive vice president and chief financial officer of A. O. Smith since 2019, having previously been senior vice president, strategy and corporate development from 2013 to 2019. Earlier he was senior vice president and chief financial officer of A. O. Smith Water Products Company from 2006 to 2012 and held various A. O. Smith management positions from 1999 to 2006.

Mr. Stern has served as executive vice president, corporate development, strategy and secretary of A. O. Smith since 2025, having previously been executive vice president, general counsel and secretary from 2007 to 2025. Before joining the company he was a partner at the law firm Foley & Lardner LLP from 1997 to 2007.

Mr. Cheng became senior vice president and chief technology officer of A. O. Smith in 2025. He previously served as senior vice president of research and development for the Transportation & Electronics Business Group at 3M Company from 2019 to 2025.

Mr. Howe became senior vice president and chief digital information officer of A. O. Smith in 2025. He was previously chief executive officer of Rise and Shift, a consulting firm focused on cloud transformation, digital product development and AI/ML solutions, from 2023 to 2025, and earlier held senior roles at 3M Company including senior vice president – business transformation from 2018 to 2023 and vice president of global IT applications from 2015 to 2018.

Mr. Carver has served as senior vice president – global operations of A. O. Smith since 2021, having previously served as vice president – North America manufacturing from 2011 to 2021. He held various A. O. Smith management positions from 2006 to 2011.

Mr. Jones became senior vice president, general counsel and chief compliance officer of A. O. Smith in 2025, after serving as the company's vice president, corporate development and strategy from 2023 to 2025. He was previously general counsel and vice president of university relations at Marquette University from 2020 to 2023, and vice president and chief legal officer of Harley-Davidson Inc. from 2010 to 2019.

Mr. Karge has served as senior vice president of A. O. Smith and president of its North America Water Treatment business since 2018. He was previously vice president, sales and marketing at Zurn Industries from 2016 to 2018.

Mr. Kulkarni has served as senior vice president, international of A. O. Smith since 2022 and as president of A. O. Smith India Water Products Private Limited since 2022, having previously served as its managing director from 2015 to 2022.

Mr. O'Brien has served as senior vice president of A. O. Smith and president and general manager of North America Water Heating since 2024. He previously served as senior vice president and president of Lochinvar, LLC from 2022 to 2024 and as its chief operating officer from 2021 to 2022, and earlier was senior vice president at Mitsubishi Electric Trane US from 2017 to 2021.

Mr. Qiu has served as senior vice president of A. O. Smith and president of A. O. Smith China since 2020, having previously served as vice president of A. O. Smith China from 2012 to 2020. He held various A. O. Smith management positions from 2003 to 2012.

Mr. Schuh has served as senior vice president of A. O. Smith and president of Lochinvar, LLC since 2024. He was previously vice president and general manager of APCOM and Water Systems from 2017 to 2024 and vice president of product engineering from 2012 to 2017.

Mr. Selby has served as senior vice president – human resources and public affairs of A. O. Smith since 2024. He was previously chief operating officer of Board & Brush Creative Studio from 2015 to 2024, chief human resource officer at Gardner Denver from 2014 to 2015, and vice president of international human resources at Regal Beloit from 2011 to 2014; earlier he held human resources leadership roles at A. O. Smith Electrical Products Company from 2001 to 2011.
