Sharon Y. Bowen Independent Director

Ms. Bowen served as a Commissioner of the U.S. Commodity Futures Trading Commission from 2014 to 2017 and was previously a partner in the New York office of Latham & Watkins LLP, where she practiced from 1988 until 2014. She was appointed by President Obama in 2010 as Vice Chair of the Securities Investor Protection Corporation and later served as its Acting Chair. She chairs the board of the New York Stock Exchange and its affiliated U.S. regulated exchanges (ICE subsidiaries) and also serves on the boards of Neuberger Berman Group and Akamai Technologies. At ICE she serves on the Risk Committee.

Shantella E. Cooper Independent Director

Ms. Cooper is the Founder and Chief Executive Officer of Journey Forward Strategies, LLC, a leadership-development and organizational-effectiveness consulting firm. She previously served as Executive Director of the Atlanta Committee for Progress from 2019 to 2022, as Chief Transformation Officer of WestRock Company from 2016 to 2018, and as Vice President and General Manager of Lockheed Martin Aeronautics from 2011 to 2016. She serves on the boards of SouthState Corporation and Southern Company. At ICE she chairs the Risk Committee and serves on the Compensation Committee.

Duriya M. Farooqui Independent Director

Ms. Farooqui is an executive coach with The ExCo Group and previously served as President of Supply Chain Innovation at Georgia-Pacific from 2019 to 2020. She served the City of Atlanta in several leadership roles from 2007 to 2013, including as Chief Operating Officer from 2011 to 2013, and was a principal at Bain & Company from 2014 to 2016. She has served on the board of InterContinental Hotels Group PLC since 2020 and on the boards of ICE's NYSE U.S. regulated exchanges and ICE NGX subsidiaries. She serves on ICE's Audit Committee.

Lord Hague of Richmond Independent Director

Lord Hague of Richmond is the Chancellor of Oxford University and serves as Chair of the board of ICE Futures Europe, an ICE subsidiary. He was a member of the U.K. House of Commons from 1989 to 2015, holding roles including Foreign Secretary, First Secretary of State and Leader of the House of Commons, and is now a member of the House of Lords. Before entering Parliament he was a management consultant at McKinsey & Co. He serves on ICE's Nominating & Corporate Governance and Compensation Committees.

Lord Hill of Oareford Non-Independent Director

Lord Hill of Oareford CBE has advised on geo-politics for businesses in the U.S., U.K. and EU since 2016 and has served on the U.K. House of Lords Financial Services Regulation Select Committee since 2024. He served as European Commissioner for Financial Stability, Financial Services and the Capital Markets Union from 2014 to 2016 and as the U.K. government's Lead Non-Executive Director at HM Treasury from 2017 to 2024. He serves on the boards of ICE Endex Markets B.V. and ICE Futures Europe, both ICE subsidiaries. He joined the ICE board effective September 18, 2025 as a non-independent director.

Mark F. Mulhern Independent Director

Mr. Mulhern served as Executive Vice President and Chief Financial Officer of Highwoods Properties, Inc. until his retirement in January 2022, and previously as CFO of Exco Resources and of Progress Energy from 2008 until its 2012 merger with Duke Energy. He began his career at Price Waterhouse and is a Certified Public Accountant. He serves on the boards of Barings BDC, Barings Private Credit Corporation and Barings Capital Investment Corporation, and on the board of ICE Mortgage Technology Holdings, an ICE subsidiary. At ICE he chairs the Compensation Committee and serves on the Audit Committee.

Thomas E. Noonan Independent Director

Mr. Noonan is a founding partner of TechOperators, LLC and Chair of TEN Holdings, LLC. He co-founded Internet Security Systems in 1994, serving as Chair, President and CEO until its acquisition by IBM in 2006, and later co-founded JouleX and Endgame Security. He has served on the board of Manhattan Associates since 1999 and previously served on the White House National Infrastructure Advisory Council from 2002 to 2020. He is ICE's Lead Independent Director and chairs the Nominating & Corporate Governance Committee.

Daniel E. Pinto Independent Director

Mr. Pinto is the former President and Chief Operating Officer of JPMorgan, where he spent more than 40 years and served as sole President and COO from 2022 to July 2025. He previously led JPMorgan's Corporate & Investment Bank from 2012 to 2018 and served as Chief Executive Officer of the firm's EMEA region from 2011 to 2017. He has served on the board of Johnson & Johnson since 2025 and is a member of the board of the Institute of International Finance. He is being nominated to the ICE Board of Directors for the first time in 2026.

Jeffrey C. Sprecher Chair and Chief Executive Officer

Mr. Sprecher founded Intercontinental Exchange, acquiring its predecessor company Continental Power Exchange in 1997, and has served as its Chief Executive Officer since inception and as Chair of the Board of Directors since November 2002. He is responsible for the company's strategic direction and operational and financial performance. Before founding the company he held a number of positions, including President, over a fourteen-year period with Western Power Group, Inc., a developer, owner and operator of large central-station power plants.

Martha A. Tirinnanzi Independent Director

A. Warren Gardiner Chief Financial Officer

Mr. Gardiner has served as Chief Financial Officer of ICE since May 2021, responsible for the company's finance and accounting functions, treasury, tax, audit and controls, and investor relations. He previously served as ICE's Vice President of Investor Relations from July 2017 to May 2021, and before joining ICE held equity-research roles at Evercore ISI (2013-2017) and Barclays. He is a CFA Charterholder and holds a degree in Managerial Economics from Union College.

Benjamin R. Jackson President, Intercontinental Exchange

Mr. Jackson has served as President of Intercontinental Exchange since November 2017, responsible for ICE's global technology, information security and operations and for coordinating its global futures and OTC trading businesses; he also leads integration of ICE's acquisitions and chairs ICE Mortgage Technology Holdings. He previously served as ICE's Chief Commercial Officer and, before that, as President and Chief Operating Officer of ICE Futures U.S. He joined ICE in July 2011 from SunGard, where he led the energy and commodities business segment.

Mr. Edmonds has served as President, Fixed Income & Data Services since January 2024, managing ICE's global fixed income and data business. He joined ICE in February 2010 and previously served as Chief Executive Officer of the International Derivatives Exchange Group.
