Robyn Jones is a co-founder of Goosehead and has served as a director and Vice Chairman of the Board of Directors since March 2018. Prior to her retirement in 2020, Ms. Jones managed the Company's physical facilities, was actively involved in its recruiting program, and led its Women's Initiative Network. She was awarded a Doctor of Humane Letters degree from Montana State University, and she was nominated for re-election as a Class II Director at the 2026 Annual Meeting.

Peter Lane has served as a member of Goosehead's Board of Directors since March 2018 and is the Board's lead independent director as well as chairman of the Compensation Committee. He previously served as chief executive officer of Axip Energy Services LP (formerly Valerus) from 2010 to 2016, was an operating partner with TPG Global from 2009 to 2011, and spent 12 years at Bain & Company where he became a partner in 2003. He has served on the board of Taylor Morrison Homes since 2012 and holds a BS in physics from the University of Birmingham and an MBA from the Wharton School.

James Reid has served as a member of Goosehead's Board of Directors since March 2018 and serves on its Audit and Compensation Committees. He was named president and CEO of Higginbotham in 1989 at the age of 27, where he implemented the firm's 'single source' service model and established its employee ownership structure, growing it into one of the nation's 20 largest independent insurance brokerage firms. He received a bachelor's degree in business administration/insurance from the University of North Texas.

Waded Cruzado has served as a member of Goosehead's Board of Directors since February 2022 and serves on its Compensation and Nominating and Governance Committees. She served as President of Montana State University from 2010 until her retirement in June 2025, and was appointed by President Barack Obama to the Board for International Food and Agricultural Development in 2012. She was formerly a member of the Board of Directors of PayneWest Insurance before its acquisition by Marsh & McLennan Agency, and holds degrees from the University of Puerto Rico and the University of Texas at Arlington.

William Wade, Jr. has served as a member of Goosehead's Board of Directors since April 2025 and chairs its Audit Committee. He has over 25 years of experience as a senior partner and consultant at Bain & Company, specializing in leveraging emerging technologies, including artificial intelligence, to drive innovation and growth. He holds an MBA from Harvard Business School, where he was a Baker Scholar and Siebel Scholar, and bachelor's and master's degrees in accountancy from Brigham Young University.

Louis Goldberg has served as a member of Goosehead's Board of Directors since February 2026 and serves on its Nominating and Governance Committee. He previously was a senior partner of Davis Polk & Wardwell LLP for over 28 years and a leader of its board advisory practice, recognized by Forbes as one of America's Top Lawyers in 2025 and by American Lawyer as a 'Dealmaker of the Year' for 2024. He holds a B.Bus.Sci LLB degree (Magna Cum Laude) from the University of Cape Town and an LLM (First Class honors) from Cambridge University.

Thomas McConnon served as a non-employee director of Goosehead and received director compensation for the year ended December 31, 2025 as a Class II Director. He announced that, with his term expiring at the 2026 Annual Meeting, he elected to roll off from the Board of Directors effective February 18, 2026 and is not standing for re-election. Per the Company's Form 8-K, his departure was not the result of any dispute or disagreement with the Company on any matter relating to its operations, policies, or practices.

Mark E. Jones is a co-founder of Goosehead who has served as Executive Chairman of the Board of Directors since July 1, 2024, having previously served as the Company's CEO from co-founding it in 2003 through July 1, 2024 and as Chairman since the Board was established. Before Goosehead he worked at Bain & Company from 1991 to 2004, most recently as a senior partner and director, and began his career at Ernst & Young in Calgary. He earned a Bachelor of Commerce from the University of Alberta and an MBA from Harvard Business School, and the Jones family is the Company's largest shareholder.

Mark K. Miller has served as Goosehead's CEO since July 1, 2024 and as a director since March 2018, and previously served as President and Chief Operating Officer from May 2022; effective April 20, 2026 he ceased being President of the Company. Before Goosehead he was CFO of several Vista Equity Partners portfolio companies, including Pluralsight, Finastra, Marketo, and Active Network, and spent 18 years at Sabre Holdings where he served as CFO from 2010 to 2013. He holds an accounting degree from Texas Tech University and an MBA in finance from Rice University.

Mark E. Jones, Jr. joined Goosehead in 2016 as its controller, was promoted to vice president of finance in 2020, served as Chief Financial Officer from September 2022, and added the Chief Operating Officer role in August 2025. Effective April 20, 2026 he was promoted to President and Chief Operating Officer and is no longer CFO; he is the son of Mark E. Jones and Robyn Jones, the Company's co-founders. He is a graduate of Texas A&M University with a bachelor's degree in accounting and a master's degree in finance and is a Certified Public Accountant, having previously worked in Ernst & Young's audit practice.

John T. O'Connor served as Goosehead's General Counsel since May 2022 and was appointed Corporate Secretary in 2023, responsible for the Company's legal operations, policy, regulatory compliance, and real estate and facilities. Prior to joining Goosehead he spent fifteen years in private legal practice, including more than a decade with Weil, Gotshal & Manges LLP, and served as outside counsel and advisor to Goosehead beginning in 2019. On March 30, 2026 the Company announced he would be leaving Goosehead effective immediately. He holds an undergraduate degree from Loyola Marymount University, a master's degree from Pepperdine University, and a J.D. from Southern Methodist University.

John Martin was appointed Goosehead's Chief Financial Officer effective April 20, 2026. Since November 2021 he had served as CFO of RugsUSA, a private equity-backed e-commerce platform, and previously held public and private equity investment roles at Highbridge Capital Management and Providence Equity Partners after beginning his career in the Investment Banking Division at Morgan Stanley. He graduated summa cum laude from Duke University with a Bachelor of Science in Economics and was elected to Phi Beta Kappa.

Martin Ellis Thornthwaite was appointed General Counsel of Goosehead effective March 30, 2026. He most recently served as Senior Vice President and Associate General Counsel at RealPage, Inc., where he oversaw complex commercial and consumer litigation, regulatory and governmental investigations, and employment-related legal matters; earlier he was a member at Clark Hill PLC and a partner at Strasburger & Price LLP. He holds a Juris Doctor from the SMU Dedman School of Law and a BBA in Finance and Business Honors from The University of Texas at Austin's McCombs School of Business.
