Encompass Health Corp Leadership

Greg D. Carmichael has served as the independent chairman of the Encompass Health board since joining it on January 1, 2020, and sits on the Compensation and Human Capital and Nominating/Corporate Governance committees. He is executive chair of the board of City National Bank, a subsidiary of Royal Bank of Canada, and of RBC U.S. Group Holdings LLC, roles he has held since October 2023. He spent two decades at Fifth Third Bancorp, retiring as executive chairman in April 2023 after serving as president and CEO from 2015, and earlier was chief information officer for Emerson Electric and held IT and leadership roles at General Electric.

Edward M. Christie III joined the Encompass Health board on November 27, 2023 and serves on its Audit and Compliance and Quality of Care committees. He was president and chief executive officer of Spirit Airlines from January 2019 until April 2025, having joined the carrier in 2012 and held roles including chief financial officer; Spirit filed a voluntary Chapter 11 petition in November 2024. He previously served as CFO of Pinnacle Airlines and in senior finance roles including CFO at Frontier Airlines, and qualifies as an audit committee financial expert.

Cain A. Hayes was elected to the Encompass Health board on January 30, 2026 and serves on its Compensation and Human Capital and Compliance and Quality of Care committees. He most recently was president and chief executive officer of Point32Health, a leading U.S. health plan, before retiring in 2024, and earlier led Gateway Health Plan from 2018 to 2021. He currently serves on the board of DocuSign and brings extensive experience in the healthcare payor and financial services industries.

Joan E. Herman has served as an Encompass Health director since January 25, 2013 and sits on the Compensation and Human Capital and Compliance and Quality of Care committees. Since 2008 she has been president and CEO of Herman & Associates, LLC, a healthcare and management consulting firm, and from 1998 to 2008 held senior management positions, including division president and CEO, at Elevance (formerly Anthem/WellPoint). She currently serves as a director of Ionis Pharmaceuticals.

Leslye G. Katz has been an Encompass Health director since January 25, 2013 and chairs the Nominating/Corporate Governance Committee while also serving on the Audit Committee. She previously served as senior vice president and chief financial officer of IMS Health, and earlier held financial management positions with The Dun & Bradstreet Corporation and served as CFO of American Lawyer Media. She qualifies as an audit committee financial expert.

Kevin J. O'Connor joined the Encompass Health board on March 30, 2022 and chairs the Compensation and Human Capital Committee. He is senior vice president, general counsel and corporate secretary of Lockheed Martin Corporation, and previously served as chief legal officer of Carrier Corporation from 2020 to 2024 and of Point72 Asset Management from 2015 to early 2020. Earlier he practiced law for 20 years, including as Associate Attorney General and U.S. Attorney for the District of Connecticut at the U.S. Department of Justice.

Christopher R. Reidy has served as an Encompass Health director since October 1, 2021 and chairs the Audit Committee. Until retiring in 2022 he was executive vice president, chief financial officer and chief administrative officer of Becton, Dickinson and Company, and earlier held senior finance roles including corporate vice president and CFO of ADP. He currently serves on the board of Embecta Corp. and qualifies as an audit committee financial expert.

Nancy M. Schlichting has been an Encompass Health director since December 11, 2017 and chairs the Compliance and Quality of Care Committee. She retired in 2016 as president and CEO of Henry Ford Health System, a role she held from 2003, having previously served as its executive vice president and COO and in leadership roles at Catholic Health Initiatives and Summa Health System. She currently serves as a director of Baxter International.

Terrance Williams joined the Encompass Health board on January 1, 2020 and serves on the Audit and Nominating/Corporate Governance committees. He is president and chief executive officer of TruStage Financial Group, a role he assumed in June 2023, and previously was executive vice president at Allstate and chief marketing officer of Nationwide Mutual Insurance, where he spent 24 years. He qualifies as an audit committee financial expert.

Mark J. Tarr has served as president and chief executive officer of Encompass Health since December 29, 2016 and is a member of the board of directors. He joined the company (then HealthSouth) in 1993 and held various management positions, including president of the inpatient division from 2004 to 2007, executive vice president of operations from October 2007 and chief operating officer from February 2011, before becoming CEO. He has more than 30 years of experience operating inpatient rehabilitation hospitals and serves on the board of Protective Life Corp.

Patrick W. Tuer was named executive vice president and chief operating officer of Encompass Health on April 24, 2025. He joined the company in November 2018 as regional vice president of operations, became Northeast Regional President in March 2021 and Group President in August 2023, overseeing three geographic operating regions comprising 69 hospitals. He serves on the boards of the American Medical Rehabilitation Providers Association and the Federation of American Hospitals.

Douglas E. Coltharp has served as executive vice president and chief financial officer of Encompass Health since May 6, 2010. Before joining the company he was a partner at Arlington Capital Advisors and Arlington Investment Partners, and spent 11 years as executive vice president and CFO of Saks Incorporated after roughly a decade at NationsBank. He currently serves on the board of directors of Under Armour, Inc.

Patrick Darby was named executive vice president, general counsel and secretary of Encompass Health effective February 18, 2016. Before joining the company he was a partner at the law firm Bradley Arant Boult Cummings LLP in Birmingham, Alabama, where he practiced from 1990 to 2016, and served as an adjunct professor at the Cumberland School of Law.

Dr. Elissa J. Charbonneau, a board-certified physical medicine and rehabilitation physician, has served as chief medical officer of Encompass Health since July 1, 2015, after briefly serving as vice president of medical services earlier that year. From 2001 to 2014 she was medical director of New England Rehabilitation Hospital of Portland, a joint venture between Maine Medical Center and Encompass Health. She received her doctor of osteopathic medicine from New York College of Osteopathic Medicine and a bachelor's degree from Cornell University.

Andrew L. Price was named chief accounting officer of Encompass Health in October 2009, having joined the company in June 2004 and held roles including senior vice president of accounting and vice president of operations accounting. Before joining he was senior vice president and corporate controller of Centennial HealthCare Corp. from 1996 to 2004 and a manager in the Atlanta audit practice of BDO Seidman. He is a certified public accountant and a member of the American Institute of Certified Public Accountants.

Edmund M. Fay joined Encompass Health in 2008 as senior vice president and treasurer. Before joining the company he had more than 16 years of experience in financial services, serving in various positions at Regions Financial Corporation, including executive vice president of strategic planning and mergers and acquisitions. Earlier he held vice president positions at Wachovia Corporation and J.P. Morgan & Company.
