Rick L. Burdick has served as a Director of CBIZ since 1997 and as non-executive Chair of the Board since August 2022, having previously served as the Board's Lead Director from 2007 and Vice Chair from 2002. He was a partner at the law firm Akin Gump Strauss Hauer & Feld LLP from 1988 until his retirement in 2019, and since 2022 has served as non-executive Chair of the Board of AutoNation, Inc. (NYSE: AN). An NACD Fellow with the CERT Certificate in Cybersecurity Oversight, he brings broad transactional, regulatory and global professional-services governance experience to the Board.

Gina D. France has served as a Director of CBIZ since February 2015 and is the founder, President and Chief Executive Officer of France Strategic Partners, LLC, a strategy and transaction advisory firm she launched in 2003. She previously was a Managing Director at Ernst & Young LLP, where she directed the firm's Center for Strategic Transactions, and earlier a Senior Vice President in the investment banking division of Lehman Brothers, Inc. She currently serves on the boards of the BNY Mellon Family of Funds and is an SEC-designated audit committee financial expert.

Jerome P. Grisko, Jr. has served as President and Chief Executive Officer of CBIZ since March 2016 and has been a member of the Board since November 2015. He joined CBIZ in September 1998 as Vice President, Mergers & Acquisitions and served as President and Chief Operating Officer from February 2000 until his appointment as CEO. Before joining CBIZ he practiced mergers-and-acquisitions and corporate law at Baker & Hostetler LLP, where he was a partner from 1995 to 1998.

Richard T. Marabito has served as a Director of CBIZ since August 2021 and is President and Chief Operating Officer and a director of Ryerson Holding Corporation (NYSE: RYI), a value-added processor and distributor of industrial metals. He previously served as Chief Executive Officer of Olympic Steel, Inc. (Nasdaq: ZEUS) from January 2019 to February 2025 after serving as its Chief Financial Officer from 2000 through 2018. A Certified Public Accountant, he is designated by the Board as an audit committee financial expert.

Kathy A. Raffa has served as a Director of CBIZ since February 2025, having been nominated pursuant to Marcum LLP's right to designate a board member in connection with the Company's acquisition of Marcum. She was President of Raffa, PC, a top-100 accounting firm based in Washington, D.C., until its 2018 merger with Marcum, and then served as Office Managing Partner for Marcum's D.C. region offices until retiring in October 2023. She is a Certified Public Accountant licensed in the District of Columbia and Maryland and previously served on the board of Eagle Bancorp, Inc. (Nasdaq: EGBN).

A. Haag Sherman has served as a Director of CBIZ since August 2020 and has been Chief Executive Officer and a director of Tectonic Financial, Inc. and its predecessor bank and financial holding company since February 2015. He co-founded the Houston-based investment firm Salient Partners, LP in 2002, serving in roles including Chief Executive Officer and Chief Investment Officer through October 2011. An attorney and Certified Public Accountant, he previously served as a director of Hilltop Holdings, Inc. (NYSE: HTH) and is an SEC-designated audit committee financial expert.

Todd J. Slotkin has served as a Director of CBIZ since September 2003. He served as Executive Vice President and Chief Financial Officer of MacAndrews & Forbes Holdings Inc. and of publicly owned M&F Worldwide (NYSE: MFW) from 1998 to 2006, and earlier spent seventeen years with Citigroup, ultimately as Senior Managing Director and Global Head of its Leveraged Capital Group. He later held senior roles at Alvarez & Marsal and served as lead independent director of the Apollo Senior Floating Rate Fund and Apollo Tactical Income Fund; the Board designates him an audit committee financial expert.

Benaree Pratt Wiley is an independent Director of CBIZ who serves on the Company's Compensation and Human Capital Committee. Her current term expires at the 2026 Annual Meeting of Shareholders, and she is not standing for re-election.

Rodney A. Young has served as a Director of CBIZ since February 2023 and has been Chief Executive Officer of Delta Dental of Minnesota since 2012. He previously served as Chief Executive Officer of MGC Diagnostics (Nasdaq: MGCD) and as Chair, CEO and President of LecTec Corporation, both former public medical-technology manufacturers. His experience in sales, marketing, strategy and business development across the dental-benefit, med-tech, pharmaceutical and healthcare industries supports oversight of the Company's benefits and insurance businesses.

Brad Lakhia has served as Senior Vice President and Chief Financial Officer of CBIZ since March 2025. Before joining CBIZ he was Executive Vice President and Chief Financial Officer of OPENLANE, Inc., an operator of digital marketplaces for wholesale used vehicles, and earlier served as Vice President Finance, Americas of The Goodyear Tire & Rubber Company from November 2019 to April 2023. He previously held Vice President, Business Planning & Analysis and Vice President, Treasurer and Credit roles at Andeavor (formerly Tesoro Corp.) and spent nearly two decades in finance roles at Goodyear.

Michael P. Kouzelos has served as President of the Benefits and Insurance practice group of CBIZ since May 2015. He joined CBIZ in June 1998 and held a series of roles including Director of Business Integration, Vice President of Strategic Initiatives and Chief Operating Officer of the Benefits and Insurance practice group before his appointment as President. Prior to joining CBIZ he was associated with the international accounting firm KPMG LLP from 1990 to 1996.

Chris Spurio served as President, Financial Services of CBIZ and was a named executive officer for 2025. The Company announced on January 14, 2026 that he would no longer serve as President, Financial Services effective January 31, 2026, and it is anticipated that he will serve as a consultant to the Company through December 31, 2026.

Ware H. Grove served as Senior Vice President and Chief Financial Officer of CBIZ from 2000 until his retirement on March 17, 2025, when he was succeeded by Brad Lakhia. He remained a named executive officer for fiscal 2025 in respect of his partial-year service as CFO.
