Acquisition criteria
Build both, then pivot to one.
In the mid-2000s Agilysys used M&A to assemble two very different businesses in parallel — an IT-distribution and storage arm (The CTS Corporations in 2005, then Stack Computer at $25.2M and Innovativ Systems Design at $108.6M in 2007) and a hospitality-software arm (Kyrus, Inter-American Data, Visual One, InfoGenesis and Eatec). It then sold the distribution side, most visibly the $485M KeyLink Systems sale to Arrow in 2007, and re-emerged as a focused hospitality software company. The acquisition record is really the story of that deliberate transformation.

Each hospitality deal added a distinct operational layer: Inter-American Data brought hotel-casino and resort property and materials management; InfoGenesis added enterprise point-of-sale; Eatec added inventory and procurement; Visual One and ResortSuite deepened property management for resorts, condos and spas; and Book4Time added spa and wellness. Management repeatedly described targets as 'highly complementary' and chosen to 'enhance our product and services offerings, broaden our customer base and expand our markets.'

Integration approach
Recent deals are all-cash Canadian SaaS leaders that lift solutions-per-customer.
After a decade of organic focus, Agilysys returned to M&A with two all-cash acquisitions of Canadian hospitality-SaaS providers — ResortSuite ($24.8M, closed January 2022) and Book4Time ($148.3M, August 2024). Both target category leadership (Book4Time is described as the industry's #1 spa/wellness SaaS across 100+ countries) and both are framed around increasing subscription revenue and selling more solutions per existing customer globally.
