The Acquisition Playbook.

Three patterns run through ACV Auctions's acquisitions — what it looks for, how it pays, and how it folds in what it buys.

01
Acquisition criteria
Build the data moat.
ACV's software deals target its data-services layer: MAX Digital added a dealer inventory-management and pricing system, and Monk SAS added computer-vision AI that detects vehicle damage from phone photos. COO Vikas Mehta called imaging AI a strategic addition to the product roadmap as ACV builds the most comprehensive data services platform in the industry.

02
Capital deployment
Roll up physical auctions.
In 2024 ACV acquired three brick-and-mortar auto auctions — Alliance (Abilene, TX), 166 (Springfield, MO) and Indiana (Fort Wayne, IN) — for roughly $146 million combined, extending its digital marketplace into physical remarketing and the off-lease and commercial segment.

03
Integration approach
Small, disclosed tuck-ins.
ACV's deals are modest in size and disclosed largely through 10-K Business Combinations notes rather than standalone 8-Ks; only the $60 million MAX Digital purchase warranted a dedicated 8-K and press release.
