Robert A. Michael is AbbVie's Chairman of the Board and Chief Executive Officer, a role he has held since July 2025; he became CEO in 2024 and served as President and Chief Operating Officer from July 2023 to June 2024. He previously held a series of senior finance leadership roles at AbbVie, including Vice Chairman and President, Vice Chairman, Finance and Commercial Operations and Chief Financial Officer, and Executive Vice President, Chief Financial Officer. Mr. Michael first joined Abbott in 1993 and held numerous leadership positions across several business units before joining AbbVie in 2013. He has served as an AbbVie director since 2024.

Roxanne S. Austin is AbbVie's Lead Independent Director and President of Austin Investment Advisors, a private investment and consulting firm. She previously served as President and Chief Executive Officer of Move Networks, President and Chief Operating Officer of DIRECTV, and Executive Vice President and Chief Financial Officer of Hughes Electronics, and was a partner of Deloitte & Touche. Ms. Austin has served on AbbVie's board since 2013 and chaired the U.S. Mid-market Investment Advisory Committee of EQT Partners from 2017 to 2023. She currently serves as a director of CrowdStrike, Freshworks and Verizon Communications.

William H.L. Burnside is a retired Senior Vice President and director at The Boston Consulting Group (BCG). He became managing partner of BCG's Los Angeles office in 1987 after working in the firm's London and Chicago offices, serving clients across telecommunications, media, defense, financial services and manufacturing, and most recently served as an advisor to BCG from 2011 to 2023. He has been an AbbVie director since 2013 and serves on the Audit and Public Policy & Sustainability committees.

Jennifer L. Davis is Chief Executive Officer, Health Care at Procter & Gamble, a position she has held since 2022. She previously served at P&G as President, Feminine Care, President, Global Feminine Care, and Vice President, Feminine Care, North America, over a 30-plus-year career, and has announced plans to retire from P&G in June 2026. Ms. Davis has served as an AbbVie director since 2023 and sits on the Nominations & Governance committee.

Thomas J. Falk is the retired Chairman and Chief Executive Officer of Kimberly-Clark Corporation, where he spent 36 years and served as Chairman and CEO from 2003 to 2018 and as Executive Chairman until his retirement in December 2019. He was appointed to AbbVie's board as a Class III director in May 2025 and serves on the Audit committee. Mr. Falk is also Lead Independent Director of Lockheed Martin and a director of the Bipartisan Policy Center and the Baker Institute, and serves as a National Governor of the Boys and Girls Clubs of America.

Thomas C. Freyman is the retired Executive Vice President, Finance and Administration of Abbott Laboratories, where he served as Chief Financial Officer beginning in 2001 and retired in 2017. He joined AbbVie's board in 2020 after serving as a director of Allergan from 2018 until AbbVie's acquisition of Allergan plc. Mr. Freyman chairs the Nominations & Governance committee and serves on the Compensation committee. He previously served as a director of Tenneco Inc. from 2013 to 2022 and Hanger, Inc. from 2017 to 2022.

Brett J. Hart is President of United Airlines Holdings, Inc. and United Airlines, Inc. He has held senior roles at United including Executive Vice President and Chief Administrative Officer and General Counsel, and served as acting Chief Executive Officer of the company from October 2015 to March 2016; earlier he was Executive Vice President, General Counsel and Corporate Secretary at Sara Lee Corporation. Mr. Hart has served as an AbbVie director since 2016 and chairs the Compensation committee while also serving on Nominations & Governance.

Melody B. Meyer served as President of Chevron Asia Pacific Exploration and Production Company from 2011 to 2016 and as President of Chevron Energy Technology Company from 2008 to 2011, capping a 37-year career at Chevron. Since her 2016 retirement she has led Melody Meyer Energy, LLC, a private consulting firm. Ms. Meyer joined AbbVie's board in 2017 and chairs the Public Policy & Sustainability committee. She is a director of bp p.l.c. and previously served as a director of NOV, Inc. from 2017 to 2023.

Susan E. Quaggin, M.D., is the Irving S. Cutter Professor of Medicine at Northwestern University Feinberg School of Medicine, where she has chaired the Department of Medicine since 2023 and directed the Feinberg Cardiovascular and Renal Research Institute since 2013. She is a council member of the Association of American Physicians and served as President of the American Society of Nephrology in 2021 and 2022. Dr. Quaggin has served as an AbbVie director since 2023 and sits on the Public Policy & Sustainability committee, contributing medical and scientific expertise.

Edward J. Rapp is the retired Group President for Resource Industries of Caterpillar Inc., a role he held from 2014 until his 2016 retirement; he previously served as Caterpillar's Chief Financial Officer from 2010 to 2013 and as a Group President from 2007. He brings extensive international operating and financial experience across Asia, Africa and Europe. Mr. Rapp has served as an AbbVie director since 2013 and serves on the Audit and Nominations & Governance committees. He is also a director of Xos, Inc.

Rebecca B. Roberts served as President of Chevron Pipe Line Company from 2006 until her 2011 retirement and as President of Chevron Global Power Generation from 2003 to 2006, over a 36-year career at Chevron that began as a chemist and research scientist. She joined AbbVie's board in 2018. Ms. Roberts serves on the Nominations & Governance and Public Policy & Sustainability committees. She previously served as a director of Enbridge, Inc., Black Hills Corporation and MSA Safety Incorporated.

Frederick H. Waddell is the retired Chairman and Chief Executive Officer of Northern Trust Corporation, where he served as Chairman from 2009 until his retirement in January 2019 and as CEO from 2008 through 2017. He brings broad financial-services leadership experience gained in a highly regulated industry. Mr. Waddell has served as an AbbVie director since 2013, chairs the Audit committee and serves on Compensation. He is also a director of International Business Machines Corporation.

Robert J. Alpern, M.D., is the Ensign Professor of Medicine and Physiology and Former Dean of the Yale School of Medicine, contributing deep scientific and health-care expertise to AbbVie's board since 2013. He has served on the Nominations & Governance and Public Policy & Sustainability committees. Consistent with AbbVie's governance guidelines, Dr. Alpern, having reached age 75, will not stand for re-election at the 2026 annual stockholder meeting, reducing the board to twelve directors.

Scott T. Reents is AbbVie's Executive Vice President, Chief Financial Officer. He previously served as AbbVie's Senior Vice President, Chief Financial Officer from June 2022 to November 2022, and earlier as Vice President, Tax and Treasury and Vice President, Tax. Mr. Reents joined Abbott in 2008 and was first appointed as an AbbVie corporate officer in June 2022.

Demetris D. Crum is AbbVie's Executive Vice President, Chief Human Resources Officer. He previously served as AbbVie's Vice President, Total Rewards, Vice President, Compensation, and Vice President, Business Human Resources for corporate staff functions. Before joining AbbVie, Mr. Crum held several human resources leadership roles at The Kraft Heinz Company and PepsiCo.

Nicholas J. Donoghoe, M.D., is AbbVie's Executive Vice President, Chief Business and Strategy Officer. He previously served as Senior Vice President, Chief Operating Officer, R&D, and in senior roles spanning Portfolio Innovation, Allergan Aesthetics global strategy and operations, and Enterprise Innovation. Prior to joining AbbVie, he was a Partner at McKinsey & Company, where he led the firm's Pharma and Biotechnology practice for over a decade. He was first appointed an AbbVie corporate officer in January 2019.

Azita Saleki-Gerhardt, Ph.D., is AbbVie's Executive Vice President, Chief Operations Officer. She previously served as Executive Vice President, Operations and Senior Vice President, Operations, and held quality and manufacturing leadership roles at Abbott including Vice President, Pharmaceuticals Manufacturing and Supply. Dr. Saleki-Gerhardt joined Abbott in 1993 and was first appointed as an AbbVie corporate officer in December 2012. She serves on the board of Entegris Inc.

Perry C. Siatis is AbbVie's Executive Vice President, General Counsel and Secretary. He previously served as Senior Vice President, Deputy General Counsel and in various senior legal roles including Chief Ethics and Compliance Officer. Mr. Siatis joined Abbott in 2005 and was first appointed as an AbbVie corporate officer in October 2022.

Jeffrey R. Stewart is AbbVie's Executive Vice President, Chief Commercial Officer. He previously served as Senior Vice President, U.S. Commercial Operations and as President, U.S. Commercial Operations, and before AbbVie's separation from Abbott was Vice President of Abbott's Proprietary Pharmaceutical Division, United States. Mr. Stewart joined Abbott in 1992 and was first appointed as an AbbVie corporate officer in December 2018.

Roopal Thakkar, M.D., is AbbVie's Executive Vice President, Research & Development and Chief Scientific Officer. He previously served as Senior Vice President of Development and Regulatory Affairs and Chief Medical Officer, and earlier as Vice President, Global Regulatory Affairs and R&D Quality Assurance. Dr. Thakkar joined Abbott in 2003 and was first appointed as an AbbVie corporate officer in December 2023.

David R. Purdue is AbbVie's Senior Vice President, Controller. He previously served as Vice President, Controller, Commercial Operations, Vice President, Corporate Treasurer, Vice President, Corporate Financial Planning and Analysis, and Vice President, Allergan Integration. Mr. Purdue joined Abbott in 2003 and was first appointed as an AbbVie corporate officer in March 2025.
