Timothy A. Holt has been a director of Virtus since it became an independent public company in 2009 and serves as Chairman of the Board and Chair of its Governance Committee. He held various senior management positions at Aetna until his 2008 retirement, including Senior Vice President and Chief Investment Officer, and later served as a director of MGIC Investment Corporation from 2012 to 2025 and StanCorp Financial Group.

Peter L. Bain has served on the Virtus board since 2019 and sits on its Compensation and Governance Committees. He was President, Chief Executive Officer and a director of OM Asset Management (now Acadian Asset Management) from 2011 to 2017, and earlier held senior roles at Legg Mason, including Senior Executive Vice President and head of affiliate management and corporate strategy.

Paul G. Greig joined the Virtus board in 2019 and chairs its Audit Committee. He served as Chairman, and briefly interim CEO and President, of Opus Bank from 2017 to 2019, and was previously Chairman, President and Chief Executive Officer of FirstMerit Corporation from 2006 to 2016; he was also a director of the Federal Reserve Bank of Cleveland from 2011 to 2014.

Melody L. Jones has served on the Virtus board since 2014 and chairs its Compensation Committee. She is the founder of 32-80 Advisors LLC and, as of February 2025, interim Chief Human Resources Officer of Heidrick & Struggles; she was previously Chief Administrative Officer and CHRO of CEB and global head of Human Resources for T. Rowe Price.

W. Howard Morris joined the Virtus board in 2021 and serves on its Audit Committee. He has been President and Chief Investment Officer of The Prairie & Tireman Group since 1998, is a CPA and CFA charterholder, and served on the board of Owens Corning from 2007 to 2025; he currently serves a term on the Michigan State Tax Commission.

John C. Weisenseel was appointed to the Virtus board in December 2024 and serves on its Audit Committee. He was Senior Vice President and Chief Financial Officer of AllianceBernstein from 2012 to 2021, and previously held financial leadership roles at McGraw Hill, including CFO of its Standard & Poor's subsidiary, and served as corporate treasurer of Barnes & Noble.

John T. Boyce was appointed to the Virtus board effective August 19, 2026 and serves on its Audit Committee. He was head of North America distribution for Insight Investment, a subsidiary of The Bank of New York Mellon Corporation, from 2018 to 2023, and was previously managing director and head of North American distribution at Standard Life Investments from 2012 to 2018.

George R. Aylward has served as President of Virtus since November 2006 and as President and CEO since January 1, 2009, when the company became an independent public company following its spin-off from The Phoenix Companies. He joined the predecessor firm, Phoenix Investment Partners, in 1996, holding senior operating and financial roles, and directed the 2008 spin-off and transition to public-company status; he is also a director and serves as President and Trustee of the Virtus funds.

Michael A. Angerthal has been Executive Vice President, Chief Financial Officer and Treasurer of Virtus since January 1, 2009, when the company became independent, and also serves as its principal accounting officer. He joined predecessor Phoenix Investment Partners as SVP and CFO in 2008, and previously was CFO of CBRE Realty Finance and held several finance positions at GE; he is a CPA with an MBA from Columbia Business School.

Barry M. Mandinach is Executive Vice President and Head of Distribution, leading distribution, positioning, marketing and sales of Virtus investment products across all platforms. With more than 40 years in the investment management industry, he joined Virtus in 2014 after 12 years at UBS Global Asset Management (U.S.), most recently as Head of Wholesale Distribution and Chief Marketing Officer, and was earlier a co-founder of the Zweig Mutual Funds.

Richard W. Smirl has served as Executive Vice President and Chief Operating Officer of Virtus since May 2021, overseeing product management and development, investment operations and information technology. He was previously Chief Operating Officer of Russell Investments from 2018 to 2021, and earlier held leadership roles at William Blair Investment Management and Strong Capital Management; he holds a J.D. from Loyola University Chicago School of Law.

Andra C. Purkalitis joined Virtus in November 2023 as Executive Vice President, Chief Legal Officer, General Counsel and Corporate Secretary, guiding the legal, regulatory and compliance functions and advising the Board. She was previously Global Chief Compliance Officer and Regulatory Counsel at Affinius Capital and at Russell Investments, served as Regional CEO and Chief Legal Officer at Aviva Investors Americas, and earlier was a Branch Chief and Enforcement Attorney at the U.S. Securities and Exchange Commission.
