In November 2023, Republic Services acquired all of the issued and outstanding capital stock or other ownership interests of Advanced Chemical Transport LLC (ACT). ACT's environmental solutions operations were concentrated in the western United States, offering hazardous and non-hazardous waste management and related services. Republic characterized the deal as adding growth opportunities in its environmental solutions line of business and disclosed it was not material to results of operations, individually or in the aggregate, with no separate purchase price provided.
In May 2021, Republic Services acquired all of the membership interests of Santek Waste Services, LLC. Santek operated a vertically integrated recycling and waste services business concentrated in the southeastern United States, spanning collection, transfer and landfill operations. Republic folded the business into its core operations, where it complemented the company's existing capabilities and expertise in the environmental services industry. Republic disclosed that the acquisition was not material to its results of operations, individually or in the aggregate, and did not provide a separate purchase price.
In March 2023, Republic Services acquired all of the issued and outstanding shares and other equity interests of Wasteco Holdings Inc. and its related subsidiaries. Republic disclosed the transaction among its solid waste and recycling acquisitions for the year and stated it was not material to the company's results of operations, individually or in the aggregate; no separate purchase price or further detail on the business was disclosed.
In September 1998, Republic Services signed an agreement with Waste Management, Inc. to acquire a portfolio of operating assets and to enter into disposal agreements at various Waste Management facilities. The assets - which Waste Management divested in connection with regulatory clearance of its combination with USA Waste - comprised 16 landfills, 11 transfer stations and 139 commercial collection routes across the United States. By March 1999 Republic had completed the purchase for approximately $438.0 million in cash plus certain properties, accounting for the assets under the purchase method; roughly $251.1 million of the purchase price was paid during the first quarter of 1999. The transaction materially expanded Republic's early collection and disposal network as it operated as a newly independent public company.
In February 2026, Republic Services acquired certain assets and assumed certain liabilities from Hamm, LLC, N.R. Hamm Quarry, LLC, N.R. Hamm Contractor, LLC, and Cornejo & Sons, LLC, together constituting a vertically integrated recycling and waste business located in Kansas. Republic disclosed the transaction among the acquisitions closed through mid-February 2026 (for which it had paid approximately $400 million in aggregate) and stated its acquisitions were not material to results of operations, individually or in the aggregate; no separate purchase price for the Kansas business was disclosed.
In February 2025, Republic Services acquired all of the issued and outstanding shares of COP Shamrock Parent, Inc. (Shamrock), a leading provider of environmental solutions offering industrial waste and wastewater treatment services. Shamrock's operations were concentrated in the northeastern and southeastern United States and gave Republic a platform to pursue additional growth in its environmental solutions line of business. Republic disclosed the acquisition was not material to results of operations, individually or in the aggregate, and did not break out a separate purchase price.
In December 2023, Republic Services acquired all of the issued and outstanding membership and other equity interests of Central Texas Refuse, LLC and an affiliate (collectively, CTR). CTR operated a vertically integrated recycling and waste services business in and around Austin, Texas, giving Republic the opportunity to re-enter the high-growth Austin market. Republic disclosed the acquisition was not material to its results of operations, individually or in the aggregate, and provided no separate purchase price.
In August 2021, Republic Services acquired all of the issued and outstanding shares of ACV Enviro Corporation. ACV's environmental solutions operations were concentrated in the northeastern United States, providing hazardous and non-hazardous waste handling and related environmental services. Republic positioned the acquisition as a platform to pursue additional growth in its environmental solutions line of business. The company disclosed the acquisition was not material to its results of operations, individually or in the aggregate, and did not provide a separate purchase price.
Republic Services acquired GFL Environmental's vertically integrated operations in Colorado and New Mexico, comprising recycling, collection and disposal assets. The operations serve four Colorado markets - Denver, Colorado Springs, Durango and Cañon City - as well as the Bloomfield, New Mexico market. The deal brought new commercial and residential customers and employees into the Republic team.
US Ecology, Inc. (NASDAQ-GS: ECOL) was a leading provider of environmental solutions offering treatment, recycling and disposal of hazardous, non-hazardous and specialty waste. Republic acquired all outstanding shares for $48.00 per share in cash. US Ecology's trailing-twelve-month revenue as of September 30, 2021 was $968 million with adjusted EBITDA of $156 million. Republic financed the transaction using proceeds of a new $1.0 billion unsecured term loan facility and borrowings under its credit facility. $48.00 per share in cash; total value of approximately $2.2 billion including net debt of approximately $0.7 billion.

Prior to the acquisition, ReCommunity was the largest independent recycling-processing company in the United States, with 26 recycling centers in 14 states, operating primarily in locations where Republic maintains a leading market presence. $168.0 million, net of cash acquired, plus $6.0 million of certain capital leases.

Tervita, LLC was a pure-play environmental waste solutions provider serving oil and natural gas producers in the United States, operating treatment, recovery and disposal (TRD) facilities, engineered landfills, and salt water disposal (SWD) injection wells, plus closed-loop solids control and transportation services. Its assets, staffed by roughly 500 U.S. employees, spanned leading domestic basins including the Permian, Eagle Ford and Bakken. Republic Services (via a subsidiary) bought the U.S. operations from Calgary-based Tervita Corporation to establish a vertically integrated platform in the E&P waste sector.
Rainbow Disposal Co., Inc. was one of Southern California's largest independent solid waste companies, with hauling routes across Huntington Beach, Fountain Valley, Midway City, Westminster, Orange County, Newport Beach and Irvine, plus a recycling facility, a transfer station, a compressed natural gas (CNG) refueling station and a CNG-powered fleet. Republic Services acquired the business and its facilities and folded it into a newly created business unit based at the Huntington Beach campus, retaining Rainbow's principals and its roughly 350 employees.
Allied Waste Industries was the third-largest non-hazardous solid waste management company in the United States. The merger combined the industry's second-largest (Republic) and third-largest (Allied) companies into a national environmental services platform serving more than 13 million customers in 40 states and Puerto Rico with more than 35,000 employees. Each share of Allied common stock was converted into 0.45 shares of Republic common stock. The combined company retained the Republic Services name and ticker (NYSE: RSG) and relocated its corporate headquarters to Phoenix. All-stock merger of equals; enterprise value of over $20 billion, creating a company with approximately $9 billion in pro forma annual revenue.
