Mr. Smiddy was elected Old Republic's President and Chief Executive Officer in 2019, having served as President and Chief Operating Officer since June 2018. He has been President and Chief Executive Officer of Old Republic Specialty Insurance Group (formerly Old Republic General Insurance Group) since 2015 and 2019, respectively, and was its Chief Operating Officer from 2013 to 2019. Before joining Old Republic he was President of the Specialty Markets Division of Munich Reinsurance America, Inc. He chairs the Board's Executive Committee and is the only management (non-independent) director.

Ms. Adachi retired from Deloitte in 2013, where she was the chief executive and National Managing Partner for Deloitte Consulting's Human Capital Consulting Practice, focusing for over 20 years on human capital strategy, organization transformation, executive compensation and diversity, equity and inclusion. Prior to Deloitte she spent 18 years in the insurance industry specializing in employee benefits and workers' compensation. She became NACD Directorship Certified in 2022 and earned a CERT Certificate in Cybersecurity Oversight from Carnegie Mellon University's Software Engineering Institute in 2024. At Old Republic she serves on the Audit and Governance and Nominating Committees.

Mr. Bateman was an audit partner with PricewaterhouseCoopers LLP until his retirement, capping a 37-year career as an auditor and business advisor for a large number of organizations across all major insurance fields. He gained extensive knowledge of the business and risk factors associated with the insurance industry during that time. He chairs Old Republic's Audit Committee, is designated an SEC 'financial expert,' and also serves on the Compensation and Executive Committees.

Ms. Caldwell is the Chief Executive Officer of Caldwell Collection, LLC, a fashion retail organization, and previously served as Executive Vice President and Chief Human Resources Officer of Reynolds American, R. J. Reynolds Tobacco Company, and RAI Services until her retirement in 2018. She is a member of the founding board of directors of Triad Business Bank and has held leadership roles at many charitable and educational organizations. At Old Republic she serves on the Compensation and Governance and Nominating Committees.

Until his retirement in 2024, Mr. Kennedy was a senior client partner with Korn Ferry, the global organizational consulting firm, where he was part of its global financial services market and a leader in its Diversity Center of Expertise. He previously held senior positions at GE Capital, Wachovia and J.P. Morgan & Co., and was appointed by President Obama to chair the Federal Retirement Thrift Investment Board, the largest U.S. pension fund, serving until his term ended in 2020. He chairs Old Republic's Governance and Nominating Committee and serves on the Audit and Executive Committees.

Mr. LeRoy served as Senior Vice President, Secretary and General Counsel of Old Republic from 1992 until his retirement in 2014, and previously was a partner with the law firm of Lord, Bissell and Brook (now Troutman Pepper Locke), with a legal career spanning insurance, corporate governance and financial matters. He has been a director since 2015, was determined independent in 2017, and has served as Chairman of the Board since 2021. He also serves on the Executive Committee.

Mr. McNitt is the retired Vice Chair of BMO Harris Bank, a position he held since 2006, and previously led BMO Harris' U.S. Corporate Banking as Executive Vice President and its U.S. Investment Banking as Executive Managing Director over a more than 40-year banking career. He also serves as a director of Hub Group, Inc. (NASDAQ: HUBG), a provider of intermodal highway and logistics services. He chairs Old Republic's Compensation Committee, is designated an SEC 'financial expert,' and serves on the Audit and Executive Committees.

Mr. Reed served as a Managing Director of The Vanguard Group, Inc., one of the world's largest asset managers, until his retirement in 2017, with overall responsibility for Vanguard's corporate finance and mutual fund finance functions and, most recently, its Strategy division. Prior to joining Vanguard in 2007 he was general counsel for a multi-line health and life insurance company, following a 21-year career as a partner at the Chicago law firm of Gardner, Carton & Douglas (now Faegre Drinker Biddle & Reath). He is designated an SEC 'financial expert' and serves on Old Republic's Audit and Compensation Committees.

Ms. Risch served as Executive Vice President and Chief Information & Technology Officer of American Electric Power Company, Inc. from July 2021 to April 2025 (Senior Vice President in that role from May 2020 to July 2021). She was previously Executive Vice President and Chief Information & Digital Officer at J.C. Penney Company and Executive Vice President and Chief Information Officer at COUNTRY Financial, and has roughly 10 years of direct insurance industry experience at The St. Paul Companies and COUNTRY Financial. Her expertise spans cybersecurity, artificial intelligence, technology transformation and IT operations, and she serves on Old Republic's Audit and Governance and Nominating Committees.

Mr. Smith was President and Chief Executive of Swiss Re Americas from 2011 to 2020 and held numerous executive roles over his career, including President of USAA Life Insurance Company and President of Allstate Financial Services. He also spent about 20 years in property and casualty insurance with COUNTRY Financial. His deep insurance industry experience aligns with the Company's specialty markets focus, and he serves on Old Republic's Compensation and Governance and Nominating Committees.

Mr. Walker was formerly Senior Counsel and Partner with Leland, Parachini, Steinberg, Matzger & Melnick, LLP in San Francisco, with significant experience as both an attorney and business manager over a long career largely focused on the title insurance industry. He has served as Old Republic's Lead Independent Director since 2021. He also serves on the Audit, Executive, and Governance and Nominating Committees.

Mr. Sodaro has served as Senior Vice President and Chief Financial Officer of Old Republic International since July 2021, having previously served as Deputy Chief Financial Officer from June 2017 to July 2021. As CFO he oversees the holding company's finance, investment and capital-management functions and leads investor communications on quarterly earnings calls.

Mr. Gray has been Executive Vice President of Old Republic International since May 2022 and Senior Vice President and Treasurer since June 2018, and previously served as Senior Vice President - Operations & Finance of Old Republic Specialty Insurance Group since September 2015. He is 58 years old and is one of the Company's named executive officers.

Ms. Monroe has served as Senior Vice President - Title Insurance of Old Republic International since August 2023 and as President and Chief Executive Officer of Old Republic National Title Holding Company and Old Republic National Title Insurance Company since December 2018 and January 2023, respectively, after joining in 2009. She leads Old Republic's title insurance segment and presents its results on the Company's quarterly earnings calls.

Mr. Oberst has been Executive Vice President of Old Republic International since October 2019 and is Chief Executive Officer of Old Republic Risk Management, Inc., which he joined in 1999. He is 58 years old and is one of the Company's named executive officers within the specialty insurance business.
