Greg Henslee serves as Affiliated Director and Executive Chairman of the Board of O'Reilly Automotive, Inc. He was Chief Executive Officer of the Company from 2005 to 2018 and President from 2012 to 2017, after serving as Co-President from 1999 to 2012. He brings more than 40 years of leadership and operational experience in the automotive aftermarket industry, and during his tenure he led the Company through the largest acquisition in its history, expanding O'Reilly into the western U.S.

David O'Reilly serves as Affiliated Director and Executive Vice Chairman of the Board of O'Reilly Automotive, Inc. He was Chief Executive Officer of the Company from 1993 to 2005 and President from 1993 to 1999, after serving as Vice President from 1975 to 1993. He brings more than 50 years of leadership and operational experience in the automotive aftermarket industry and led the Company through its initial public offering.

Thomas T. Hendrickson is the Lead Independent Director of O'Reilly Automotive, Inc., chairing its Audit Committee and serving on the Corporate Governance/Nominating Committee. He was Chief Administrative Officer, Chief Financial Officer and Treasurer of Sports Authority, Inc. from 2003 until his retirement in 2014, and previously held senior financial roles at Gart Sports Company and Sportmart, Inc. A certified public accountant qualified as an audit committee financial expert, he currently serves on the board of Ollie's Bargain Outlet Holdings, Inc. (OLLI) since 2015 and previously served on the board of Snap One Holdings Corp. (SNPO) from 2022 to 2024.

Kimberly A. deBeers is an Independent Director of O'Reilly Automotive, Inc., serving on the Human Capital and Compensation Committee and the Corporate Governance/Nominating Committee. She was a Partner at Skadden, Arps, Slate, Meagher & Flom LLP from 2004 until her retirement in February 2025, where she headed the M&A/Corporate Group in the firm's Chicago office and served on Skadden's Policy Committee. She brings more than 20 years of experience advising clients on securities, corporate matters, and domestic and cross-border mergers and acquisitions, and currently serves on the board of ACI Worldwide, Inc. (ACIW) since 2026.

Gregory D. Johnson serves as an Affiliated Director of O'Reilly Automotive, Inc. He was Chief Executive Officer of the Company from 2018 to 2024 and President from 2022 to 2023, after serving as Co-President from 2017 to 2022 and Executive Vice President of Supply Chain from 2014 to 2017. He brings more than 40 years of leadership and operational experience in the automotive aftermarket industry, and during his tenure he led the Company through its first international expansion.

John R. Murphy is an Independent Director of O'Reilly Automotive, Inc., serving on the Audit Committee and chairing the Human Capital and Compensation Committee. He served as Interim Chief Financial Officer of Summit Materials, Inc. in 2013, Senior Vice President and Chief Financial Officer of Smurfit-Stone Container Corporation from 2009 to 2010, and held progressive leadership roles at Accuride Corporation, Inc., including President and Chief Executive Officer from 2007 to 2008. A certified public accountant qualified as an audit committee financial expert, he currently serves on the board of Cadrenal Therapeutics, Inc. (CVKD) since 2023 and previously served on the boards of Summit Materials, Apria, Graham Packaging, and Accuride Corporation.

Dana M. Perlman is an Independent Director of O'Reilly Automotive, Inc., serving on the Audit Committee and chairing the Corporate Governance/Nominating Committee. She is Chief Growth and Operations Officer of G-III Apparel Group Ltd. since 2024, and previously served as Chief Strategy Officer and Treasurer of PVH Corp. from 2021 to 2022 after earlier senior treasury and investor relations roles there. She brings more than 20 years of leadership in the global retail industry, is qualified as an audit committee financial expert, and previously served on the board of Sigma Lithium Corporation (SGML) from 2022 to 2023.

Maria A. Sastre is an Independent Director of O'Reilly Automotive, Inc., serving on the Audit Committee and the Human Capital and Compensation Committee. She was President and Chief Operating Officer of Signature Flight Support Corporation from 2013 until her retirement in 2018, and previously held senior roles at Take Stock in Children, Royal Caribbean Cruises LTD, and United Airlines, Inc. She brings more than 25 years of leadership in the global travel and tourism industry and currently serves on the board of General Mills, Inc. (GIS) since 2018, with prior public board service at Kalera, Darden Restaurants, Gaylord Entertainment, and Laidlaw International.

Fred Whitfield is an Independent Director of O'Reilly Automotive, Inc., serving on the Human Capital and Compensation Committee and the Corporate Governance/Nominating Committee. He was President, Vice Chairman, Alternate Governor and Minority Owner of Hornets Sports & Entertainment from 2018 until his retirement in 2023, having held progressively senior roles there since 2006. He brings more than 30 years of leadership in the professional sports and entertainment industry and previously served as a member of the National Basketball Association's Global Diversity and Inclusion Council.

Brad Beckham serves as Chief Executive Officer of O'Reilly Automotive, Inc., a position to which he was promoted in February 2024. He is a named executive officer of the Company and is not a member of the Board of Directors.

Brent G. Kirby serves as President of O'Reilly Automotive, Inc., a title he assumed in February 2024. He is a named executive officer of the Company whose annual incentive target is set at 100% of base salary.

Jeremy Fletcher serves as Executive Vice President and Chief Financial Officer of O'Reilly Automotive, Inc. He is a named executive officer of the Company with an annual incentive target of 85% of base salary.

Scott R. Ross serves as Executive Vice President and Chief Information Officer of O'Reilly Automotive, Inc. He joined the Company in October 2023 and is a named executive officer.

Jason Tarrant serves as Executive Vice President of Store Operations and Sales of O'Reilly Automotive, Inc. He is a named executive officer of the Company with an annual incentive target of 80% of base salary.

Julie Gray serves as Secretary and Corporate Secretary of O'Reilly Automotive, Inc. In that capacity she maintains the list of shareholders entitled to vote at the Annual Meeting and acts as the Company's contact for shareholder and corporate governance communications.
