Fiserv Inc leadership

Michael P. Lyons has served as Chief Executive Officer of Fiserv since May 2025, having previously served as President and CEO-Elect from January 2025 to May 2025. Before joining Fiserv he was President of The PNC Financial Services Group, Inc. and PNC Bank, National Association (2024-2025) and earlier served as Executive Vice President and Head of Corporate and Institutional Banking at PNC (2011-2024). He also led Corporate Development and Strategic Planning for Bank of America (2010-2011), bringing extensive financial services and banking experience to the board.

Gordon M. Nixon serves as independent Chairman of the Board of Fiserv, a role he assumed effective January 1, 2026. He most recently served as President and Chief Executive Officer of Royal Bank of Canada (2001-2014), where he previously held a variety of leadership positions at RBC Dominion (later RBC Capital Markets), including Head of Investment Banking, Head of Corporate Banking, and CEO of RBC Capital Markets. He is a current public-company director of BlackRock, Inc. and George Weston Limited, and is a director of BCE Inc., from which he has decided not to stand for re-election in May 2026.

Stephanie E. Cohen has served as Chief Strategy Officer of Cloudflare, a cloud connectivity company, since 2024. Before that she spent her career at Goldman Sachs, where her roles included Global Head of Platform Solutions (2023-2024), Global Co-Head of Consumer & Wealth Management (2021-2022), Chief Strategy Officer (2018-2020), and Global Head of Financial Sponsors M&A (2015-2017), among other positions held since 1999. She serves on Fiserv's audit and risk committees.

Henrique de Castro most recently served as an advisor to Cantor Fitzgerald, a global financial services firm. He previously was Chief Operating Officer of Yahoo! Inc. (2012-2014) and held senior executive positions at Google, including President of Partner Business Worldwide and President of Media, Mobile & Platforms Worldwide (2006-2012). He is a current director of Banco Santander, S.A. and previously served on the boards of Target Corporation, First Data Corporation and CF Finance Acquisition Corp. He sits on Fiserv's nominating and corporate governance and talent and compensation committees.

Harry F. DiSimone most recently served as President of Commerce Advisors, Inc., a consulting and advisory firm for the retail financial services and payments industries (2008-2020). He was Managing Partner and Co-Founder of Encore Financial Partners, Inc. (2010-2015) and held senior positions over more than three decades at JPMorgan Chase & Co. and its predecessor organizations (1976-2008), including Executive Vice President and Chief Operating Officer of the Chase credit card business. He brings extensive banking and payments experience to the board.

Céline Dufétel has served as Chief Financial Officer of Bridgewater Associates, LP, an investment management firm, since May 2025. She previously was President of Checkout.com (2023-2024) and its Chief Financial Officer and Chief Operating Officer (2021-2023), and earlier served as Chief Financial Officer and Chief Operating Officer of T. Rowe Price. She was also a Partner at McKinsey & Company, bringing leadership experience across financial services, digital payments and asset management to the board.

Lance M. Fritz most recently served as Chairman, President and Chief Executive Officer of Union Pacific Corporation, a transportation company (2015-2023), having held a variety of leadership positions there since 2000. He is a current public-company director of Parker Hannifin Corporation and previously served on the board of Union Pacific Corporation. At Fiserv he chairs the talent and compensation committee and serves on the nominating and corporate governance committee, bringing extensive executive, operations and governance experience to the board.

Ajei S. Gopal has served as President and Chief Executive Officer of Procore Technologies, Inc., a cloud-based construction management software provider, since November 2025. He previously was President and Chief Executive Officer of ANSYS, Inc. (2017-2025) and held senior roles including Operating Partner at Silver Lake Partners, Senior Vice President and General Manager of HP Software, and Executive Vice President at CA Technologies and at Symantec. He is a current director of Procore Technologies and Synopsys, Inc., and previously served on the boards of ANSYS and Citrix Systems.

Wafaa Mamilli has served as Executive Vice President, Chief Digital and Technology Officer of Roche, a biotechnology, pharmaceutical and diagnostics company, since February 2025. She previously held senior technology roles at Zoetis, Inc., including Executive Vice President, Chief Digital & Technology Officer and Group President for China, Brazil and Precision Animal Health (2022-2025) and Chief Information and Digital Officer (2020-2022). Earlier she was Global Chief Information Officer for business units at Eli Lilly and Company, where she held a variety of leadership positions since 1995, including Chief Information Security Officer, bringing global technology, cybersecurity and digital expertise to the board.

Gary S. Shedlin has served as Vice Chairman of BlackRock, Inc., a leading investment management firm, since 2023, after serving as the firm's Chief Financial Officer from 2013 to 2023. He previously was Vice Chairman, Investment Banking and a Managing Director in the Financial Institutions Group of Morgan Stanley (2010-2012), and held senior positions at Citigroup Inc. (2004-2010) and at Lazard (1990-2004). He chairs Fiserv's audit committee, bringing deep finance, capital allocation and risk management expertise to the board.

Charlotte B. Yarkoni most recently served as President of Commerce, Ecosystems, Cloud & AI of Microsoft Corporation (2022-2025), having earlier served as Vice President and Chief Operating Officer, Cloud & AI (2021-2022) and Vice President, Commerce and Ecosystems (2016-2021). Before Microsoft she was President of Telstra Software Group (2013-2016) and Senior Vice President, Cloud Services of VMware (2011-2013). She is a current public-company director of TransUnion and brings extensive cloud and technology platform leadership to the board.

Paul M. Todd was appointed Chief Financial Officer of Fiserv effective October 31, 2025, having joined the company on September 17, 2025 as a Special Advisor. He has a strong track record as a public company chief financial officer, including serving as Chief Financial Officer of Global Payments, Inc., bringing valuable industry experience and insight into emerging industry trends.

Panagiotis (Takis) Georgakopoulos was appointed Co-President of Fiserv effective December 1, 2025 and is responsible for the company's Merchant Solutions business. He previously served as Executive Vice President and, from April 2025, as Chief Operating Officer of the company. He brings strategic vision, operational expertise and deep technical leadership to the role.

Dhivya Suryadevara joined Fiserv as Co-President effective December 1, 2025 and is responsible for the company's Financial Solutions business. According to the proxy, she brings extensive experience across banking, payments, finance and technology, areas the company describes as critical to its long-term strategy and growth.

Adam L. Rosman serves as Chief Administrative Officer and Chief Legal Officer of Fiserv. He is identified in the proxy statement as one of the company's named executive officers currently serving as an executive officer.
