R. Davis Noell has served as a director of DoubleVerify since September 2017 and is Chairperson of the Board. He is a Senior Managing Director and Co-Head of North America at Providence, which he joined in 2003 after working in Deutsche Bank's media investment banking group. He is a Class II director whose term expires in 2026 and is standing for re-election.

Sundeep Jain has served as a director of DoubleVerify since July 2022 and currently serves as President of Mercor. He previously was Senior Vice President and Chief Product Officer of Uber Technologies, and before that held product-management leadership roles at Google and Zynga, and founded and led Aceva Technologies from 1999 to 2007. He is a Class III director whose term expires in 2027.

Kelli Turner has served as a director of DoubleVerify since March 2021 and is currently President and Chief Executive Officer of Audacy. She was previously Managing Director and CFO of Sun Capital Partners and President and COO of SESAC Holdings, with earlier executive roles across the investment and media industries. She is a Class III director whose term expires in 2027.

Scott Wagner has served as a director of DoubleVerify since October 2021 and most recently served as Interim Chief Executive Officer of GoodRx. He was CEO of GoDaddy Inc. from 2017 to 2019 and its President, COO and CFO from 2012 to 2017, having joined GoDaddy from the global investment firm KKR & Co., where he worked from 2000 to 2012. He is a Class III director whose term expires in 2027.

Laura B. Desmond has served as a director of DoubleVerify since September 2017 and served as the Company's Interim Chief Executive Officer from February 28, 2020 to July 21, 2020. She is CEO of Smartly.io and the Founder and CEO of the advisory firm Eagle Vista Partners, and was previously CEO of Starcom MediaVest Group for nine years. She is a Class I director whose term expires in 2028.

Rosie Perez has served as a director of DoubleVerify since October 2021 and chairs the Audit Committee. She has spent 19 years at American Express Company, currently serving as Executive Vice President, Head of Corporate Planning, after prior roles including EVP and Corporate Treasurer and SVP and CFO of the Global Commercial Services segment. She is a Class I director whose term expires in 2028.

Jennifer Storms has served as a director of DoubleVerify since June 2025 and sits on the Nominating and Corporate Governance Committee. She is Chief Marketing Officer of NBCUniversal Television and Streaming, leading brand strategy, integrated marketing and consumer engagement across NBCUniversal entertainment and sports including Peacock, after earlier senior marketing roles at PepsiCo, Gatorade and Turner Sports. She is a Class I director whose term expires in 2028.

Mark Zagorski has served as DoubleVerify's Chief Executive Officer and as a director since July 2020. Before joining DV he was CEO of Telaria (a NYSE-listed video management platform) from July 2017 to April 2020 and, after Telaria's merger with Rubicon Project (now Magnite), served as President and Chief Operating Officer of Rubicon Project through June 2020. Earlier he was CEO of the data-management platform eXelate from December 2010 until its 2015 acquisition by Nielsen, and he has more than 20 years of digital-advertising leadership experience.

Nicola Allais has served as DoubleVerify's Chief Financial Officer since November 2017. Prior to DV he was Chief Financial Officer of the information-services company Penton from 2010 to 2017, and before that CFO of Downtown Music, having also worked at Primedia, Home Box Office and Ernst & Young LLP. He holds an MBA from Columbia Business School and a BA from Princeton University.

Steven Mougis has served as DoubleVerify's Global Chief Commercial Officer since January 2026, succeeding Julie Eddleman. He joined the Company in October 2012 and has held various leadership roles including Chief Growth Officer, Chief Revenue Officer, and Senior Vice President, Programmatic Sales & Global Strategy. Before DV he launched and scaled a niche trading desk and held senior sales positions at Ringleader Digital.

Andrew Grimmig has served as DoubleVerify's Chief Legal Officer since March 2020 and is also its General Counsel and Secretary. Before joining the Company he was Senior Vice President and General Counsel at Corporate Risk Holdings from May 2009 to December 2018, and earlier a corporate attorney at Latham & Watkins LLP and Jones Day, LLP focused on M&A and financing transactions. He earned a JD from Duke University School of Law and a BS from Florida State University.

Julie Eddleman served as DoubleVerify's Executive Vice President and Global Chief Commercial Officer from January 2021 through December 31, 2025, when she resigned and agreed to assist the Company as a consultant. Before DV she was a Global Client Partner at Google from August 2014 to January 2021 and a Marketing Director at Procter & Gamble from June 2008 to July 2014. She was a named executive officer for fiscal 2025.
