Tod E. Carpenter has served as President and Chief Executive Officer of Donaldson since 2015 and as Chairman since 2017, having joined the Company in 1996 and held roles including Chief Operating Officer, Senior Vice President of Engine Products, and Vice President of Europe and the Middle East. He brings extensive general management and global leadership experience and also serves on the boards of AMETEK, Inc. and Taylor Corporation.

Douglas A. Milroy is the former Chief Executive Officer and Chairman of G&K Services, Inc., a service-based provider of branded uniform and facility services programs, serving as CEO from 2009 to 2017 and Chairman from 2014 to 2017. He brings executive leadership and public-company management experience along with extensive global leadership in business-to-business organizations, and serves on the Audit and Human Resources Committees.

Richard M. Olson is Chairman of the Board of The Toro Company since 2017 and its President and Chief Executive Officer since 2016, having joined Toro in 1986 and progressed through various leadership, operations, and engineering positions. He provides the Board valuable insight as a public-company leader and serves on the Corporate Governance and Human Resources Committees.

Daniel P. Shine is Senior Vice President and President, Analytical Instruments of Thermo Fisher Scientific since January 2016, and previously led its Chromatography and Mass Spectrometry and Chemical Analysis businesses. A first-time nominee for the Board, he brings strong business acumen and public-company commercial, operations, and finance experience.

Jacinth C. Smiley is Executive Vice President and Chief Financial Officer of Hormel Foods Corporation since January 2022, and previously served as Vice President and Chief Accounting Officer of LyondellBasell Industries and in senior finance roles at General Electric. A Certified Public Accountant, she brings significant public-company financial expertise and serves on the Audit Committee as an Audit Committee Financial Expert.

Pilar Cruz is Executive Vice President and Chief Sustainability Officer of Cargill, Incorporated since 2024, having previously served as Cargill's Chief Sustainability Officer and as president of several of its business units. She brings expertise in corporate strategy, management, and global leadership and serves on the Audit Committee.

Ajita G. Rajendra retired from A. O. Smith Corporation, a global water technology company, in 2020, where he served as Executive Chairman, Chairman, President, and Chief Executive Officer over his tenure. He brings public-company leadership and manufacturing expertise across consumer durables, industrial products, and appliances, and chairs the Human Resources Committee.

Christopher M. Hilger is Chairman, President and Chief Executive Officer of Securian Financial Group, Inc. since 2017, having joined the company in 2004 and advanced through distribution, M&A, and strategic planning roles. He serves as Donaldson's independent Lead Director (effective August 1, 2025), chairs the Corporate Governance Committee, and serves on the Human Resources Committee.

James J. Owens is the retired President and Chief Executive Officer of H.B. Fuller Company, a global adhesives provider, where he served as CEO from 2010 to 2022. He brings extensive experience in global manufacturing businesses, including 22 years with National Starch's adhesives business, and serves on the Audit Committee.

Trudy A. Rautio retired from Carlson, a privately held global hospitality and travel company, in 2015, where she served as President and Chief Executive Officer and earlier as Chief Financial and Administrative Officer. A Certified Public Accountant and Certified Management Accountant, she chairs the Audit Committee as an Audit Committee Financial Expert and serves on the Corporate Governance Committee.

Willard D. Oberton is a current member of Donaldson's Board of Directors serving on the Audit and Corporate Governance Committees, whose term expires at the 2025 Annual Meeting. Mr. Oberton is not standing for re-election when his term ends at the Annual Meeting.

Amy C. Becker was appointed Chief Legal Officer and Corporate Secretary in November 2022, having joined Donaldson in 1998 and held positions including Senior Counsel and Assistant Corporate Secretary, Assistant General Counsel, and Vice President, General Counsel and Secretary. Prior to joining the Company, she was an attorney for Dorsey and Whitney, LLP and a Project Manager and Corporate Counsel for Harmon, Ltd.

Guillermo Briseno was appointed President, Industrial Solutions in November 2022, having joined Donaldson in 2003. He has held various positions including IAF District Manager, IFS Latin America Business Manager, Industrial Sales Director Latin America, Managing Director Latin America, and Vice President, Latin America.

Darcy D. DeVincke was appointed Chief Human Resources Officer in October 2024, having resumed employment with Donaldson in 2016 and held positions including Vice President, Global Human Resources (based in Leuven, Belgium) and Director, Human Resources. She earlier served as a consultant to the Company from 2008 to 2016 and as a Human Resources Generalist from 2001 to 2008, and previously practiced law and held HR roles at United Defense Industries (BAE Systems).

Richard B. Lewis was appointed Chief Operating Officer effective August 1, 2025, having joined Donaldson in 2002. He has held various positions including President of Life Sciences, President of Mobile Solutions, Vice President of Global Operations, and Senior Vice President of Global Operations.

Bradley J. Pogalz was appointed Chief Financial Officer effective November 1, 2024, having joined Donaldson in 2015 and held positions including Vice President Finance - Global FP&A, EMEA Finance, Finance Director for Europe, Middle East and Africa, and Director of Investor Relations. Prior to joining the Company, he was Senior Group Manager, Investor Relations for Target Corporation.
