Jon Resnick Chief Executive Officer & Director

Jon Resnick has served as Chief Executive Officer of Certara since January 1, 2026 and joined the Board of Directors as a Class III director in January 2026. Before joining Certara he spent more than two decades at IQVIA Holdings, most recently as President of its U.S. and Canada regional business from July 2019 through December 2025, and earlier as President of IQVIA's Real World Solutions unit following the 2016 IMS Health/Quintiles merger. He began his career on the U.S. Senate Committee on Finance advising on healthcare policy, and holds an MBA from Northwestern's Kellogg School of Management and a B.A. from Union College.

James Cashman III Chairman of the Board (Independent)

James Cashman III has served as a Certara director since 2018 and as Chairman of the Board since December 1, 2021. He was Chief Executive Officer of engineering-simulation software company ANSYS, Inc. from February 2000 to December 2016 and served as its Chair from January 2017 until retiring in April 2019. He previously served on the board of National Instruments Corporation and holds BSME, MSME and MBA degrees from the University of Cincinnati.

Stephen McLean Director (Arsenal-designated)

Stephen McLean has served on Certara's board since 2013 and is an Arsenal Capital Partners designee under the company's Stockholders Agreement, serving on the Nominating and Corporate Governance Committee. He has been a Partner at Arsenal Capital Partners, a healthcare- and industrial-focused private equity firm, since 2010, and co-founded Merrill Lynch Capital Partners in 1984. He currently sits on the boards of private companies including WCG Clinical, CellCarta and 3DR Labs, and holds a B.S. in Economics and an MBA from the Wharton School of the University of Pennsylvania.

David Spaight Director (Arsenal-designated)

David Spaight has served as a Certara director since 2022 as an Arsenal Capital Partners designee and sits on the Compensation Committee. He has been an Operating Partner at Arsenal Capital Partners since 2016 and previously served as Chairman and CEO of contract research organization WIL Research from 2010 to 2016 and as President of MDS Pharma Services. Nancy Killefer Director (Independent)

Nancy Killefer has served as a Certara director since 2021 and chairs the Compensation Committee while also serving on the Nominating and Corporate Governance Committee. She spent more than 15 years as a Senior Partner at McKinsey & Company, leading its Washington, D.C. office and Public Sector Practice, and served as Assistant Secretary for Management, CFO and COO of the U.S. Department of the Treasury from 1997 to 2000. She currently serves on the boards of Cardinal Health and Meta Platforms and holds a B.A. from Vassar College and an M.S. in Management from MIT.

Eran Broshy Director (Independent)

Eran Broshy has served as a Certara director since 2022, sitting on the Audit Committee and chairing the Nominating and Corporate Governance Committee. Matthew Walsh Director (Independent)

Cynthia Collins has served as a Certara director since 2021 and sits on the Audit Committee; she provided notice of her resignation effective upon the election of the Class III directors at the May 14, 2026 annual meeting. William F. Feehery Former Chief Executive Officer

William F. Feehery, Ph.D., served as Chief Executive Officer of Certara from June 2019 until the end of 2025, when he entered a separation and consulting agreement and was succeeded by Jon Resnick effective January 1, 2026; he also served on the board from 2019. Before Certara he was President of DuPont Industrial Biosciences from 2013 to 2019, having joined DuPont in 2002, with earlier experience in venture capital and at The Boston Consulting Group. He holds a Ph.D. in chemical engineering and an MBA from MIT, was a Churchill Scholar at Cambridge University, and has served on the board of West Pharmaceutical Services.

John E. Gallagher III Senior Vice President and Chief Financial Officer

John E. Gallagher III served as Certara's Senior Vice President and Chief Financial Officer from April 2023 and was a named executive officer for fiscal 2025. He was previously CFO of Cue Health from March 2021 to March 2023 and spent nearly a decade at Becton, Dickinson & Co., including as SVP and CFO of its Medical Segment and Treasurer and as SVP, Controller and Chief Accounting Officer. Earlier he held finance roles at NBCUniversal, General Electric and Ford Motor Company.

Robert A. Aspbury President, Certara Predictive Technologies

Robert A. Aspbury, Ph.D., has served as President of Certara Predictive Technologies (formerly the Scientific Software and Simcyp division) since January 2020, after serving as Chief Operating Officer of Simcyp from April to December 2019. Before joining Certara he was Vice President of Strategic Solutions, Biosimilars at Covance and held multiple senior commercial and finance roles there over more than 17 years. He is a qualified chartered accountant and holds a doctorate from the University of Liverpool.

Adrian K. McKemey President, Certara Drug Development Solutions

Adrian K. McKemey, Ph.D., has served as President of Certara Drug Development Solutions since March 2025. Before joining Certara he was Head of Enterprise Transformation at IQVIA from 2022 to 2025 and, from 2016 to 2022, Senior Vice President and Head of R&D Strategy Solutions at IQVIA (formerly Quintiles), and earlier a Principal in the Life Sciences practice at The Boston Consulting Group. He holds a B.S. with First Class honors and a Ph.D. in high energy nuclear particle physics from the University of London.
