Dr. Garo H. Armen co-founded Agenus in 1994 and has served as its Chairman and Chief Executive Officer since founding, becoming a director in 1999; in January 2026 he was also appointed the company's interim Principal Financial Officer. Earlier he was Chairman of the Board of Elan Corporation, plc, which he helped restructure from 2002 to 2004, and he began his career as a researcher at Brookhaven National Laboratory before working as an analyst and investment banker at EF Hutton and Dean Witter Reynolds (now Morgan Stanley). He holds a Ph.D. in physical organic chemistry from the City University of New York.

Dr. Jennifer Buell joined the Agenus board in 2024 and has chaired the company's Executive Council since 2023, while serving as President and Chief Executive Officer of Agenus affiliate MiNK Therapeutics since 2021. She has more than 27 years of biopharmaceutical experience advancing programs from discovery through clinical development and commercialization, and previously held roles at Agenus including President and Chief Operating Officer. She holds a Ph.D. in Cellular, Biochemical and Molecular Biochemistry and an M.S. in Biostatistics from Tufts University.

Brian Corvese has served on the Agenus board since 2007 and chairs its Compensation Committee and Executive Committee. Since 1999 he has been President and Founder of the private equity firm Vencor Capital, and he previously was a Managing Director and partner at Soros Fund Management and a partner at Chancellor Capital Management. He holds degrees in finance and political science from the University of Rhode Island.

Timothy R. Wright has served on the Agenus board since 2006 and was Lead Director from 2009 to July 2025. He is currently President and CEO of BIORG, a human organoid company, and a faculty member of the Wake Forest Institute for Regenerative Medicine, and previously held senior executive roles including CEO of MiMedx Group and Executive Vice President of M&A, Strategy and Innovation at Teva Pharmaceutical Industries. He also served as President of Covidien Mallinckrodt.

Susan Hirsch has served on the Agenus board since 2020 and has been determined by the board to qualify as an audit committee financial expert. She has over 40 years of investment and finance experience, most recently as a Managing Director and Portfolio Manager at Nuveen, where she managed over $20 billion in assets, and earlier held senior portfolio-management roles at Jennison Associates, Lehman Brothers Global Asset Management and Delphi Asset Management. She holds a B.S. in accounting and finance from Brooklyn College.

Thomas Harrison joined the Agenus board in 2024 and has served as Lead Director since July 2025, chairing the Audit and Finance Committee and the Corporate Governance and Nominating Committee. He is Senior Operating Partner at Merida Capital Partners and is Chairman Emeritus of the Diversified Agency Services Division of Omnicom Group, having served as its Chairman and CEO from 1997 to 2016; he earlier co-founded and led Harrison & Star Business Group. He holds Master of Science and Doctoral degrees from West Virginia University.

Marco Tullio Marcucci was appointed to the Agenus board as a Class II director on August 5, 2026 and serves on the Corporate Governance and Nominating Committee. An attorney based in Rome, Italy, he has practiced since 2003 at Studio Legale Pecora Marcucci, advising individuals and companies on commercial and civil law, litigation, wealth management, capital markets, and cross-border transactions. He has been admitted to the Bar Association of Rome since 2002 and to the Special Bar Association of the Supreme Court and High Courts since 2018.

Dr. Steven J. O'Day has served as Agenus's Chief Medical Officer since January 2021. A pioneer in CTLA-4 inhibition, he has been the principal investigator on more than 200 clinical trials, and from 2015 until joining Agenus he was Director of Immuno-Oncology and Director of Clinical Research at the John Wayne Cancer Institute at Providence Saint John's Health Center. He received his M.D. from Johns Hopkins School of Medicine and his B.A. in Chemistry from Williams College, and completed his medical oncology fellowship at the Dana-Farber/Harvard Cancer Center.

Christine M. Klaskin served as Agenus's Vice President of Finance and was a named executive officer for 2025; she resigned effective December 31, 2025. A portion of her compensation was allocated to services provided to Agenus affiliate MiNK Therapeutics. She also signed Agenus's SEC filings as Vice President of Finance.
