Across 2021 AgEagle acquired sensor maker MicaSense, software company Measure Global and fixed-wing manufacturer senseFly, assembling airframes, sensors and software under one roof; the FY2021 10-K frames this as the culmination of AgEagle's shift from farm drones to one of the industry's best fixed-wing, full-stack drone solutions.

Capital deployment
Stock-and-cash consideration to preserve capital.
Every deal blended cash with newly issued equity - about $3 million in stock (540,541 shares) for MicaSense, $30 million (5,319,145 shares) for Measure and about $3 million for senseFly - letting a small-cap fund acquisitions with shares while limiting cash outlay.

Integration approach
Buying technology out of Parrot.
Two of the three 2021 targets, MicaSense and senseFly, were carved out of France's Parrot group, making the European drone maker AgEagle's single largest source of acquired sensor and airframe technology and engineering talent.

AgEagle bought substantially all of the assets of Agribotix, LLC, a Colorado-based drone-enabled software company built around FarmLens, a cloud imaging and data-analytics platform for sustainable and precision agriculture. It was AgEagle's first acquisition and folded the target's assets into subsidiary Eagle Aerial Systems. Consideration was $150,000 in cash and 200,000 AgEagle shares valued at $5.00 each, plus a contingent earnout tied to future performance. The deal expanded AgEagle from farm-drone hardware into recurring analytics revenue. Approximately $1.15 million upfront ($150,000 cash plus about $1.0 million in stock), plus a contingent earnout.

AgEagle acquired 100% of MicaSense, Inc., a Seattle-based maker of high-precision thermal and multispectral drone sensors founded in 2014, from France's Parrot group and co-founder Justin McAllister. The aggregate purchase price was $23 million, less debt and subject to a working-capital adjustment. About $3 million of the consideration was paid in AgEagle stock (540,541 restricted shares issued in April 2021), with the balance in cash and a holdback for indemnification. MicaSense products such as Altum and RedEdge-MX were distributed in more than 70 countries and served aerial mapping and analytics needs across agriculture, energy and inspection markets.

AgEagle acquired 100% of Measure Global, Inc., an aerial-intelligence software company whose cloud SaaS platform, Ground Control, automates drone-fleet operations, flight control and in-platform data analysis for enterprises. The aggregate purchase price was approximately $45 million, less debt and expenses. It comprised $15 million in cash and $30 million in AgEagle stock, with the company issuing 5,319,145 shares to the Measure sellers. Measure, with operations in Washington, D.C. and Austin, Texas, added the software layer to AgEagle's hardware-and-sensor stack; it was AgEagle's third acquisition overall and second of 2021. AgEagle acquired 100% of senseFly, comprising Swiss entity senseFly S.A. ($21 million) and U.S. entity senseFly Inc. ($2 million), from Parrot's Parrot Drones S.A.S. and Parrot Inc., for a combined $23 million. Founded in 2009 and headquartered in Lausanne, Switzerland, senseFly makes the eBee line of professional fixed-wing mapping drones and employed about 90 people, generating roughly $12.5 million of revenue in 2020. About $3 million of the consideration was payable in AgEagle stock (issuable 90 days after closing), with the remainder in cash and holdbacks. The deal gave AgEagle a market-leading fixed-wing airframe line, engineering talent and a global reseller network.
