Wahid Nawabi Chairman, President and Chief Executive Officer

Wahid Nawabi is AeroVironment's Chairman, President and Chief Executive Officer, having served as President and CEO since May 2016, as a director since 2016 and as Chairman of the Board since September 2021. He joined the company in 2011 as Senior Vice President and General Manager of its former Efficient Energy Systems division and rose to Chief Operating Officer before his appointment as CEO. Earlier in his career he held senior sales and general-management roles at Altergy Systems, C&D Technologies and American Power Conversion, where he spent 16 years.

Edward R. Muller Lead Independent Director; Chair of the Audit Committee

Edward R. Muller has served on AeroVironment's board since 2013 and is the Lead Independent Director and Chair of the Audit Committee. He was Vice Chairman of NRG Energy from 2012 to 2017 and previously Chairman and Chief Executive of GenOn Energy and of Mirant Corporation, as well as President and CEO of Edison Mission Energy. He has served as a director of eleven public companies, including Transocean Ltd. from 2007 to 2024, and holds a J.D. from Yale Law School.

Charles Thomas Burbage Independent Director; Chair of the Compensation Committee

Charles Thomas Burbage has served as an AeroVironment director since 2013 and chairs the Compensation Committee. He retired from Lockheed Martin Aeronautics in 2013 after a 33-year career, most recently as Executive Vice President and General Manager of the F-35 Joint Strike Fighter Program from 2000 to 2013, and earlier served as a U.S. Navy aviator, retiring as a Captain in the Naval Reserve in 1994. In August 2026 he notified the board of his decision to retire and not stand for re-election at the 2026 annual meeting.

Stephen F. Page Independent Director; Chair of the Nominating and Corporate Governance Committee

Stephen F. Page has served as an AeroVironment director since 2013 and chairs the Nominating and Corporate Governance Committee. Before retiring in 2004 he held leadership roles at United Technologies Corporation, including director, Vice Chairman and Chief Financial Officer, and President and CEO of its Otis Elevator division. He later served on the boards and audit committees of Lowe's, PACCAR and Liberty Mutual, and in July 2026 notified the board of his decision to retire and not stand for re-election at the 2026 annual meeting.

Cindy K. Lewis Independent Director; Chair of the Cybersecurity Committee

Cindy K. Lewis has served as an AeroVironment director since 2021 and chairs the Cybersecurity Committee. She was President and Chief Executive Officer of AirBorn Consolidated Holdings, a high-reliability electronics manufacturer, from 1998 to 2023, and its Chairperson from 2013 to 2024. She has more than 40 years in the manufacturing industry and led AirBorn through five acquisitions.

Philip S. Davidson Independent Director (Admiral, U.S. Navy, Ret.)

Admiral Philip S. Davidson (Ret.) has served as an AeroVironment director since June 2023 and is a member of the Audit and Cybersecurity Committees. He retired from the U.S. Navy in 2021 after nearly 39 years of service, culminating as a four-star Admiral and Commander of U.S. Indo-Pacific Command from 2018 to 2021. He founded and runs Davidson Strategies LLC and serves on the boards of Par Pacific Holdings and Norfolk Southern Corporation.

Mary Beth Long Independent Director

The Honorable Mary Beth Long has served as an AeroVironment director since August 2023 and sits on the Nominating & Corporate Governance and Cybersecurity Committees. She served as U.S. Assistant Secretary of Defense from 2007 to 2009 -- the first woman confirmed to a four-star military-equivalent position by the U.S. Senate -- after 17 years of intelligence and defense-related government service. She is principal of the law firm MB Long & Associates, PLLC, and previously founded and sold the government-contracting firm Metis Solutions.

Joseph L. Votel Independent Director (General, U.S. Army, Ret.)

General Joseph L. Votel (Ret.) has served as an AeroVironment director since November 2023 and sits on the Compensation and Cybersecurity Committees. He is a retired four-star Army general with 39 years of service who commanded U.S. Central Command and, earlier, U.S. Special Operations Command. Following his military career he was President and CEO of Business Executives for National Security from 2020 to 2023 and is a strategic advisor to Sierra Nevada Corporation.

Kevin McDonnell served as AeroVironment's Executive Vice President and Chief Financial Officer from May 1, 2025, having been Senior Vice President and Chief Financial Officer since February 2020. Before joining the company he was Senior Vice President and CFO of JAMS, Inc. from 2014 to 2020 and held finance-leadership roles at Orange County Container Group, Leiner Health Products and Memorex Corporation, among others. He announced his intent to retire on July 31, 2026, continuing as CFO through April 30, 2026 before transitioning to a non-officer capacity to assist his successor.

Sean Woodward Executive Vice President and Chief Financial Officer

Sean Woodward was appointed AeroVironment's Executive Vice President and Chief Financial Officer effective May 1, 2026, succeeding Kevin McDonnell. He had served as Chief Financial Officer of the company's Autonomous Systems segment from May 2025 and has held positions of increasing responsibility since joining AeroVironment in 2010, including Senior Vice President of Finance and Vice President of Global Operations Finance. Melissa Brown has served as AeroVironment's Executive Vice President, Chief Legal and Compliance Officer and Corporate Secretary since May 1, 2025, having joined the company as Corporate Counsel in 2015 and served as General Counsel, Chief Compliance Officer and Corporate Secretary in the years since. Before AeroVironment she was an associate attorney at law firms including K&L Gates LLP. She holds a B.S. in microbiology and molecular genetics from UCLA and a J.D. from Arizona State University.

Trace Stevenson President, Autonomous Systems

Trace Stevenson has served as AeroVironment's President of Autonomous Systems since May 1, 2025, after serving as Senior Vice President and General Manager, Uncrewed Systems and, earlier, leading the Small Unmanned Systems product line beginning in 2021. He has about 20 years of experience in the defense industry and previously served as a board member of HAPSMobile, a joint venture between AeroVironment and SoftBank. He holds a B.S. in business and economics from the University of Kansas.
