Gregory Belinfanti has served on the AdaptHealth board of directors since September 2021 and is President and a member of the Investment Committee at One Equity Partners, where he has led many of the firm's healthcare transactions. He currently serves on the boards of Fortis Healthcare, Nuclear Care Partners, and Ernest Health, and prior to joining OEP was a Vice President in the Global Healthcare investment-banking group at Lehman Brothers. He received a B.A. in Politics from New York University and a J.D. from Harvard University.

Terence Connors Director (Audit Committee Chair)

Terence Connors has been a member of the AdaptHealth board since the closing of the Business Combination in 2019 and chairs the Audit Committee, bringing 40 years of public-accounting experience. He retired in September 2015 from KPMG LLP, where he served as Professional Practice Partner, SEC Reviewing Partner, and a member of KPMG's board of directors (2011-2015), and was previously a partner with Arthur Andersen LLP. He also serves as a board member and audit-committee chairman of Suburban Propane Partners L.P. and received his undergraduate degree in Accounting from LaSalle University.

Brad Coppens Director (Compensation Committee Chair)

Brad Coppens has served on the AdaptHealth board since July 2020 and chairs the Compensation Committee. He is a Senior Partner of InTandem Capital Partners, focused on healthcare-services private equity for 20 years, and previously was a Senior Managing Director at One Equity Partners, where he led healthcare and technology-enabled services investments including a period leading OEP's efforts from São Paulo, Brazil. He began his career in the M&A group of JPMorgan's investment bank and received a B.B.A. from the Stephen M. Ross School of Business at the University of Michigan.

Ted Lundberg Director (Corporate Compliance & Governance Committee Chair)

Ted Lundberg has served on the AdaptHealth board since February 2021 and chairs the Corporate Compliance & Governance Committee. He is a Founding Partner and Managing Member at Peloton Equity, LLC, a private-equity firm focused on growing healthcare companies, and previously worked at Ferrer Freeman & Company and Donaldson, Lufkin and Jenrette. He currently serves on the boards of Arcadia Solutions, HPOne, Grenova, ClearSky Health, Aerosafe Global, and Journey Health & Lifestyle Brands, and holds a B.A. from Princeton University.

Kenneth A. Samet Director

Kenneth A. Samet is a 2026 AdaptHealth director nominee and currently serves as President and CEO of MedStar Health, Inc., where he has over 40 years of healthcare-administration experience, serving as CEO since January 2008 after prior roles as President and Chief Operating Officer. His prior public-company board service includes Catalyst Health Solutions (2006-2012), Cogentix Medical (2016-2018), and Luminex Corporation (2018-2021). He holds a B.S. in business administration from Old Dominion University and an M.H.S.A. from the University of Michigan.

Susan Weaver, M.D. has served on the AdaptHealth board since February 2018. She served as President and then Chief Executive Officer of KEPRO, a technology-enabled healthcare-services company, from July 2018 until its sale in December 2022, and previously was CEO of C3 HealthcareRX, founder and President of Transformation Health Partners, and Chief Medical Officer of Blue Cross Blue Shield of North Carolina. She holds an M.D. from Duke University School of Medicine and a B.S. in Psychology from Duke University.

David S. Williams III has served on the AdaptHealth board since July 2020. He is a serial entrepreneur, currently co-founder and CEO of Care3, a digital health-equity solution for health plans and providers, and was previously Co-Founder and CEO of InvolveCare and a Founding Executive of PatientsLikeMe (acquired by UnitedHealth Group), with earlier corporate roles at Eli Lilly and Deloitte. He is a Henry Crown Fellow of The Aspen Institute and earned a B.S. in Economics from The Wharton School of the University of Pennsylvania and an MBA from the UCLA Anderson School of Management.

Dale Wolf Director (Chairman)

Dale Wolf has served on the AdaptHealth board since the closing of the Business Combination in 2019 and serves as Chairman. He is a director of Molina Healthcare (chairman since 2017) and eHealth, Inc., and previously served as CEO of Onecall Care Management, DBW Healthcare, and Coventry Health Care (2005-2009), where he had earlier been Executive Vice President, CFO and Treasurer (1996-2005). He graduated from Eastern Nazarene College and the MIT Sloan Senior Executive Program and has been a fellow of the Society of Actuaries since 1979.

Diana Nole Director (term expiring at 2026 Annual Meeting; not renominated)

Diana Nole has served on the AdaptHealth board since October 2024 and was not renominated, with her term expiring at the conclusion of the 2026 Annual Meeting. She has over 18 years of senior leadership experience in Healthcare AI and Healthcare IT, most recently as Executive Vice President and General Manager of the Healthcare division of Nuance Communications (a Microsoft Cloud & AI company), and previously as CEO of Wolters Kluwer's Healthcare division and President of Carestream's Digital Medical Solutions business. She holds dual degrees in Computer Science and Math from SUNY Potsdam and an MBA from the University of Rochester's Simon School.

Suzanne Foster has served as Chief Executive Officer of AdaptHealth since May 2024 and as a director since 2024. A global healthcare leader with more than 25 years of experience, she previously served as President of Beckman Coulter Life Sciences at Danaher Corporation (2022-2024), President of At Home Solutions at Cardinal Health (2020-2022), President of Stanley Healthcare (2018-2020), and general manager of Medtronic Advanced Energy (2011-2018). She holds a B.A. from the University of New Hampshire, an M.Ed. from Notre Dame College, a J.D. from Suffolk University Law School, and a Master of Public Health from the Harvard T.H. Chan School of Public Health, and also serves on the board of Unitil Corp.

Jason Clemens Chief Financial Officer

Jason Clemens is Chief Financial Officer of AdaptHealth, having joined the Company in 2020 from MEDNAX, Inc., where he served as Senior Vice President and Operations Chief Financial Officer over a nine-year career of increasing responsibility in operations and finance. Earlier in his career he held roles at Accenture, Lennar, and Ryder, and supported the Republic of Korea Army while serving with the United States Army. He holds a B.S. in Industrial Engineering from Lehigh University and an M.S. in Finance and M.B.A. from Indiana University's Kelley School of Business, and is a CFA charterholder and Certified Six Sigma Blackbelt.

Daniel McFadden Chief Operating Officer

Daniel McFadden was appointed Chief Operating Officer of AdaptHealth on May 4, 2026, having joined the Company in March 2025 as Chief Business Systems Officer. He brings more than 30 years of international business experience across general management, continuous improvement, operations, supply chain, and engineering, most recently as Senior Vice President Business Systems at Regal Rexnord and previously in operations and business-system leadership roles at Danaher (Beckman Coulter Life Sciences and Videojet), Carlisle Companies, and the Timken Company. He holds a B.S. in Mechanical Engineering from The Ohio State University and a Master of Engineering Management from Case Western Reserve University.

Russell Schuster Chief Commercial Officer

Russell Schuster is Chief Commercial Officer of AdaptHealth, joining in 2024 (effective January 2025) from Cardinal Health, where he most recently served as President for Cardinal Health Canada and previously led global strategy and business development for the Medical Segment and corporate development for the enterprise. He has nearly 25 years of experience in corporate finance, strategy, and M&A, including prior roles leading corporate development at Republic Services and investment-banking advisory at Barclays (Lehman Brothers). He earned an M.B.A. from Northwestern University's Kellogg School of Management and a bachelor's in Accounting/Business Law from Miami University (OH), is a CPA, and previously served on the boards of MedTech Canada and naviHealth, Inc.

Albert Prast Chief Technology Officer

He previously served as chief information and chief technology officer for AeroCare, where he focused on implementing technology solutions to improve efficiency in a historically paper-based industry. Mr. Prast is also an active investor and advisor to healthcare-technology companies and serves on several boards, including DataLink Software, ClinOne, RxREvu, ClearSense, and Rancho Family Medical Group.

Christine Archbold Chief Accounting Officer

Christine Archbold joined AdaptHealth in 2022 as Senior Vice President of Corporate Accounting and was promoted to Chief Accounting Officer and principal accounting officer in March 2023. She previously held senior financial-management positions including Chief Accounting Officer and Global Corporate Controller at Clarivate (2017-2022) and Global Controller and Director of Financial Reporting at Houghton International (2011-2017), and began her career as an auditor with Ernst & Young LLP. She holds a B.S. in Accounting from Saint Joseph's University.

Richard Rew Chief Legal Officer, General Counsel & Secretary

Richard Rew has served as Chief Legal Officer and General Counsel of AdaptHealth since January 2025. He joined from Human Power of N Company (HumanN) and previously served as Chief Legal Officer of Tabula Rasa Healthcare, SVP & General Counsel of IsoPlexis, and SVP & General Counsel (and later Chief Compliance Officer) of Luminex Corporation, as well as SVP & General Counsel of ArthroCare Corporation. Toby Scott Barnhart Former Chief Operating Officer (departed May 2026)

Toby Scott Barnhart served as Chief Operating Officer of AdaptHealth from 2024 until the Company terminated his employment on May 4, 2026. Before joining AdaptHealth he was Chief Operating Officer of Qurate Retail Group (2022-2024), President of Global Medical Products & Supply Chain at Cardinal Health (2018-2021), and President of Global Supply Chain & Group Purchasing Organizations at Aramark (2014-2018), with earlier supply-chain roles at Conagra Brands and Diageo. He earned his bachelor's degree from Purdue University and an M.B.A. from the Kellogg School of Management at Northwestern University and serves on the board of Common Threads.
