Aaron Fletcher Chairperson & Director

Dr. Aaron G.L. Fletcher has served as a director of Actuate Therapeutics since April 2015 and is Chairperson of the Board and chair of its nominating and corporate governance committee. He is the founder and President of Bios Research, a healthcare-focused financial services firm he has led since 2012, and has worked as an independent consultant in the biotechnology and healthcare equity industry for over a decade. Through affiliated Bios Equity funds he is one of Actuate's largest shareholders. He currently serves on the boards of Cognition Therapeutics, Inc. and ONL Therapeutics, Inc., and has previously served on the boards of TFF Pharmaceuticals, Cue Biopharma, Lung Therapeutics, Rein Therapeutics (formerly Aileron Therapeutics), AbiliTech Medical and SWK Holdings. He is also a visiting professor at Dallas Baptist University and earned his Ph.D. in Biochemistry from Colorado State University.

Jason Keyes Director

Jason Keyes has served as a director of Actuate Therapeutics since August 2024 and chairs its audit committee. He has served as Chief Financial Officer of BlossomHill Therapeutics, Inc. since May 2025, and was previously Chief Financial Officer of Equillium, Inc. from March 2018 to April 2025. Earlier he served in various roles, including Executive Vice President and Chief Financial Officer, at Orexigen Therapeutics, Inc. from 2013 to 2018, and in finance leadership roles at Amylin Pharmaceuticals (acquired by Bristol-Myers Squibb in 2012), Amgen, Inc. and Baxter Healthcare Corporation. He formerly served on the board and as audit committee chair of Sesen Bio, Inc. from 2020 to 2023. Mr. Keyes received B.S. and M.S. degrees in Civil Engineering from Stanford University and an M.B.A. from the UCLA Anderson School of Management.

Amy Ronneberg Director

Amy Ronneberg has served as a director of Actuate Therapeutics since August 2024. She has been Chief Executive Officer of NMDP (formerly Be The Match), a nonprofit that facilitates bone-marrow transplantation, since March 2020, having previously served as its Chief Financial Officer from 2013 to 2020 and as President of NMDP BioTherapies, LLC. Earlier she held roles at Capella Education Company, including Chief Accounting Officer and Vice President of Operations, and was an Audit Manager at Ernst & Young. She serves as a director and finance committee chair of Allina Health and previously served on the board of Magenta Therapeutics, Inc. from 2018 to 2023. Ms. Ronneberg earned an M.B.A. from Capella University, a Corporate Directorship Certificate from Harvard Business School, and a B.B.A. in Accounting from the University of Wisconsin-Eau Claire.

Roger Sawhney Director

Dr. Roger Sawhney has served as a director of Actuate Therapeutics since August 2024. He currently serves as Chief Business Officer of both Regor Pharmaceuticals and Neuvogen, and was previously Chief Financial Officer of LB Pharmaceuticals, Inc. (2024-2025) and of Garuda Therapeutics, Inc. (2022-2023). He earlier served as Chief Business Officer and then Chief Financial Officer of Omega Therapeutics, Inc., as Director of the healthcare investment platform at KKR & Co., as Senior Vice President and Head of Global Corporate Strategy at Novartis AG, and as a Partner at Bain & Company and Managing Director at the Boston Consulting Group. He serves as a director of Arbutus Biopharma and Adlai Nortye Ltd., among other companies. Dr. Sawhney earned an M.D. from Harvard Medical School and a B.A. in Economics from Stanford University.

Todd Thomson Director

Todd Thomson has served as a director of Actuate Therapeutics since September 2022 and serves on the nominating and corporate governance committee. He has been Chief Operating and Financial Officer of Kairos Ventures, a venture capital firm, since August 2019, and through affiliated Kairos funds is one of Actuate's largest shareholders. He co-founded and served as Chairman of Dynasty Financial Partners in 2010 and previously served as Chief Executive Officer of Citigroup's Global Wealth Management division and as Chief Financial Officer of Citigroup Inc. from 1998 to 2007. He currently serves on the board and audit committee of Sivers Semiconductors and has served on several other public-company boards. Mr. Thomson earned an M.B.A. with Distinction from The Wharton School and a B.A. in Economics from Davidson College.

Dan Zabrowski Director

Dr. Dan Zabrowski has served as a director of Actuate Therapeutics since March 2021 and chairs its compensation committee. He has been a Venture Partner of Decheng Capital, a private investment firm, since July 2016. He previously spent more than 20 years at Roche in a range of global leadership roles, including Global Head of Regulatory Affairs, Global Head of Development Operations, Global Head of Roche Pharma Partnering, President of Ventana Medical Systems and President of the Roche Sequencing Unit, and earlier held positions at Syntex, Fujisawa (now Astellas) and G.D. Searle. He has served on the boards of several public and private biotechnology companies, including Apexigen, BeyondSpring, Nimble Therapeutics and Endogena Therapeutics. Dr. Zabrowski earned a Ph.D. in Organic Chemistry from Indiana University, Bloomington, and a B.A. in Chemistry from Saint Louis University.

Daniel Schmitt President, Chief Executive Officer & Director

Daniel M. Schmitt has served as Actuate Therapeutics' President and Chief Executive Officer since March 2015 and as a director since April 2015. He brings more than 30 years of pharmaceutical and biotechnology experience across operations management, new product development and business development, and has led high-value licensing, acquisition and development transactions. He previously served as Chief Operating Officer of Genus Oncology, LLC from 2009 to 2014; Senior Vice President, Licensing and Commercial Development of Immtech Pharmaceuticals, Inc. from 2004 to 2009; and General Manager, Academic and Government Institution Markets of First Genetic Trust from 2001 to 2004, and earlier held positions with G.D. Searle, ILEX Oncology, Fujisawa USA and Burroughs Wellcome. He is a founding member of Chicago Innovation Mentors and earned an M.B.A. and a B.S. in Chemistry from West Virginia University.

Andrew Mazar Chief Operating Officer

Dr. Andrew P. Mazar has served as Actuate Therapeutics' Chief Operating Officer since June 2022, after serving as an independent consultant to the company from January to June 2022. A translational oncology researcher and entrepreneur with over 30 years of experience spanning academia and industry, he was previously Co-Founder, Chief Scientific Officer and a director of Monopar Therapeutics, Inc. from 2016 to 2022, and is a founder and managing member of Tactic Pharma, LLC, where he co-invented WTX-101/ALXN1840 (acquired by Alexion Pharmaceuticals for more than $800 million in 2018). He was previously a Professor of Pharmacology and Director of the Center for Developmental Therapeutics at Northwestern University's Feinberg School of Medicine, and Chief Scientific Officer at Attenuon, LLC. He is a co-author of roughly 150 peer-reviewed publications and a co-inventor on more than 100 patents. Dr. Mazar earned a B.S. in Chemistry from the University of Wisconsin-Parkside and a Ph.D. in Biochemistry from the University of Illinois College of Medicine, Chicago.

Paul Lytle Chief Financial Officer

Paul Lytle has served as Actuate Therapeutics' Chief Financial Officer since June 1, 2024, after serving as Interim Chief Financial Officer from February 2024. He brings over 30 years of finance and accounting experience and more than 25 years serving Nasdaq-listed biotechnology companies. He served as Chief Financial Officer of Avid Bioservices, Inc. (formerly Peregrine Pharmaceuticals) for more than 18 years between 1997 and 2018, where he raised over $500 million across equity and debt offerings and helped build a biologics contract-manufacturing business. He is a co-founder and CFO of Thendor Therapeutics, LLC (since September 2023) and a co-founder, director and former EVP/CFO of Mosaic ImmunoEngineering, Inc., and earlier served as EVP and CFO of Breathe Technologies, Inc. (acquired by Hillrom Holdings in 2019). Mr. Lytle received a B.S. in Business with an emphasis in Accounting from California State University, Long Beach, and is a Certified Public Accountant (inactive).
