HONEYWELL INTERNATIONAL INC acquired Johnson Matthey's Catalyst Technologies business for 1.8 billion British pounds (all-cash; subsequently amended in February 2026 to 1.325 billion British pounds), a transaction announced in May 2025, structured as All-cash.
Johnson Matthey's Catalyst Technologies business operates in Process Automation and Technology. Johnson Matthey's Catalyst Technologies is a London-headquartered business with roughly 1,900 employees and operations across the United States, Europe and India that manufactures catalysts and licenses process technology. Its installed base spans refining, petrochemical and renewable-fuel plants, and Honeywell expects the addition to give it, for the first time, an end-to-end route for producing lower-emission critical fuels such as sustainable methanol, sustainable aviation fuel, blue hydrogen and blue ammonia while broadening the capabilities of its UOP process-technology franchise. Honeywell first agreed to the all-cash purchase in May 2025 at GBP 1.8 billion, then amended the terms in February 2026 to GBP 1.325 billion, extending the long-stop date to July 21, 2026 with completion targeted by the end of August 2026.
The acquisition expands Honeywell's portfolio of leading catalyst and process technologies, allowing it to offer a comprehensive solution for the production of lower-emission critical fuels including sustainable methanol, sustainable aviation fuel, blue hydrogen, and blue ammonia.
