AXON ENTERPRISE, INC. acquires Dedrone Holdings, Inc.

AXON ENTERPRISE, INC. acquired Dedrone Holdings, Inc. for incremental consideration of approximately $391.1 million for the remaining 79.8% interest, subject to customary purchase price adjustments; existing 20.2% interest had a fair value of $112.2 million at the acquisition date (a $51.6 million non-taxable remeasurement gain was recorded), a transaction completed in October 2024, structured as all cash.

Dedrone Holdings, Inc. operates in Software and Sensors - counter-drone / airspace security. Dedrone is a global leader in airspace security, providing counter-drone (C-UAS) detection, tracking, identification and mitigation technology to protect against unauthorized drones.

Axon acquired the remaining interest in Dedrone to add airspace security to its public-safety ecosystem; the consolidated results of Dedrone are included in Axon's reporting following the acquisition, with $41.0 million of developed technology and $41.0 million of in-process research and development recorded.

Dedrone is a global leader in airspace security; Axon already held a ~20.2% strategic stake, de-risking the step acquisition. Adds counter-drone airspace security to Axon's connected public-safety ecosystem alongside its drone (Axon Air / Sky-Hero) capabilities.
