Charles Baker has served as a UnitedHealth Group director since 2023 and chairs the Governance Committee. He is President of the National Collegiate Athletic Association, a role he assumed in 2023, and previously served as Governor of the Commonwealth of Massachusetts from 2015 to 2023 and as CEO of Harvard Pilgrim Health Care from 1999 to 2009.

Timothy Flynn has served as a UnitedHealth Group director since 2017 and chairs the Audit and Finance Committee. He spent his career at KPMG from 1979 to 2011, serving as Chairman of KPMG International from 2007 to 2011 and CEO of KPMG LLP from 2005 to 2008, and also serves as a director of Walmart Inc.

Paul Garcia has served as a UnitedHealth Group director since 2021 and chairs the Compensation and Human Resources Committee. He was Chairman and CEO of Global Payments Inc. from 1999 to 2014 and President and CEO of NaBanco from 1982 to 1995, and currently serves as a director of Deluxe Corp. and Repay Holdings Corp.

Kristen Gil has served as a UnitedHealth Group director since 2022 and serves on the Audit and Finance Committee. She held numerous roles at Alphabet Inc. from 2007 to 2024, including Vice President and Business Finance Officer from 2018 to 2023, and previously was a General Manager at Marketron International and a consultant at McKinsey & Company.

Dr. Scott Gottlieb was appointed a UnitedHealth Group director in November 2025 and serves on the Health and Clinical Practice Policies and Public Responsibility Committees. He served as the 23rd Commissioner of the U.S. Food and Drug Administration from 2017 to 2019 and is a Senior Fellow at the American Enterprise Institute and a Special Partner at New Enterprise Associates, and also serves as a director of Pfizer, Tempus AI and Illumina.

F. William McNabb III has served as a UnitedHealth Group director since 2018 and is the Lead Independent Director, serving on the Compensation and Human Resources Committee. He spent his career at The Vanguard Group from 1986 to 2018, serving as CEO from 2008 to 2017 and Chairman from 2008 to 2018, and also serves as a director of International Business Machines Corp.

Dr. Valerie Montgomery Rice has served as a UnitedHealth Group director since 2017 and chairs the Health and Clinical Practice Policies Committee. She is President and CEO of the Morehouse School of Medicine, where she has served as President since 2014 and CEO since 2021 after serving as Dean from 2011, and previously held senior roles at Meharry Medical College.

Dr. John Noseworthy has served as a UnitedHealth Group director since 2019 and serves on the Compensation and Human Resources and Health and Clinical Practice Policies Committees. He spent his career at Mayo Clinic from 1990 to 2018, serving as President and CEO from 2009 to 2018, and is a physician and clinical researcher who has served as a Health Governor of the World Economic Forum.

Stephen Hemsley has served as Chief Executive Officer and Chair of the Board of UnitedHealth Group since May 2025, having rejoined executive management after serving as Non-Executive Chair from 2019 to 2025 and Executive Chair from 2017 to 2019. He previously served as CEO from 2006 to 2017, President from 1999 to 2014 and COO from 1998 to 2006, joined the Company in 1997 and has been a director since 2000; earlier in his career he was a Managing Partner and CFO at Arthur Andersen.

Wayne DeVeydt has served as Chief Financial Officer of UnitedHealth Group since September 2025. Before joining the Company he was a Managing Director of Bain Capital from March 2022 to August 2025, served as CEO (2018-2020) and Executive Chairman (2020-2025) of Surgery Partners, and was Executive Vice President and Chief Financial Officer of Elevance Health (formerly Anthem) from 2007 to 2016.

Dr. Patrick Conway has served as Chief Executive Officer of Optum since May 2025, having joined UnitedHealth Group in February 2020 and held numerous leadership roles including CEO of Optum Rx and CEO of Optum Health Care Solutions. Before joining the Company he served as Chief Medical Officer and acting administrator at the Centers for Medicare and Medicaid Services and as director of the CMS Innovation Center.

Erin McSweeney has served as Executive Vice President and Chief People Officer of UnitedHealth Group since March 2022. She previously served as chief of staff to the Office of the Chief Executive from 2021 to 2022 and as EVP and Chief Human Resources Officer at Optum from 2017 to 2021, and before joining the Company was EVP and Chief Human Resources Officer for EMC Corporation.

Tim Noel has served as Chief Executive Officer of UnitedHealthcare since January 2025. He joined UnitedHealth Group in 2007 and held numerous leadership roles, including CEO of UnitedHealthcare's Medicare & Retirement business and Chief Financial Officer and Senior Vice President of federal products for Medicare & Retirement.

Tom Roos served as Senior Vice President and Chief Accounting Officer of UnitedHealth Group since August 2015; effective March 2, 2026 he transitioned to become Chief Financial Officer of Optum Insight. Prior to joining UnitedHealth Group, he was a Partner at Deloitte & Touche LLP.

Chris Zaetta has served as Executive Vice President, Chief Legal Officer and Corporate Secretary of UnitedHealth Group since May 2024. He previously served as Chief Legal Officer of Optum from 2020 to 2024, was Vice President at Johnson & Johnson before rejoining in 2020, and held several leadership roles at UnitedHealth Group from 2011 to 2019 including Head of Litigation.

Dennis Stankiewicz was appointed Chief Accounting Officer of UnitedHealth Group effective March 2, 2026, continuing as Corporate Controller, a role held since April 2023. He joined the Company in August 2016 as General Auditor and was previously a partner with Deloitte & Touche LLP, with more than 24 years of professional experience.

Sir Andrew Witty served as Chief Executive Officer of UnitedHealth Group until May 12, 2025, when he stepped down for personal reasons and became a senior advisor to the new CEO. He is a named executive officer in the 2025 proxy statement; his performance-share award granted in February 2025 was cancelled in connection with his retirement.

John Rex served as President and Chief Financial Officer of UnitedHealth Group, having joined the Company in 2012 and served as CFO since 2016. Effective September 2, 2025 he transitioned to a Strategic Advisor role to the CEO in accordance with his employment agreement and remains a named executive officer in the 2025 proxy statement.
