W. Nicholas HowleyChairmanSince 1993

W. Nicholas Howley co-founded TransDigm in 1993 and has been Chairman of the Board since 2003. He was employed as Executive Chair from 2018 to August 2021 and served as President and/or Chief Executive Officer of TransDigm from 2003 to 2018 and of TransDigm Inc. from 1998 to 2018. He currently serves as a director of Perimeter Solutions, SA, a NYSE-listed manufacturer of fire retardant and suppressant chemicals. As a co-founder, he brings an extensive understanding of TransDigm's business and core strategy to the Board.

Michael J. LismanPresident & CEOSince 2025

Michael J. Lisman was appointed President and Chief Executive Officer of TransDigm on October 1, 2025 and joined the Board in connection with that promotion. He previously served as Co-Chief Operating Officer from May 2023 to September 2025, Chief Financial Officer from July 2018 to May 2023, and Executive Vice President from January 2022 to May 2023, along with earlier mergers-and-acquisitions and business-unit roles at the Company beginning in 2015. Before joining TransDigm he was a Vice President at Warburg Pincus from 2011 to 2015. He brings extensive knowledge of the Company's investment, capital strategy, manufacturing, and aerospace operations.

David A. Barr has been a Managing Director of Bessemer Investors, a family-owned private capital fund, since 2017, and was previously a Managing Director of Warburg Pincus LLC from 2001 to 2017. He also served as a TransDigm director from 2003 to 2011 before rejoining the Board. He previously served on the board of Aramark and on the board of Builders FirstSource, Inc. through December 2020. He chairs the Compensation Committee and brings private equity leadership and executive compensation experience to the Board.

Jane M. Cronin has been Senior Vice President - Enterprise Finance of The Sherwin-Williams Company since January 2025, having previously served as Senior Vice President - Enterprise Finance and Principal Accounting Officer from 2016 to 2024 and in earlier internal audit and controller roles. Since January 2025 she has also served as a director of Cleveland-Cliffs Inc., a NYSE-listed steel and iron ore manufacturer. She has experience with acquisitions and integrations, including Sherwin-Williams' acquisition of Valspar, and qualifies as an audit committee financial expert. She serves on the Audit and Nominating and Corporate Governance Committees.

Michael Graff has been a Senior Advisor at Warburg Pincus LLC since 2020 and was a Managing Director of the firm from 2003 to 2020. He was formerly President and Chief Operating Officer of Bombardier Aerospace and earlier worked in management consulting at McKinsey & Company. He brings extensive aerospace industry experience along with knowledge of acquisitions and capital market transactions, having helped guide TransDigm through its IPO, the financial crisis, and the COVID-19 pandemic. Hennessy is the retired Senior Vice President, Corporate Planning, Development & Administration of The Sherwin-Williams Company, having served in that role from January 2017 to March 2018 in connection with the Valspar acquisition integration. He previously served as Chief Financial Officer of Sherwin-Williams from 2001 to 2016 and was formerly a certified public accountant. Since November 2021 he has served as a director of Perimeter Solutions, SA, a NYSE-listed company. He chairs the Audit Committee and qualifies as an audit committee financial expert.

Gary E. McCullough currently serves on the board of Commercial Metals Company and is an investor in and advisor to several private entities. He previously served as Chief Executive Officer of ARI Packaging from 2014 to 2017 and as President and Chief Executive Officer of Career Education Corporation from 2007 to 2011, and held senior executive roles at Abbott Laboratories, the Wm. Wrigley Jr. Company, and The Procter & Gamble Company. He earlier served on the board of The Sherwin-Williams Company from 2002 to 2011, including as audit committee chair in 2011, and served as a U.S. Army Infantry Officer for five years. He chairs the Nominating and Corporate Governance Committee and serves on the Compensation Committee.

Peter J. PalmerDirectorSince 2025

Peter J. Palmer served as Executive Vice President of TransDigm from 2012 until his retirement at the end of 2024, and previously was President of the AdelWiggins Group division from 2010 to 2012, President of CEF Industries from 2008 to 2010, and Director of Mergers and Acquisitions for TransDigm, Inc. from 2005 to 2008. Over his career he has held numerous senior roles in operations, strategic development, and business integration and has served on other aerospace company boards. He was appointed to the Board in October 2025 for his operational and corporate leadership experience and expertise in corporate governance and mergers and acquisitions.

Michele L. Santana has been Chief Financial Officer of Arrow International, a private equity-owned manufacturer of charitable gaming solutions, since August 2024. She previously held CFO roles at Bedrock Manufacturing Company from 2021 to 2024, Majestic Steel USA from 2019 to 2021, and Signet Jewelers Limited from 2014 to 2019, and was earlier Senior Vice President and Controller of Signet. She had 14 years of public accounting experience at KPMG and is a certified public accountant. She serves on the Audit and Nominating and Corporate Governance Committees and qualifies as an audit committee financial expert.

Robert J. Small has been a Managing Director of Berkshire Partners LLC since 2000, having initially joined the firm in 1992, and since 2007 has been a Managing Director of Stockbridge, the firm's public equity business unit. He brings more than 30 years of experience in public and private equity, including knowledge of acquisitions and capital market transactions, and has served as a director of several Berkshire Partners portfolio companies, including Hexcel Corporation. He has served as TransDigm's Lead Independent Director since late 2023 and serves on the Compensation and Executive Committees.

Kevin M. SteinDirector

Kevin M. Stein served as Chief Executive Officer of TransDigm from April 2018 to September 30, 2025 and as President from January 2017 to September 30, 2025, and earlier as Chief Operating Officer from January 2017 to March 2018 and Chief Operating Officer of the Power and Control segment. Prior to TransDigm he was President of the Structurals Division and Executive Vice President of Precision Castparts. He retired as CEO on September 30, 2025 and is not standing for re-election to the Board, and will remain an advisor to TransDigm through fiscal 2027.

Sarah L. Wynne was appointed Chief Financial Officer of TransDigm in May 2023. She previously served as Chief Accounting Officer from November 2018 to May 2023 and as Group Controller from April 2015 to October 2018, and earlier as Controller of the Aero Fluid Products division and in other accounting roles within the Company.

Joel B. Reiss was appointed Co-Chief Operating Officer of TransDigm in May 2023, having previously served as Executive Vice President from October 2015 to May 2023. He earlier served as President of Hartwell Corporation from 2012 to 2015, President of Skurka Aerospace from 2010 to 2012, and Director of Operations of Adams Rite Aerospace from 2000 to 2010, all wholly-owned subsidiaries of TransDigm Inc.

Patrick J. MurphyCo-Chief Operating Officer

Patrick J. Murphy was appointed Co-Chief Operating Officer of TransDigm in August 2025, having previously served as Executive Vice President from October 2019 to August 2025 with direct oversight of several operating units. He earlier served as President of HarcoSemco, a wholly-owned subsidiary of TransDigm Inc., from December 2014 to September 2019.
