FLIR Systems, headquartered in Arlington, Virginia, is a leading designer and manufacturer of thermal imaging, infrared cameras, sensors and sensor systems. At closing FLIR was folded into Teledyne's Digital Imaging segment and renamed Teledyne FLIR. The gas and flame detection business carved out of 3M includes the Oldham, Simtronics, Gas Measurement Instruments (GMI), Detcon and select Scott Safety product brands. It provides fixed and portable industrial gas and flame detection instruments used across petrochemical, power generation, oil and gas, food and beverage, mining and waste-water treatment markets, with over 100 years of combined industry experience. $230 million in cash.
The gas and flame detection business utilizes similar technology and serves related markets as our portfolio of environmental instrumentation businesses. However, our respective products do not compete and we generally serve customers in complementary geographies. Quantum Data, based in Elgin, Illinois, makes video and audio protocol test-and-measurement instruments, including signal generators and protocol analyzers for digital video standards such as HDMI, SDI and DisplayPort. Teledyne acquired the assets to expand Teledyne LeCroy's protocol test portfolio.

Based in Liege, Belgium and founded in 1993, ICM is a leading supplier of portable X-ray generators for non-destructive testing and complete X-ray imaging systems for on-site security screening, including lightweight X-ray sources for inspecting materials from light-alloy aviation parts to thick steel pipelines and mobile systems for explosive ordnance disposal.
Teledyne's subsidiary Teledyne DALSA, Inc. acquired the remaining minority interest in the parent company of Optech Incorporated, bringing its ownership to 100%. Headquartered in Vaughan, Ontario and founded in 1974, Optech is a leader in laser-based survey and digital imaging instrumentation, providing LIDAR systems for airborne mapping, laser bathymetry, mobile mapping and terrestrial imaging used across energy, natural resources, infrastructure and government markets.
Teledyne acquired Bowtech Products Limited through a U.K.-based subsidiary. Based in Aberdeen, Scotland and founded in 1989, Bowtech designs and manufactures harsh underwater-environment vision systems, supplying rugged cameras and LED lighting for remotely operated vehicle (ROV), defense, oceanographic, nuclear and marine science applications.
Teledyne acquired Bolt Technology Corporation (NASDAQ:BOLT), a Norwalk, Connecticut developer and manufacturer of marine seismic energy sources and data-acquisition equipment for offshore oil and gas exploration, in an all-cash merger. Bolt also makes high-reliability underwater cables, connectors and electronic controllers, and through its SeaBotix business designs miniature underwater remotely operated vehicles (Mini ROVs) for maritime security, search and rescue, aquaculture and research.
A Teledyne subsidiary acquired the business and substantially all of the assets of The Oceanscience Group Ltd., a Carlsbad, California designer and manufacturer of marine sensor platforms and unmanned surface vehicles. Oceanscience makes remotely-controlled and tethered instrumentation-deployment vehicles used for current measurement, seafloor mapping and analysis of parameters such as salinity.
Atlas Hydrographic GmbH, based in Bremen, Germany, designs, manufactures and integrates marine sonar systems for mid- and deep-water applications, including advanced multi-beam echo sounders and sub-bottom profilers capable of imaging to extreme ocean depths. Teledyne acquired the assets to strengthen its marine acoustic imaging business.

Teledyne's subsidiary Teledyne Limited acquired C.D. Limited (CDL), an Aberdeen, Scotland supplier of subsea inertial navigation systems and motion sensors for marine applications. CDL designs gyrocompasses, attitude and heading reference systems, and inertial navigation systems, and pioneered small form-factor inertial measurement systems for space-constrained subsea uses such as ROVs. The business operates as Teledyne CDL Limited.
Teledyne's subsidiary Teledyne Instruments, Inc. completed the acquisition of the assets of SD Acquisition, Inc. (d/b/a CETAC Technologies), an Omaha, Nebraska designer and manufacturer of automated sample-handling and sample-introduction equipment for laboratory instrumentation. CETAC makes rugged sample-introduction gear for elemental and chemical analysis systems such as ICP-MS and HPLC, plus nebulizers, laser-ablation systems and complete mercury analysis systems.
Teledyne's subsidiary Teledyne Scientific & Imaging, LLC acquired the remaining 49% interest in Nova Research, Inc. (Nova Sensors) that it did not already own, having taken a majority stake on March 17, 2011. Nova Sensors, based in Buellton, California, designs highly-integrated camera electronics, develops image-processing algorithms, and manufactures compact mid-wave and short-wave infrared camera systems.
Teledyne completed the acquisition of RESON A/S, a Slangerup, Denmark-based provider of high-resolution marine acoustic imaging and measurement solutions. RESON is a leading supplier of multibeam sonar systems and specialty acoustic sensors for hydrography, marine infrastructure and offshore energy, with systems ranging from portable shallow-water units for AUVs to full-ocean-depth vessel-mounted oceanographic systems. The business now operates as Teledyne RESON.
Teledyne's subsidiary Teledyne RD Instruments, Inc. completed the acquisition of BlueView Technologies, Inc., a Seattle, Washington provider of compact forward-looking imaging sonar, microbathymetry systems and 3D scanning sonar. The acquired company operates under the name Teledyne BlueView, Inc.
Teledyne acquired VariSystems Inc., a Calgary, Alberta supplier of custom harsh-environment interconnects. The business operates as Teledyne VariSystems.
DALSA Corporation, headquartered in Waterloo, Ontario, Canada, is an international leader in high-performance digital imaging and microelectromechanical systems (MEMS) with approximately 1,000 employees worldwide. Established in 1980, DALSA designs, develops, manufactures and markets digital imaging products including high-resolution CCD and CMOS imaging sensors, electronic digital cameras and image-processing software for industrial machine vision, advanced medical imaging and high-resolution aerial and satellite imagery, plus custom MEMS products. approximately CAD $341 million at announcement (CAD $18.25 per share; ~CAD $337 million at close, including stock options and net cash).

Intelek plc, a UK company, made electronic systems for satellite and microwave communication through its Paradise Datacom operation and aerostructure components through its Labtech operation. Teledyne renamed the businesses Teledyne Paradise Datacom and Teledyne Labtech after closing.
Optimum Optical Systems, of Camarillo, California, designed and built custom optics and optomechanical assemblies. The business joined Teledyne's optics operations following the acquisition.
Demo Systems, based in Moorpark, California, made aircraft data-loading equipment, flight-line maintenance terminals and data-distribution software for airlines, military operators and OEMs. Teledyne acquired the assets and integrated them into Teledyne Controls.

Cormon, based in Lancing, United Kingdom, designs and manufactures subsea and surface sand and corrosion sensors along with flow-integrity monitoring systems used in oil and gas production. The defense electronics business of Filtronic plc produced customized microwave subassemblies and integrated subsystems for the global defense industry. Teledyne acquired the operation, based in Shipley, England, and runs it as Teledyne Defence.
Webb Research built autonomous underwater gliding vehicles - the Slocum glider - together with profiling drifters and floats used for long-endurance ocean data collection. Teledyne acquired the assets and operates the business as Teledyne Webb Research within its marine instrumentation portfolio.
Judson Technologies designed and manufactured high-performance infrared detectors using materials such as mercury cadmium telluride (HgCdTe), indium antimonide (InSb) and indium gallium arsenide (InGaAs), along with dewar and cooler assemblies for military, space, industrial and scientific use.
