Jeffrey A. Stoops has served as Chair of the Board of SBA Communications since January 2024 and as a director since August 1999. He was appointed President in April 2000 and Chief Executive Officer in January 2002, serving in those roles through his retirement in December 2023, and previously served as the company's Chief Financial Officer.

Kevin L. Beebe has served as a director since 2009 and chairs the Compensation Committee while also serving on the Audit Committee. Since 2007 he has been President and CEO of 2BPartners, LLC, an advisory firm serving the technology and telecommunications industries, after leading operations at ALLTEL Corporation.

Steven E. Bernstein founded SBA Communications in 1989 and served as its Chair from inception until January 2024 and as Chief Executive Officer from 1989 to 2001. He remains a director and is involved in commercial real estate and other private investments.

Laurie Bowen has served as a director since 2023 and sits on the Compensation and Nominating and Corporate Governance committees. She brings more than thirty years of leadership at multinational telecommunications and technology companies, including as CEO of Telecom Italia Sparkle in the Americas.

Mary S. Chan has served as a director since 2015 and sits on the Compensation and Nominating and Corporate Governance committees. She is Managing Partner of VectoIQ, LLC and has held senior roles at Nikola Corporation, General Motors, Dell and Alcatel-Lucent across more than 25 years in telecommunications and wireless technology.

Jay L. Johnson has served as a director since 2022 and chairs the Audit Committee while also serving on the Nominating and Corporate Governance committee. He is Chief Financial Officer, Executive Vice President and Treasurer of Lamar Advertising Company and has extensive experience in real estate, REITs and financial services.

George R. Krouse, Jr. has served as a director since 2009, chairs the Nominating and Corporate Governance committee and serves on the Audit Committee. He is a retired partner of Simpson Thacher & Bartlett LLP, where he spent 37 years practicing corporate, capital markets and M&A law and served as Head of the Corporate Department.

Jack Langer has served as a director since 2004 and is the Board's Lead Independent Director, serving on the Audit and Compensation committees. A private investor, he was previously Managing Director and Global Co-Head of the Media Group at Lehman Brothers Inc. and held senior media banking roles at Bankers Trust and Kidder Peabody.

Amy E. Wilson has served as a director since 2023 and sits on the Audit and Nominating and Corporate Governance committees. She has served as General Counsel and Corporate Secretary of Dow Inc. since October 2018 and has more than twenty-five years of corporate leadership and legal experience.

Brendan T. Cavanagh was appointed President and Chief Executive Officer effective January 2024 and joined the SBA board of directors the same year. He joined SBA in 1998 and held roles of increasing responsibility, including Chief Accounting Officer and Chief Financial Officer (from September 2008), before becoming CEO.

Marc Montagner has served as Executive Vice President and Chief Financial Officer since January 2024, after joining SBA as Executive Vice President - Finance in October 2023. He is a telecommunications and finance executive with more than 30 years of experience, including prior CFO roles at Endurance International Group and LightSquared and senior banking positions at Banc of America Securities and Morgan Stanley.

Richard M. Cane has served as Executive Vice President and President - International since January 2023, having joined SBA in November 2019 as Senior Vice President - International Operations. Before SBA he was a Principal at Smart Aerial Solutions and held senior roles at Ericsson, Sprint, Motorola/Nokia Siemens Networks and other wireless operators.

Mark R. Ciarfella has served as Executive Vice President - U.S. Operations since January 2014 and previously served as Senior Vice President - Operations from October 2010. He joined SBA in July 2007 as Vice President - Tower Development and has more than 25 years of experience in the wireless telecommunications industry; in March 2026 he announced his intent to retire from his executive role effective December 31, 2026.

Joshua M. Koenig has served as Executive Vice President, Chief Administrative Officer and General Counsel since January 1, 2023. He joined SBA in January 2010 and held roles of increasing responsibility in the legal and international functions, and was previously an associate at Simpson Thacher & Bartlett specializing in corporate and financing transactions.

Donald E. Day has served as Executive Vice President - Site Leasing since August 2024 and previously served as Senior Vice President - Services from May 2018. He joined SBA in May 2011 as North Regional Vice President and previously held roles at General Dynamics, DWCC and Crown Castle International after serving four years in the United States Army.
