Satya Nadella is Chairman and Chief Executive Officer of Microsoft, having been appointed CEO in February 2014 and Chairman in June 2021. He joined Microsoft in 1992 and previously led the company's Cloud and Enterprise group as Executive Vice President before becoming CEO.

Reid G. Hoffman has served on Microsoft's Board of Directors since 2017 and is a Partner at venture capital firm Greylock Partners. He co-founded LinkedIn Corporation, where he served as Chairman and Chief Executive Officer, and was Executive Vice President of PayPal Holdings.

Hugh F. Johnston has served on Microsoft's Board since 2017 and chairs its Audit Committee. He is Senior Executive Vice President and Chief Financial Officer of The Walt Disney Company, and previously spent decades at PepsiCo, Inc., serving as Vice Chairman and Chief Financial Officer.

Teri L. List has served on Microsoft's Board since 2014 and sits on its Audit and Governance and Nominating committees. She was Executive Vice President and Chief Financial Officer of The Gap, Inc. and held senior finance roles at Kraft Foods Group and The Procter & Gamble Company.

Mark A. L. Mason has served on Microsoft's Board since 2023 and sits on its Governance and Nominating Committee. He is Chief Financial Officer of Citigroup Inc., where he has held numerous senior leadership roles since 2001.

Sandra E. Peterson has served on Microsoft's Board since 2015 and became Lead Independent Director in 2023. She is an Operating Partner at Clayton, Dubilier & Rice, LLC and previously served as Group Worldwide Chair at Johnson & Johnson and Chief Executive Officer of Bayer CropScience AG.

Penny S. Pritzker has served on Microsoft's Board since 2017 and chairs its Environmental, Social, and Public Policy Committee. She served as United States Secretary of Commerce from 2013 to 2017 and is Founder and Chairman of private investment firm PSP Partners, LLC.

John David Rainey was elected to Microsoft's Board at the December 2025 Annual Meeting. He is Executive Vice President and Chief Financial Officer of Walmart Inc. and previously served as Chief Financial Officer of PayPal Holdings and of United Airlines.

Charles W. Scharf has served on Microsoft's Board since 2014 and sits on its Compensation and Governance and Nominating committees. He is Chief Executive Officer, President, and Director of Wells Fargo & Company and previously led The Bank of New York Mellon Corporation and Visa Inc. as Chief Executive Officer.

John W. Stanton has served on Microsoft's Board since 2014 and sits on its Audit and Environmental, Social, and Public Policy committees. He is Founder and Chairman of investment company Trilogy Partnerships and founded Western Wireless Corporation and VoiceStream Wireless Corporation.

Emma N. Walmsley has served on Microsoft's Board since 2019 and sits on its Compensation and Environmental, Social, and Public Policy committees. She is Chief Executive Officer and Director of healthcare company GSK plc and previously held senior consumer-products leadership roles at L'Oreal, S.A.

Carmine Di Sibio was appointed to Microsoft's Board of Directors effective May 13, 2026. He serves on the Board's Audit Committee and Compensation Committee.

Amy E. Hood is Executive Vice President and Chief Financial Officer of Microsoft, a role she has held since July 2013. She joined Microsoft in 2002 and previously served as Chief Financial Officer of the Microsoft Business Division.

Judson B. Althoff is Executive Vice President and Chief Commercial Officer of Microsoft, appointed to that role in July 2021. He joined Microsoft in 2013 as President of Microsoft North America and also serves on the board of Ecolab Inc.

Takeshi Numoto is Executive Vice President and Chief Marketing Officer of Microsoft, appointed to that role in October 2023. He joined Microsoft in 1997 and has held roles across Windows program management, Office marketing, and cloud marketing.

Bradford L. Smith is Vice Chair and President of Microsoft, appointed to that role in September 2021 after serving as President and Chief Legal Officer. He joined Microsoft in 1993 and previously served as Executive Vice President, General Counsel, and Secretary.

Amy L. Coleman is Executive Vice President and Chief Human Resources Officer of Microsoft, appointed to that role in March 2025. She joined Microsoft in 2009 and has held positions of increasing authority in human resources and corporate functions.

Kathleen T. Hogan is Executive Vice President, Office of Strategy and Transformation at Microsoft, appointed to that role in March 2025 after serving as Chief Human Resources Officer. She joined Microsoft in 2003 and also serves on the board of Alaska Air Group, Inc.
