FONA International is a privately held, leading manufacturer of clean and natural flavors providing solutions for a diverse customer base across various applications for the food, beverage and nutritional markets. $710 million (approximately $708 million net of cash acquired).

McCormick agreed to acquire all of the shares of Enrico Giotti SpA, a Florence-based Italian flavor manufacturer founded in 1928 that develops beverage, sweet, savory and dairy flavor applications along with natural flavors, aromatic herbal extracts and concentrated juices. Announced in late November 2016 and expected to close that December, the transaction was valued at roughly $127 million, or about 12 times EBITDA. On August 20, 2015, we completed the purchase of 100% of the shares of One World Foods, Inc., owner of the Stubb's brand of barbeque products (Stubb's), a privately held company located in Austin, Texas. (WAPC), a privately held company based in China, for $144.8 million, which included $142.3 million of cash paid, net of closing adjustments, and the assumption of $2.5 million of liabilities. Kamis S.A. was a privately held Polish company and a brand leader in spices, seasonings, mustards and other flavor products in Poland, with distribution into Russia and other parts of Central and Eastern Europe. Annual sales were approximately 300 million Polish zloty (about US$105 million). McCormick acquired 100% of the company's shares, extending its European portfolio eastward.

Kitchen Basics, Inc. was a U.S.-based brand of ready-to-use stocks and broths. In fiscal 2011 McCormick purchased the assets of the business, adding it to its Americas consumer portfolio; the acquisition contributed roughly 1.1 percentage points to Americas consumer sales growth that year.
The Lawry's business, acquired from Unilever, manufactures and sells a variety of marinades and seasoning blends under the well-known Lawry's and Adolph's brands. Annual sales were approximately $150 million, primarily in the U.S. and Canada. $604 million (announced at $605 million).

Founded in 1958, Billy Bee Honey Products Ltd. was Canada's largest honey business and the country's leading honey brand, holding about a 60% share of branded retail honey sales. It also sold Doyon-brand products popular in Quebec, supplied roughly half of Canada's private-label retail honey and about half of the honey used as an ingredient by Canadian food manufacturers, and had expanded into honey-based mustards, sauces and salad dressings. Annual sales were approximately $37 million across branded, private-label and industrial products. McCormick purchased 100% of the company's shares.
Consumers in Canada know Billy Bee and Doyon as trusted brands of pure, natural honey. Honey is a unique flavor and a healthy way to add sweetness to many foods and beverages. Founded in 1989, Epicurean International developed, imported and marketed authentic, easy-to-prepare Asian foods under the Thai Kitchen and Simply Asia brands, including noodle and soup bowls, meal kits, coconut milk, and various sauces and pastes. Thai Kitchen was the leading brand in the Thai food category, and Simply Asia broadened the range beyond Thai cuisine to more than 100 items sold through grocery, natural food, mass, drug and warehouse-club channels. Annual sales of the business were about $50 million. McCormick agreed to purchase the assets of the company.
A key avenue for growth at McCormick is the acquisition of leading value-added brands in high growth categories. Ducros, S.A. was a France-based manufacturer and marketer of consumer spices, herbs and dessert-aid products sold across France and other European markets, and at the time one of Europe's largest spice suppliers. The deal also included Sodis, S.A.S., which handled the racking, merchandising and warehousing of Ducros products for supermarkets and hypermarkets. On August 31, 2000, McCormick's subsidiary McCormick France, S.A.S. acquired 100% of the share capital of both companies from Eridania Beghin-Say, S.A.
