Lazard's business is advising other companies on their M&A; it very rarely acts as a principal acquirer, and its handful of deals are opportunistic rather than a repeatable program. Two are small tuck-ins executed by Lazard Asset Management - Truvvo Partners (2023), folded into a new ~$8B Lazard Family Office Partners unit, and Collective Energy (2024), an Austrian rooftop-solar business added under LAM's Sustainable Private Infrastructure strategy - alongside one materially larger move, Campbell Lutyens.

Capital deployment
The Campbell Lutyens logic: buy a franchise, not build one.
Rather than assembling a private-capital advisory practice banker-by-banker, Lazard is acquiring an established specialist outright to stand up a whole new global business line - Lazard CL, its third global business, representing roughly $500 million in estimated combined 2027 revenue and 280-plus advisory professionals across 18 offices. The move deliberately tilts Lazard's mix toward the faster-growing private-markets advisory business.

Integration approach
Structure a people business to retain its people.
The ~$575M Campbell Lutyens consideration is back-end-loaded - about $460M at initial closing, $115M deferred to the second anniversary, and up to $85M in a contingent earn-out tied to revenue-growth targets through 2030. For a firm buying a talent-driven advisory business, deferring and conditioning the price aligns the sellers with the combined platform and locks in the professionals who are the actual asset.

It operates across 15 locations on three continents and has raised over $713 billion of capital across a 35+ year track record.
