HealthSouth's entry into the home-health sector, acquiring the nation's fifth-largest Medicare-focused skilled home-health provider (140 locations in 13 states) to complement its inpatient-rehabilitation leadership and consolidate the fragmented home-health market. Announced 2014-11-24 at ~$750M; the FY2015 10-K reports cash consideration of ~$695.5 million delivered at the December 31, 2014 closing.
One of our stated strategic objectives has been to expand into home health, assuming we were able to acquire a high-quality, scalable asset that was capable of consolidating the highly fragmented home health industry. Acquired the operations of 11 inpatient rehabilitation hospitals (902 beds) in Texas, Massachusetts and Ohio, expanding HealthSouth's free-standing IRF portfolio to 120 and adding geographic coverage in Houston, Dallas-Fort Worth, Austin and Greater Boston. Announced 2015-06-11; the FY2015 10-K confirms ~$730 million cash consideration at the October 1, 2015 closing.
The acquisition of the operations of Reliant augments HealthSouth's current position as a leading provider of post-acute rehabilitation services. With this acquisition, HealthSouth is able to offer comprehensive, high-quality and cost-effective facility-based and home-based care across new and existing service areas.
Encompass Home Health acquired CareSouth's 45 home-health locations across 7 states (~$104M 2014 revenue), extending its home-health platform into Alabama, Georgia, North Carolina, South Carolina and Tennessee and overlapping 14 existing HealthSouth inpatient rehabilitation hospitals. Announced 2015-08-31 at a $170M cash price; the FY2015 10-K confirms ~$170 million cash consideration at the November 2, 2015 closing.
The CareSouth acquisition enables HealthSouth to leverage the operating platform of Encompass across home health locations in the new markets of Alabama, Georgia, North Carolina, South Carolina, and Tennessee.
Acquired a 158-bed inpatient rehabilitation hospital plus 74 licensed skilled-nursing beds in Lexington, Kentucky, expanding the inpatient-rehabilitation footprint. Disclosed in the FY2015 10-K; a standalone purchase price was not separately reported (fair value of net assets acquired was ~$60.7 million, and net cash paid for all 2015 IRF acquisitions was ~$56.6 million).
Encompass Health's home-health-and-hospice segment acquired Camellia's home-health, hospice and private-duty locations in Mississippi, Alabama, Louisiana and Tennessee (~$78M 2017 revenue), strengthening its Southeastern presence in key certificate-of-need states and expanding its hospice service line. Announced 2018-03-15; the FY2018 10-K reports ~$131.4 million net cash paid for the May 2018 acquisition.

Announced 2019-04-01; the FY2019 10-K reports total consideration of ~$217.8 million for the July 2019 acquisition.
