Axalta Coating Systems Ltd. Leadership

Chris Villavarayan has served as Axalta's Chief Executive Officer and President since January 1, 2023 and also sits on the Board of Directors. He joined Axalta from Meritor, Inc., where over a 22-year career he rose to CEO and President (2021 to October 2022) after serving as Executive Vice President and Chief Operating Officer and, earlier, as President – Americas; he holds a B.S. in civil engineering from McMaster University and completed the Wharton Advanced Finance Program.

Rakesh Sachdev has been a director of Axalta since August 2020 and has served as Non-Executive Board Chair since January 2023, having also acted as the company's interim CEO and President from August through December 2022. He was previously Chief Executive Officer of Platform Specialty Products Corporation (now Element Solutions Inc.) and President and CEO of Sigma-Aldrich Corporation prior to its acquisition by Merck KGaA, and he currently chairs the board of Regal Rexnord Corporation.

Jan A. Bertsch joined the Axalta board in September 2022 and chairs its Audit Committee while also serving on the Compensation Committee. She is the former Senior Vice President and Chief Financial Officer of Owens-Illinois, Inc. (now O-I Glass) and former Executive Vice President and CFO of Sigma-Aldrich Corporation, and earlier held positions of increasing authority at BorgWarner, Chrysler, Visteon and Ford Motor Company.

William M. Cook has served as an Axalta director since May 2019, chairing the Compensation Committee and serving on the Audit Committee. He is the former Executive Chairman, President, Chief Executive Officer and Chief Financial Officer of Donaldson Company, Inc., where he spent a 35-year career, and he previously served on the boards of IDEX Corporation and The Valspar Corporation.

Tyrone M. Jordan has been an Axalta director since June 2021 and serves on the Environment, Health, Safety & Sustainability and the Nominating & Corporate Governance committees. He is the former President and Chief Operating Officer of DURA Automotive Systems and former Executive Vice President, Global Operations and Customer Experience of General Motors, and he also serves on the boards of Oshkosh Corporation and TPI Composites.

Deborah J. Kissire has served as an Axalta director since December 2016 and chairs the Nominating & Corporate Governance Committee. She spent her career at Ernst & Young LLP, retiring as Vice Chair and Regional Managing Partner and a member of the Americas Executive Board, and she currently serves on the boards of Cable One, Celanese Corporation and Omnicom Group.

Samuel L. Smolik has been an Axalta director since September 2016 and chairs the Environment, Health, Safety & Sustainability Committee while also serving on the Audit Committee. He is a former Senior Vice President – Americas Manufacturing at LyondellBasell Industries and previously held global health, safety and environment leadership roles at Royal Dutch Shell and The Dow Chemical Company.

Kevin M. Stein joined the Axalta board in September 2023 and serves on the Environment, Health, Safety & Sustainability and Nominating & Corporate Governance committees. He is the former President and Chief Executive Officer of TransDigm Group Incorporated, where he had also been Chief Operating Officer, and he earlier held senior roles at Precision Castparts Corporation, Cooper Industries and Tyco Electronics/Raychem.

Mary S. Zappone has served as an Axalta director since October 2023 and sits on the Audit and Nominating & Corporate Governance committees. She is the former Chief Executive Officer of Sundyne LLC (acquired by Honeywell International in June 2025) and previously led Brace Industrial Group, Service Champ and RecoverCare, with earlier leadership roles at Alcoa, Tyco International, General Electric, Exxon and McKinsey & Co.

Carl D. Anderson II has served as Axalta's Senior Vice President and Chief Financial Officer since August 14, 2023. He previously served as Chief Financial Officer of XPO, Inc. (November 2022 to August 2023) and as Senior Vice President and CFO of Meritor, where he spent a 16-year tenure in a range of finance leadership roles; he holds an M.B.A. from Wayne State University and a B.A. in economics from Michigan State University.

Troy D. Weaver has served as Axalta's President, Global Refinish since January 2024, having previously been Senior Vice President, Global Refinish and, before that, Vice President of both Global Refinish and North America Refinish. He began his career at DuPont Performance Coatings in 1992, is a two-time recipient of DuPont's Marketing Excellence Award, and has served as Chairman of the Board of CIECA.

Hadi H. Awada has served as Axalta's President, Global Mobility Coatings since January 2024, after serving as Senior Vice President, Global Mobility Coatings from October 2020. He previously led Forvia (Faurecia) Mobility businesses in North America and Asia Pacific, running a multi-billion-dollar business, and began his career at Ford Motor Company after earning a B.A. from the University of Toledo.

Timothy Bowes has served as Axalta's President, Global Industrial Coatings since January 2025, after joining the company as Senior Vice President and Chief Transformation Officer in March 2023. Before Axalta he held senior roles at Meritor, American Axle & Manufacturing, Transtar Industries (as CEO and President), ITT Automotive and Intermet; he holds an M.B.A. from Wayne State University and a B.S. from Lawrence Technological University.

Amy Tufano has served as Axalta's Senior Vice President and Chief Human Resources Officer since September 2023, having joined the company in 2021 as Vice President of Human Resources for its global Operations and Technology organizations. She previously held HR leadership roles at Campbell Soup Company and Northrop Grumman and holds an M.B.A. from Loyola Marymount University.

Alex Tablin-Wolf has served as Axalta's Senior Vice President, General Counsel & Corporate Secretary since January 2024, having joined Axalta in January 2017 and served in roles of increasing responsibility. Before Axalta he was a corporate attorney at Blank Rome LLP and Fox Rothschild LLP focused on mergers and acquisitions and venture capital; he holds a B.S. from Santa Clara University and a J.D., cum laude, from Temple University Beasley School of Law.
