Keith B. Alexander serves as an independent director of Amazon and is the former Chair and Chief Executive Officer of IronNet, Inc. On April 7, 2026 he informed the Company that he would not stand for re-election at the Annual Meeting.

Edith W. Cooper has served as an Amazon director since September 2021 and chairs the Leadership Development and Compensation Committee. She is a co-founder of Medley Living, Inc. and spent nine years as Executive Vice President and Global Head of Human Capital Management at Goldman Sachs.

Jamie S. Gorelick has served as an Amazon director since February 2012 and is the Board's Lead Independent Director. She is Senior Counsel at WilmerHale and previously served in senior U.S. government roles including Deputy Attorney General and General Counsel of the Department of Defense.

Daniel P. Huttenlocher has served as an Amazon director since September 2016 and chairs the Security Committee. He has been Dean of the MIT Schwarzman College of Computing since August 2019 and previously served as founding Dean and Vice Provost of Cornell Tech.

Andrew Y. Ng has served as an Amazon director since April 2024. He is Managing General Partner of AI Fund, founder of DeepLearning.AI and LandingAI, co-founder and Chairman of Coursera, and an adjunct professor of Computer Science at Stanford University.

Indra K. Nooyi has served as an Amazon director since February 2019 and chairs the Audit Committee. She was Chief Executive Officer of PepsiCo from October 2006 to October 2018 and Chair of its board from May 2007 to February 2019.

Jonathan J. Rubinstein has served as an Amazon director since December 2010 and chairs the Nominating and Corporate Governance Committee. He was co-CEO of Bridgewater Associates from May 2016 to April 2017, CEO of Palm, Inc., and previously a Senior Vice President at Apple, where he ran the iPod division.

Brad D. Smith has served as an Amazon director since September 2023 and sits on the Audit Committee. He has been President of Marshall University since January 2022 and spent 19 years at Intuit Inc., including as President and CEO from January 2008 to December 2018 and Executive Chairman from January 2019 to January 2022.

Patricia Q. Stonesifer has served as an Amazon director since February 1997 and sits on the Leadership Development and Compensation Committee. She was President and CEO of Martha's Table, interim CEO of The Washington Post, and CEO of the Bill and Melinda Gates Foundation, following a career at Microsoft.

Wendell P. Weeks has served as an Amazon director since February 2016 and sits on the Audit Committee. He is Chairman, CEO, and President of Corning Incorporated, having served as its CEO since April 2005 and Chairman since April 2007.

Jeffrey P. Bezos founded Amazon.com in 1994 and has served as Executive Chair since July 2021, after serving as Chief Executive Officer from May 1996 to July 2021. He has been Chair of the Board since founding the Company and continues to serve as a director.

Andrew R. Jassy has served as President and Chief Executive Officer of Amazon since July 2021, succeeding founder Jeff Bezos. He joined Amazon in 1997, founded and led Amazon Web Services (as Senior Vice President from April 2006 and as CEO from April 2016 to July 2021), and also serves on the Board of Directors.

Matthew S. Garman has served as CEO of Amazon Web Services since June 2024. He previously served as Senior Vice President of AWS from February 2021 to June 2024 and held a series of AWS leadership roles dating back to 2012, including Vice President of EC2 and of AWS Compute Services.

Douglas J. Herrington has served as CEO of Worldwide Amazon Stores since July 2022. He joined Amazon in 2005 and previously served as Senior Vice President, North America Consumer from January 2015 to July 2022, and in earlier roles leading the Consumables business.

Brian T. Olsavsky has served as Senior Vice President and Chief Financial Officer of Amazon since June 2015. He joined Amazon in April 2002 and held numerous financial leadership roles, including Vice President, Finance for the Global Consumer Business from December 2011 to June 2015.

Shelley L. Reynolds has served as Amazon's Vice President, Worldwide Controller, and Principal Accounting Officer since April 2007. In that capacity she oversees the Company's worldwide accounting and financial reporting functions.

David A. Zapolsky has served as Senior Vice President, Chief Global Affairs & Legal Officer since February 2025. He joined Amazon in April 2002 and previously served as Senior Vice President and General Counsel from May 2014 to May 2023 and as the Company's Secretary from September 2012 to January 2024.
