Acquisition criteria
Buy the plant that already makes your drug.
ADMA's single transformative deal was vertical integration in its purest form: it acquired the FDA-licensed Boca Raton facility where its own lead candidate RI-002 was already manufactured, ending its dependence on a third-party contract manufacturer and giving it direct standing with the FDA to remediate the plant and refile its BLA.

Capital deployment
Trade equity, not cash, when you're pre-revenue.
Rather than pay a cash purchase price it did not have, ADMA financed the deal by issuing Biotest a roughly 50% equity stake and simultaneously collecting up to $40 million of cash and financing from the seller — $12.5 million at closing, a $15 million subordinated loan and a $12.5 million future equity commitment — extending its cash runway while acquiring hard manufacturing assets.

Integration approach
One deal, then organic build-out.
ADMA made no further company acquisitions; it grew the acquired Boca Raton platform organically — winning FDA approval for ASCENIV (the former RI-002), expanding BIVIGAM and Nabi-HB, and in July 2025 purchasing the underlying Boca Raton real estate for $12.6 million to expand production.

ADMA acquired the Therapy Business Unit of Biotest Pharmaceuticals Corporation (BPC), a subsidiary of Germany's Biotest AG, turning ADMA into a vertically integrated commercial plasma-products company. The acquired assets included a plasma fractionation and purification plant of FDA-licensed biologics, testing laboratories, warehouses and a commercial-scale monoclonal-antibody facility across two buildings totaling roughly 126,000 square feet on about 15 acres in Boca Raton, Florida; two FDA-licensed products, Nabi-HB (Hepatitis B Immune Globulin) and BIVIGAM (Immune Globulin Intravenous); and a third-party contract-manufacturing and services agreement for a licensed hyperimmune globulin. The Boca Raton plant was already the site where ADMA's own lead candidate, RI-002 (later marketed as ASCENIV), was manufactured. As part of the purchase price, ADMA later transferred two of its Georgia source-plasma collection centers back to BPC, which closed on January 1, 2019.

Why it was attractive
  • The Boca Raton plant was the FDA-licensed facility that already manufactured ADMA's lead candidate RI-002
  • so owning it gave ADMA direct control over its own supply chain and FDA remediation
  • plus two revenue-generating licensed products (BIVIGAM and Nabi-HB) and contract-manufacturing capacity
