Michael Earley Director

Michael Earley has served as an Addus HomeCare director since 2014. Since 2013 he has advised healthcare services and other businesses as Managing Member of the consulting company Pelican Advisors, LLC. He was Chairman and CEO of Metropolitan Health Networks, Inc. (NYSE: MDF), an operator of a provider services network, from 2003 to 2013, and Chairman and CEO of Vistage Florida from 2021 to 2022. Earlier he held senior management roles, including CEO, COO, CFO and Corporate Development Officer, for Intermark, Inc. and Triton Group Ltd., and was CEO of Collins Associates. He earned undergraduate degrees in accounting and business administration from the University of San Diego.

Veronica Hill-Milbourne has served as an Addus HomeCare director since January 2021. Since 2019 she has been President and Chief Executive Officer of Spectrum Health Services, Inc., overseeing four Federally Qualified Health Centers in Philadelphia. From 2017 to 2019 she was CEO/State Director for Pathways, and earlier held senior executive roles at the Health Transformation Alliance, Health Partners Plans, Independence Blue Cross, the Inglis Foundation and The Visiting Nurse Association of Greater Philadelphia. She earned a Bachelor of Science in nursing from Villanova University, a Master of Science in health education from Saint Joseph's University, and a Juris Doctorate from the Temple University School of Law, and is a licensed registered nurse in Pennsylvania.

Mark L. First Lead Director

Mark L. First has served as an Addus HomeCare director since 2006 and as Lead Director since October 2022. He is a Managing Director of Eos Management, L.P. and its affiliates, where he has been employed since 1994, and was previously an investment banker with Morgan Stanley & Co. from 1991 to 1994. He held the (unpaid) title of President of the Company from 2006 to 2009 and has served as a director of numerous public and privately owned companies. He earned a Bachelor of Science in economics from The Wharton School of the University of Pennsylvania and an MBA from Harvard Business School.

Darin J. Gordon Director

Darin J. Gordon has served as an Addus HomeCare director since October 2016. He is President and CEO of the consulting firm Gordon & Associates, LLC (since 2016) and a founding partner of Speire Healthcare Strategies, LLC (since 2017). From 1996 to 2016 he was employed by the State of Tennessee's Division of Health Care Finance and Administration, becoming its CEO and Director in 2006 - a role that included serving as Director of TennCare, Tennessee's Medicaid program - after earlier serving as the division's Director of Managed Care Programs and Chief Financial Officer. He has held corporate and non-profit board positions including at Advanced Care Partners, Upperline Health, Inc. and Siloam Health. He earned a Bachelor of Science degree from Middle Tennessee State University.

He is a Partner at West Monroe Healthcare Consulting and the founder and CEO of Hopscotch Health, a pediatric urgent care provider based in San Antonio, and was a director of Axonics, Inc. prior to its acquisition by Boston Scientific. He previously served as Chief Medical Officer of Doxy.me, VP of U.S. Growth for Babylon Health, Market Lead-Americas for Healthcare and Life Sciences at Google Cloud (2020-2023), and Chief Medical Officer for Clinical Strategy and Innovation at Health Care Service Corporation (2013-2019). Dual board-certified in Internal Medicine and Pediatrics, he earned his medical degree from Michigan State University, a Bachelor of Arts in Biology from the University of California, Santa Cruz, and an MBA from the University of Texas at Dallas.

Jean Rush Director

Susan T. Weaver, M.D., FACP, has served as an Addus HomeCare director since October 2016 and currently serves as a Senior Advisor to Frazier Healthcare Partners. She served as President and then CEO of KEPRO, a technology-enabled healthcare services company, from July 2018 until its merger with CNSI in December 2022, and as CEO of C3 HealthcareRx, LLC from 2016 to 2018. Earlier she was President of Transformation Health Partners, Chief Medical Officer of Blue Cross Blue Shield of North Carolina, and Executive Vice President of Medical Affairs at WakeMed Health & Hospitals. She has served on the board of AdaptHealth Corp. (Nasdaq: AHCO) since November 2019. Board-certified in Internal Medicine, she earned a Bachelor of Science in psychology from Duke University and an M.D. from the Duke University School of Medicine.

R. Dirk Allison has served as Addus HomeCare's Chief Executive Officer since January 2016 and as Chairman of the Board since March 2021, having first joined the Board as a director in 2010. He was President and CEO from January 2016 to March 2021. Before Addus, Mr. Allison was President and CEO of Correctional Healthcare Companies (2013-2014) and of CCS Medical (2011-2013), and earlier served as Senior Vice President, CFO and Treasurer of Odyssey HealthCare (a hospice provider), Executive Vice President and CFO of Omniflight, and in senior financial roles at Ardent Health Services and Renal Care Group. Between 1987 and 1999 he led several public and private healthcare companies. He holds a Bachelor of Business Administration from the University of Louisiana at Monroe and an MBA from the University of Dallas, and is a certified public accountant.

Heather Dixon President and Chief Operating Officer

Heather Dixon has served as Addus HomeCare's President and Chief Operating Officer since September 15, 2025, having previously served as a director of the Company from March 2023 until her appointment. Ms. Dixon was previously Chief Financial Officer of Acadia Healthcare, the largest stand-alone behavioral healthcare company in the United States, and CFO of Everside Health, one of the nation's largest direct primary care providers. She served as an independent board member and chair of the audit committee of Signify Health from 2021 until its acquisition in 2023, and was Senior Vice President, Global Controller and Chief Accounting Officer of Walgreens Boots Alliance (2019-2021) and Chief Accounting Officer of Aetna (2016-2019). She holds a Bachelor of Business Administration in Accounting from Southern Methodist University and is a certified public accountant.

Brian Poff Executive Vice President, Chief Financial Officer, Treasurer and Secretary

He has held a number of financial leadership positions in public and private healthcare companies, most recently as CFO and Treasurer of Oceans Healthcare (2015-2016). Earlier he was Senior Vice President, Chief Accounting Officer and Treasurer of CCS Medical, Corporate Controller of AccentCare, Division CFO for Hospice Services at Gentiva Health Services, and Assistant Controller of Odyssey HealthCare, and served as Controller and later Division CFO at Horizon Health Corporation. He earned a Bachelor of Business Administration in Accounting from Sam Houston State University.
