Dr. Marcia J. Avedon has served as an Acuity director since 2022 and serves on the Compensation and Management Development and Governance Committees. She is founder and CEO of Avedon Advisory LLC (since 2022) and previously served as Executive Vice President, Chief Human Resources, Marketing and Communications Officer of Trane Technologies plc (2020-2022) and of Ingersoll Rand, plc (2007-2020). She was also Chief HR Officer of Merck & Company (2002-2006) and currently serves on the board of Generac Holdings Inc.

W. Patrick Battle has served as an Acuity director since 2014 and serves on the Compensation and Management Development and Governance Committees. He has been Managing Partner of Stillwater Family Holdings since 2010 and Executive Chairman of Diamond Baseball Holdings since December 2021, and previously was Chairman of IMG College (2007-2011) and president and CEO of The Collegiate Licensing Company. He currently serves on the board of MasterCraft Boat Holdings, Inc.

Michael J. Bender has served as an Acuity director since 2022 and serves on the Audit and Governance Committees. He has been Chief Executive Officer of Kohl's Corporation since May 2025 and previously served as President and CEO of Eyemart Express, LLC (2017-2022) and as Chief Operating Officer, Global eCommerce of Walmart Inc. (2014-2017) following senior executive roles at Walmart. Earlier he held senior positions at Cardinal Health, L Brands and PepsiCo, and he currently serves on the board of Kohl's Corporation.

G. Douglas Dillard, Jr. has served as an Acuity director since 2017 and serves on the Audit and Governance Committees. He has been a Special Advisor for Silver Lake since 2025 and founder and Managing Partner of Slewgrass Capital, LLC since 2017, and previously was Co-Managing Partner of Standard Pacific Capital (2005-2016), where he focused on software and business-services investments. He is an adjunct professor at Georgetown University's McDonough School of Business.

James H. Hance, Jr. has served as an Acuity director since 2014 and is the Board's Lead Director and Chair of the Governance Committee, also serving on the Compensation and Management Development Committee. He has been an operating executive of The Carlyle Group Inc. since 2005 and previously served as Vice Chairman (1993-2005) and Chief Financial Officer (1988-2004) of Bank of America Corporation. A Certified Public Accountant, he has served on numerous public company boards, including Cousins Properties, Duke Energy, Ford Motor Company, Sprint-Nextel, Rayonier, EnPro Industries and Morgan Stanley, and currently serves on the board of The Carlyle Group Inc.

Maya Leibman has served as an Acuity director since 2020 and chairs the Compensation and Management Development Committee, also serving on the Governance Committee. She spent her career at American Airlines Group, most recently as Executive Vice President and Chief Information Officer (2015-2022) and later as Senior Advisor (2023-2024). She currently serves as a director of the Environment Agency Board in the United Kingdom.

Laura G. O'Shaughnessy has served as an Acuity director since 2020 and serves on the Audit and Governance Committees. She has been an independent consultant since December 2024 and was co-founder of The Picnic Group, Inc., serving as Chief Marketing Officer (2022-2024). Earlier she co-founded Code3 and Decile (formerly SocialCode) and served as its CEO from 2009 to 2020, and she currently serves on the board of Vroom, Inc.

Mark J. Sachleben has served as an Acuity director since 2021 and chairs the Audit Committee, also serving on the Governance Committee. He served as Chief Financial Officer of New Relic, Inc. from 2008 to 2022 (and as an advisor to its CFO through 2023) and as its Corporate Secretary (2018-2022), and earlier was Vice President of Finance at Wily Technology, Inc. He previously served on the board of MeridianLink, Inc.

Neil M. Ashe has served as Acuity's President and Chief Executive Officer since January 2020 and as Chairman of the Board since January 2021. Before joining Acuity he was founder and CEO of Faster Horses LLC (2017-2019), which invested in and advised companies embracing digital transformation, and previously served as President and CEO of Global eCommerce & Technology at Walmart, Inc. from 2012 to 2017. Earlier in his career he was President of CBS Interactive (2008-2011) and Chief Executive Officer of CNET Networks, Inc. (2006-2008), and he has served on the boards of companies including CNET Networks and AMC Networks, Inc.

Karen J. Holcom has served as Acuity's Senior Vice President and Chief Financial Officer since September 2019, leading the company's global financial organization, including accounting, audit, financial planning and analysis, investor relations, tax and treasury. She has more than 30 years of financial experience, all with Acuity, having previously served as Senior Vice President, Finance and Associate Engagement (January-September 2019), Senior Vice President, Finance (2006-2018), Vice President and Controller (2004-2006) and Vice President, Financial Services (2001-2004). A Certified Public Accountant, she serves on the board of the Atlanta Police Foundation and is a member of the Georgia Chamber of Commerce.

Barry R. Goldman has served as Acuity's Senior Vice President and General Counsel since January 2015, leading the company's Law and Business Environment team across corporate governance, compliance, mergers and acquisitions, intellectual property, privacy, government relations, litigation and risk management. He has over 30 years of legal experience in the real estate, lighting and building management industries and previously served as Senior Vice President and General Counsel of Acuity Brands Lighting, Inc. (2007-2015) and in earlier legal roles with the company beginning in 2001. He serves on the boards of the McClung Lighting Research Foundation and the National Association of Manufacturers.

Dianne S. Mills has served as Acuity's Senior Vice President and Chief Human Resources Officer since March 2020, overseeing talent development and acquisition, succession planning, associate engagement, total rewards and culture. She has over 30 years of senior human resources leadership experience and previously served as Principal at Mills Consulting (2017-2020), Senior Vice President, People Officer at Walmart eCommerce (2014-2017), Senior Vice President and Chief Human Resources Officer of PayPal (2009-2014), and in human resources roles of increasing responsibility at Bank of America (1999-2009).
